DEED OF TRANSFER OF RIGHTS AND WAIVER

KNOW ALL MEN BY THESE PRESENTS:

THS NSTRUMENT made and executed on this month of September 1981, at
Wao, Lanao del Sur, Philippines, by and between:

LORETO SANCEBUTCHE, of legal age, Filipino, married to Merlyn
Dalimoot, with residence and postal address at Gata, Wao, Lanao del Sur,
hereinafter referred to as the TRANSFEROR;

-n favor of
ANGELES LSAN, likewise of legal age, Filipino, married to Wilhelm
lisan, with residence of Eastern, Wao, Lanao del Sur, hereinafter referred to as
the TRANSFEREE;

W T N E S S E T H:

THAT the TRANSFEROR is the possessor and occupant of a certain parcel of
land, having acquired the same from allocatee, Raymundo Dadula through a Public
Document, a Deed of Transfer of Rights and Waiver, which land is situated at Park
Area, Wao, Lanao del Sur, bounded and otherwise described as follows:

"Containing an area of EGHT HECTARS (8.0000), more or less; bounded
on the N., by the Farm lot of Andres Dadaingan; on the E., by the Farm lot of
Severo Nunes; on the S., by the Farm lot of Tanoy Agaton; and on the W., by the
Farm lot of Manzueto
Balicao.

THAT THE TRANSFEROR cannot comply with the requirements relative to
occupation of the lot above-described and has therefore agreed to assign transfer and
convey all rights, title and interest thereto, including all the improvements found thereon,
unto the TRANSFEREE;

THAT THE TRANSFEROR hereby forever WAVE all rights, title and interests he
holds over the above-described property and further warrants the peaceful possession
of the same unto the TRANSFEREE;

THAT for and in consideration of the sum of THRTEEN THOUSAND PESOS (P
13,000.00), Philippine Currency, paid by the TRANSFEREE to the entire satisfaction of
the TRANSFEROR, the TRANSFEROR, hereby transfer, assign and convey unto the
TRANSFEREE all rights, title and interests, including all improvements introduced
thereon the lot above-described; and that the TRANSFEREE will assume the obligation
of the former allocate with the Ministry of Agrarian Reforms; and that this transfer was
made in good faith and not for the purposes of speculations.
