4.6 The SDBC shall be inevocable and unconditional and CIL shall have the powers to invoke
it notwithstanding any dispute or difference between RC holder and cIL pending before
the court, tribunal, arbitrator or any other authority.

05. Price and other charq€s

The subsidiary wise prices indicated above are on FOR destination basis for supply down the
hole at mine site which includes all charges excluding GST.

5.1 The RC price for bulk explosives shall be revised on quarterly basis based on the price
variation formula indicated below:-

6.9 Where a tax invoice has been issued for suppty ofexplosives and the taxable value or tax
charged in that tax invoice is found to be less than the taxable value or tax
payable in

ofthat item in that halfyear shall be deducted from the bills ofthe supplier by the concerned
subsidiary company. For example, if the shortfall quantity works o[l to 1.23o/o, monetary
penalty to be imposed will betothetuneof 1.23% ofsupply value (without cST). Thiswill
be applicable for shortfall in delivery performance from 90% upto 80%. The supplier should,
however, makeup the shortfall in the next halfyear so as to achieve 90%o in one year period.

I 1.8 In case thehalf yearly delivery performance for RC item fall below 8004, maximum monetary
penalty of l07o ofsupply value will be imposed apart lrom reserving CIL's right to rescind/short
close the RC for the subsequent period in the relevant subsidiary where the shortfall occurs and
the balance RC quantity thereof, may be purchased from any of the existing RC holders or
empanelled "Reserve RC holders".

Besides, the subsidiary company shall take action as per clause l3 ofRC.

ll.9 For signing of the delivery perlormance report, the RC holder will be intimated by
lener/fax/e-mail/sMS to sign within 3 (three) days from the date of intimation by the
Subsidiary Company. If the RC holder / authorized representative fails to sign the said
delivery performance report within the stipulated time, it will be deemed that the RC holder
has accepted the same and no further communication from the RC holder will be entertained
by the Subsidiary Company /CIL in this regard.

supplier after giving due notice to him and the cancelled order quantity ofthe defaulting
supplier shall 6e re--distributed amongst other RC holders incl,rding Reserve RC holders,

benchmark, there will be no bonus. For e.g when achieved PF is 106%, bonus to be paid

26.3 In the event of failure of blast, the cost of explosives/accessories used in the blast and
other incidental charges like drilling cost etc. will be recovered from the respective
defaulting supplie(s). [n case of blast failure, initially proportionate deduction
(proporti[nate io value) will be made for both explosives and accessories. After
inveitigating into the cause of failure as to which item (explosive or accessories) is
responsible for the failure, final deduction will be made accordingly'

26.4 The bench mark Powder Factors as indicated in clause 22 shall also apply in case of
explosives supplied to contractors in outsourcing patches (wherever separate Powder
Factors for ouiiourcing patches are not indicated), if the explosives purchased by CIL is
used in such patchei with the condition that only the net cost of explosives and
accessories (after deduction on account of powder factor) is recovered from the
outsourcing contractor.

26.5 The payment shall continue to be made as per RC terms and provisional deduction ifany,
on u""ount of non-achievement of PF shall be made only on quarterly basis' However'
the final assessment of Powder factor and reconciliation thereof shall be made on
financial yearly basis including extension/short closure, on average powder factor basis.
Bonus shall be paid in the same way as that ofpenalty.

26.6 Deduction due to non-achievement of powder factor shall be made from the price of
explosives only and not from accessories prices.

27. Statutory Obligations

l. The above item should be supplied only with the approval ofthe valid statutory authority
like DGMS, CCOE etc. wherever it is mandatory.

2. You are requested to ensure to get proper written Indents/Requisition and no explosives

28. Use in shovel and dragline benches

Bulk Explosives will be used in Shovel Bench and Dragline Bench of the Mines of the
subsidiary companies ofCIL as the case may be.

3.10 The BIDDER commits to refrain from giving any complaint directly or through

6.t Any breach of the aforesaid provisions by the BIDDER or any one employed by it
or acting on its behalf (whelher with or without the knowledge of the BIDDER)

actions stipulated in this lntegrity Pact are \a'ithout prcjudice to any othcr legal action
that may lbllow in accordance with the provisions of the extanr law in force relsting to any
civil or criminal proceedings.

ll. ValiditY

l2.l The validitv of this lntegrity Pacl shall be from date of signing the tP and extend till
the complete execution of the contract to lhe satisfsction of both the BUYER and the
BIDDEBJSeller. Issues like warranqy'guarantee etc. shall be outside the purview of
the IEMs. ln case, BIDDER is unsuccessfii, this Integrity Pact shall expirc after six
months from the date ofthe signing ofthe contract.

12.2 Should one or several provisions of this Pact tum oul to be invalid. lhe rcmainder of
this Pact shall remain valid. ln this case, the panies will strive to come to an
agreement to their orignal intentions.
