MEMORANDUM OF AGREEMENT

This instrument made and entered into by and between: The Provincial Government of La Union (PGLU) represented herein, pursuant to Sangguniang Panlalawigan Resolution No.____, Series 2012 by the Hon. Manuel C. Ortega in his capacity as the Provincial Governor who holds office at the Provincial Capitol, San Fernando City, La Union, hereinafter referred to as FIRST PARTY; -andARTIST GUILD OF LA UNION (AGLAUN) represented by Mr. Rodel Rillera, Local Artist, Filipino Citizen, of legal age, married and resident of 175-C Siteo No. 3, Biday, San Fernando City, La Union, hereinafter referred to as SECOND PARTY.

WITNESSETH THAT:
WHEREAS, FIRST PARTY has established the La Union Culture and Art Gallery at the 3rd Floor of the La Union Provincial Administrative and Commercial (LUPAC) Building along Quezon Avenue, San Fernando City, La Union; WHEREAS, the thrust of the FIRST PARTY is to continuously promote local culture, arts and tourism as well as to develop and recognize local artists through art exhibition projects and seminar-workshop projects for the provinces local artists and art organizations; WHEREAS, SECOND PARTY is the official representative of all local artists and art organizations in the Province of La Union who is desirous to utilize the Culture and Art Gallery to exhibit their art works to the public and sell their art works to any interested buyers. WHEREFORE, premises considered, the parties hereto agree to enter into a Memorandum of Agremeent under the terms and conditions as follows:

TERMS AND CONDITIONS:

1. The FIRST PARTY shall allow SECOND PARTY to exhibit their artworks at the La Union Culture and Art Gallery and shall bind itself to exercise extra ordinary diligence in the handling and display of all art works of SECOND PARTY; 2. The SECOND PARTY through good and valuable consideration from interest buyers hereby allow FIRST PARTY through its official

representative (curator) who is incharge of the La Union Culture and Art Gallery to sell the art works; 3. That the proceeds of the sale of the art works shall be divided by the PARTIES, where 70% will go to the SECOND PARTY and 30% will go to the FIRST PARTY as service charge . 4. The sale of the art works shall be covered by a Release Form and Acknowledgment Receipt to be signed by ___________________. A machine copy of the two (2) forms shall be attached and made as an integral part of this agreement.
