RESOLUTION 1(B) 
 
 
 
WHEREAS  notwithstanding the fact that the Hoboken Board of Education and Dr. Mark Toback have 
reached a proposed agreement on the terms of his employment, they are unable to finalize and execute 
a contract for Dr. Toback to serve as Superintendent of Schools because of a blanket edict from the 
Commissioner of Education that Executive County Superintendents cannot exercise their statutory and 
regulatory authority to review and approve any such contracts; and 
 
WHEREAS  this state of administrative limbo may have this school district without  a chief school 
administrator and is not in the best interests of our staff and students, 
 
NOW, THEREFORE BE IT RESOLVED that the Board authorizes its outside counsel, Porzio, Bromberg & 
Newman P.C. to take any and all appropriate legal action to pursue the lawfully required review and 
approval of the proposed contract so that Dr. Mark Toback can join us as our Superintendent of Schools.
