Dear Sir,

We, {Company name} hereby give an undertaking that the User ID {user id}, provided by Jayine, is
being used by {Company name} for sending messages to registered mobile numbers only. The
messages are transactional in nature and do not contain any commercial or unsolicited communication.

Further, any complaints/grievances’/claims, whether legal or commercial with regard to the usage of the
said service shall be the sole responsibility of {Company name}. Jayine is hereby being indemnified from
all complaints/grievances’/claims whether legal or commercial by {Company name} for the {User ID}.

1. Responsibilities of CITYSMS
a. CITYSMS will develop applications to be routed through an SMS server for COMPANY
NAME and launch the services.

2. Responsibilities of COMPANY NAME

a. All messages shall be for COMPANY NAME subscribers who have agreed to receive
such messages and COMPANY NAME shall be responsible for any message that is sent
to subscribers who are disinterested in such messages.

b. No Spam or unsolicited messages will be transmitted by COMPANY NAME.

c. COMPANY NAME shall be solely responsible for the content of the message and
CITYSMS are only a facilitator for the transmission of the message. COMPANY NAME
shall indemnify CITYSMS against any legal dispute and any consequential losses that
may arise solely on the reason of the message transmitted by COMPANY NAME under
this agreement.

d. COMPANY NAME shall perform a second level validation of the numeric sender ID of its
customers and indemnifies CITYSMS from all liabilities arising out of the use or misuse of
numeric sender ID registered by COMPANY NAME with CITYSMS.
