Appointment terms and conditions

We are pleased to inform the appointment terms and conditions with PHFL Home Loans &
Services Limited (“the Company”). Please note that your appointment shall be subject to the
following terms and conditions:

1. Appointment/Designation
As per your offer of appointment.

2. Salary/Remuneration
As mentioned in Annexure “A” of your offer of appointment.

3. Location/Place of Posting
As per your offer of appointment. You may however be required to work at any place of
business on a short notice or without any prior notice at the discretion of the Company.

During your employment with the Company, you may also be transferred to any other
location, branch or department of the Company or to any of our affiliates, subsidiaries,
associate companies, either temporarily or permanently, at the discretion of the Company.
You shall comply with all directions and instructions to that effect as deemed fit by the
Company.

4. Working Hours
The normal office hours are from 10:00 AM to 6:00 PM, Monday to Saturday except first &
second Saturday of the month, which shall be holiday. The number of working days and
assigned weekly holiday can be altered by the Company based on HR policy. You may be
required to work on a weekly holiday in case there is business exigency.

5. Probation
The probation period shall be initially for a period of three (3) months from the date of
joining. The
Probation period may be extended at the discretion of the Company and shall continue till
confirmation letter is issued.

During the probation period, your appointment may be terminated by the Company at any
point of time without assigning any reason and without any prior notice. Without prejudice
to the foregoing, you will be required to serve one (1) months’ i.e. 30 days’ notice period in
case you voluntarily resign from the services of the Company during the probation period.

6. Confirmation
After successful completion of your probation period or extended probation period, as the
case may be, your appointment will be confirmed in writing by the Company. Your
appointment will not be treated as confirmed unless a written confirmation to this effect is
issued to you by the Company.

7. Leaves
You will be eligible to avail the leaves in accordance with the HR policy of the Company.

8. Company Policy
You shall be governed by the policies and the code of conduct including all the rules and
regulations of the Company (“HR Policy”) which are in force and as amended from time to
time.

As an employee of the Company, you are advised to keep yourself updated and abide by the
HR Policy which are available on the internal HRIS Portal of the Company. You shall be
deemed to have notice of any amendment/ modification to such HR Policy.

9. Background Verification
The Company reserves the right to conduct your background verification directly or through
an outside agency.

Your appointment is based on the information furnished by you for employment. If, at any
time in future, it comes to the knowledge of the Company that any of this information is
incorrect or any relevant and vital information has been withheld/ not disclosed, then your
employment shall be terminated forthwith without notice or any compensation in lieu
thereof. The Company reserves the right to determine what constitutes relevant and vital
information.

If after your joining the employment with the Company, it comes to the notice of the
Company that you had been convicted of any offence and/ or had committed any act of
misconduct, your employment shall be terminated forthwith without any notice or
compensation in lieu thereof, or if your employment is not terminated, you shall be liable to
disciplinary measures and any penalty that may be imposed as per the policies of the
Company.

10. Retirement
The normal age of your retirement is 60 years. Accordingly, it is a condition of employment
that you will automatically retire on attaining the age of 60 years.

11. Indemnity
You shall be at all times, indemnify and keep indemnified the Company against all the
damages, cost, claims, losses that may arise and accrue against the Company whether by
way of claims, demands, damages, costs, charges and expenses paid or incurred by the
company or in connection with any action, claims, proceedings or demands instituted or
made against the Company caused or occasioned by your breech, failure, default, or
negligence in the opinion of the Company to observe and comply fully with the terms and
conditions of your employment herein contained.

12. Address for Communication


The address of communication for the purpose of service of notice and other official
communication to the company shall be the registered address of the Company. The address
of communication and service of notice and other official communication for you shall be the
address as set out above and your present residential address mentioned in offer of
appointment. In the event there is a change in your temporary or permanent address, you
shall inform the same in writing along with valid proof to the HR of the Company and that the
address last furnished by you, shall be deemed to be sufficient for communication and shall
be deemed to be effective on you.

13. Notice Period


During the employment period, either party may terminate the services by giving thirty (30)
days written notice. In case your performance during the first three (3) months is found
unsatisfactory: if there is a material suppression of any vital information by you or due to
any other reason and the Company is of the opinion that they do not wish to continue with
your employment, the Company may in its sole discretion terminate your services by giving
fifteen (15) days written notice without assuming any obligation or liabilities as to the
payment of compensation or damages whatsoever.

14. Termination of Service


Your employment may be terminated forthwith by the Company without any prior notice if
in the opinion of company, you at any time:
a. Commit any services or persistent breech of any of the provision of this appointment terms
and conditions and/ or any of the policies of the Company;
b. Do or cause to be done any act, deed, matter or thing otherwise than in the interests of the
Company;
c. Breach of the Company’s policies and code of conduct including the rules and regulations for
the time being in force and as amended from time to time;
d. Are guilty of any misconduct or neglect in the discharge of your duties or exercise of your
power hereunder or otherwise to or vested in you from time to time;
e. Fail to or neglect in observing and complying fully with all resolutions, regulations,
instructions and directions from time to time made or given to you by the Company;
f. Become bankrupt or made any arrangement or composition with your creditors;
g. Become of unsound mind;
h. Are convicted of any criminal offence;
i. Become in-appropriated or prevented by an illness, accident or any other circumstances
from discharging in full your duties; and
j. Any act of misconduct as per the HR policy governing all the employees of the Company from
time to time.
15. Non-Disclosure
a. Except as reasonably required in the performance of your authorized duties, you shall not
any time during this employment or any time after your employment has terminated disclose
or revel to any person or otherwise make use of confidential information including any of
the trade secrets, or confidential operations, processes, dealings or any information
concerning the organization, business, finance, transactions, or affairs of the company,
which may come to your knowledge during your employment with the Company.

b. You shall take all reasonable action to prevent unauthorized use or disclosure of any
confidential information.

c. Confidential information means certain information that is not publicly known relating to the
business affairs, properties, products, technologies, researches, deployments, and trade
secrets of the Company and other entities with which its business is conducted.

16. Jurisdiction
Notwithstanding the place of working or placement or the normal or usual residence of the
employee concerned or the place where the offer of appointment is signed or executed, this
contract shall only be subject to the jurisdiction of the High Court of Judicature at Delhi and
its subordinate Courts or any other .

17. Other General Terms of Employment


a. At the time of termination of the employment either due to termination by either you or the
Company, if there are any dues owing from you to the Company, the same may be adjusted
against any money due to you by the Company on account of salary including incentive/
bonus or any other payment owned to you under the terms of your employment.
b. In event of any disputes, differences or claims arising out of or in connection with or
incidental to this Appointment Letter or the construction or interpretation of any of the
terms hereof or anything done or omitted to be done pursuant hereto, the parties shall first
endeavor to amicably settle such disputes, differences or claims, failing which the same shall
be referred to the arbitration of a sole arbitrator to be appointed by the Company. The seat
of arbitration shall be Delhi and the proceedings shall be conducted in English in accordance
with the Arbitration & Conciliation Act, 1996 or any amendments thereto as may be
applicable.
c. If you are in sales or collections department, you will be entitled for target linked incentive,
which is subjected to the Company’s payout policy that can change from time to time at the
sole discretion of the Company. In the event of your resignation from the Company, all
unpaid incentives/variable pay shall be forfeited and the Company will not be liable to make
such payment to you.
d. You will be entitled to an employer’s contribution of Provident fund to the extent of 12% of
your basic salary and applicable ESI contribution. You will also be covered under Medical and
Accident Insurance and will be entitled to all other statutory benefits as applicable. It is
hereby clarified that if you fail to submit the ESIC, PF, Gratuity nomination forms together
with any other document as required under the applicable labour legislations, the Company
shall not incur any liability with regards to any claims under the said applicable labour
legislations.
e. If your Fixed Gross salary is equal to or less than INR. 21,000/- (Rupees Twenty One Thousand
Only), then you will be covered under ESIC, the Company will be authorized and liable to
deposit employee’s and employer’s contribution to the ESIC and will be deducted as part of
payroll processing. However, an ESIC claim settlement is purely at the discretion of ESIC
which is a statuary government body and the Company has no role and control in their
decisions in whatsoever condition. The Company is just the facilitator and final decision will
be of ESIC.
f. In Addition to your eligible leaves as mentioned hereinabove, the annual Holidays will be
announced by the Company every year.
g. You are required to devote your total attention and abilities exclusively for the business of
the Company. You will respect, obey and conform to all the regulations from time to time
framed and issued by the Company and made applicable to you. You shall not, while in the
employment of the Company, be engaged in any other employment, conduct business
whatsoever or hold any office of profit or accept any other emoluments without previous
consent in writing of the Company. Breach of this condition could lead to immediate
termination without notice.
h. The Company lays emphasis on all statutory compliances and you should ensure compliance
with various statues in your area of operations.
i. Your continuation of appointment will be subject to your furnishing such other information
as the Company may require from time to time and subject to your services being acceptable
in the light of the information furnished and documents provided from time to time.
j. If after you join the Company´s service, it comes to the notice of the Company that you had
prior to joining the Company´s services committed any act of misconduct, your services are
liable to be terminated forthwith without any notice or compensation in lieu thereof, or if
your services are not so terminated, you shall be liable to disciplinary measures and any
penalty that may be imposed by the Company.
k. You shall observe all policies, code of conduct, rules and regulations of the Company.
This appointment is subject to your being medically examined and found fit. The Company
has the right to get you medically examined by any qualified medical practitioner during the
tenure of your service. In case you are found medically unfit to continue with the assignment
for which you have been employed, the Company shall have the discretion to terminate your
services without any notice.
l. This appointment is also subject to a satisfactory report from your former employers, based
on the references given by you.
m. During your employment with the Company, you may also be assigned with additional duties
incidental to your skill set, at the discretion of the Company from time to time. You shall
comply with all directions and instructions to that effect as deemed fit by the Company.
You are requested to bring the following documents as per Annexure “B” of offer of appointment
at the time of joining.

 Duly signed updated copy of Resume / Curriculum Vitae (CV).


 Six (6) Passport size coloured photographs. Full name and mobile no. should be
mentioned on the backside of the photographs.
 Cancelled cheque leaf (in original). Full Name, mobiIe number, Bank IFSC code should be
mentioned on the front side of cheque leaf.
 Duly attested copy of latest proof of income i.e. salary slip/s or appointment letter with
salary annexure or three to six month’s salary credit bank statement. (In case of
experienced candidates only)
 Duly self-attested copy of Pan Card.
 Duly self-attested copy of Aadhaar Card.
 Copy of current and permanent address Proof (duly attested copy of voter ID card, Driving
license, Aadhaar Card).
 Duly self-attested copy of highest educational certificate/s or mark sheets.

Your appointment is with effect from the date of joining, which should in any case be not later
than the date of joining mentioned in your offer of appointment.

The appointment terms and conditions are subject to change as per company’s decision and
prevailing HR policies.
