KNOW ALL MEN BY THESE PRESENTS:

This EXTRAJUDICIAL SETTLEMENT OF ESTATE, made and entered

into by and among:

Willis Q. Domilos married to Cecilia Domilos, both of legal age, Filipino

citizens, and residents of________________________;

Lino Q. Domilos married to Macaria Domilos, both of legal age, Filipino

citizens, and residents of________________________;

Jerome Q. Domilos married to Esperita Domilos both of legal age,

Filipino citizens, and residents of________________________;

Esther Domilos Bitaga married to Gilbert Bitaga, both of legal age,

Filipino citizens, and residents of________________________;

Marilyn Domilos Garcia married to Edmund Garcia both of legal age,

Filipino citizens, and residents of________________________;

Benny Q. Domilos married to Noriza Domilos both of legal age, Filipino

citizens, and residents of________________________;

Denver Q. Domilos married to Annabelle Domilos both of legal age,

Filipino citizens, and residents of________________________;

Catherine Domilos Villena married to Floyd Villena both of legal age,

Filipino citizens, and residents of________________________;

W I T N E S S E T H THAT :

The above-named parties, are the surviving legitimate children and only
heirs of the late VICTORIANO DOMILOS, who died intestate at
____________________on ____________, as shown by a copy of the Certificate
of Death issued by the Local Civil Registrar of Municipality of
___________________hereto attached as an integral part hereof and marked as
Annex “A”, acknowledge the following facts:

The said deceased, at the time of his death, owned in common with his
children, THREE MILLION THIRTY FIVE THOUSAND THREE HUNDRED
NINETY FOUR (3,035,394.00) MINING UNITS of BUTAN MINING AND
EXPLORATION COMPANY, together with all its mining, surface, water and timber
rights and privileges of all sorts of nature and character, duly registered/ recorded
with the Mines Geosciences Bureau.

To the best knowledge and information of the parties hereto, the said
deceased left no debts;

A true copy of this extrajudicial settlement of estate had been published

once a week for three consecutive weeks in a newspaper of general circulation in
the Cordillera Administrative Region;

The above mentioned properties are not the only properties left by the said
deceased, but to the best interest of the above heirs, the latter decided to settle
the said properties earlier.

It is to the best interests of the parties hereto to extra judicially divide,

partition and adjudicate among themselves the above-described UNITS;

NOW THEREFORE, for and in consideration of the foregoing premises, and

invoking the provision of Section 1, Rule 74 of the Rules of Court, the parties hereto
have agreed as they hereby agree to divide, partition and adjudicate the aforesaid
properties between themselves in the manner and form hereinafter set forth as
follows:

1. All the properties above mentioned are hereby distributed and adjudicated
among the aforementioned heirs as co-owners with equal interest on all the said
mining claims:

2. In addition, all the properties above mentioned are hereby assigned in trust to
Butan Mining and Exploration Company, presently being headed by its
President and General Manager, their brother, Lino Domilos, for and in behalf of
his other siblings, to be administered and utilized to its fullest extent and its
proceeds be equally divided amongst the above mentioned heirs, their respective
heirs and their assigns;

The foregoing settlement of estate and the adjudication or distribution set

forth herein is subject to contingent liabilities to creditors, heirs or other persons
who might have been deprived of lawful participation in the estate of the decedent,
for a period of TWO (2) YEARS, from and after the settlement and distribution
thereof, in accordance with the provision of Section 4, Rule 74 of the Rules of
Court; and

In the event that any other property of the decedent should ever be found
which is not included hereinabove, the parties hereto further agree to settle and
distribute the same in like manner and proportion as herein established and
disposed; and

All provisions of law relative to the transfer of mining claims, lodes and units
has been complied with;

who represented themselves to be the same persons who executed and signed
the foregoing instrument in my presence and they acknowledged to me that the
same is their own free and voluntary deed.

This instrument relates to an Extrajudicial Settlement of the Estate of

Victoriano Domilos over Mining Claims situated at the Province of Benguet and,
consisting of FOUR (4) PAGES including this page whereon this acknowledgment
is written. The parties signed on the left margin of each and every page thereof
including their instrumental witnesses.
