I, EUGENE S. MORENO, of legal age, Filipino, with
business address at Brgy. San Agustin, Alaminos, Laguna,
after having duly sworn to in accordance with law, depose
and state that:

1. I am currently the Corporate Secretary of MEGA

SOUTHERN ASPHALT MIX CORP. (Corporation), a corporation
duly organized and existing under the laws of the
Philippines with its principal office at Brgy. San
Agustin, Alaminos, Laguna;

2. In my capacity as such, I am in custody and

possession of the corporate books and documents of the
Corporation especially on matters discussed and brought
up during each and every Board of Directors meeting;

3. At the regular meeting of the Board of Directors

of the Corporation held last on 11 July 2017 duly called
for the purpose where a quorum was present to transact
and do business, the following resolution was unanimously
passed and approved thereto:

BOARD RESOLUTION No. 1-07-17

RESOLVED, AS IT IS HEREBY RESOLVED, the Board

hereby appoints Mr. Nelson M. Umali, Auditor, as the
authorized representative of the Corporation for its
Application for Electronic Filing and Payment System
(EFPS) before the Bureau of Internal Revenue (BIR) of
San Pablo City, Laguna;

RESOLVED FURTHER, that the authority given to

the Mr. Umali includes the authority to sign any and
all documents in connection with the Corporation’s
application with the Bureau (BIR) for and in behalf of
the Corporation;

RESOLVED FINALLY, that the Board hereby directs

the Corporate Secretary to issue the corresponding
 Secretary's Certificate, if needed be, showing the
authority granted by the Board under this Resolution.

4. The foregoing resolutions are valid and

subsisting and has not been revoked, amended or modified
as of date.
