CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This Deed made and executed by and between:

ALMA C. RASILES, of legal age, Filipino and a resident of Sigabon,


Malugas, Katipunan, Zamboanga Del Norte, hereinafter called the
“VENDOR”;

-AND-

SPOUSES RUDY T. PANAN and LYN S. PANAN, both of legal age,


Filipino, Married and a resident of Malugas, Katipunan, Zamboanga Del
Norte, hereinafter called the “VENDEE”;

WITNESSETH;
VENDEE

WHEREAS, the VENDEE offers to buy from the VENDOR a portion


of parcel of land consisting of 150 sq. meters including all the
improvements thereto;

WHEREAS, the VENDOR agrees to sell to the VENDEE, subject to


the installment basis until it is fully paid;

WHEREAS, the VENDOR is the lawful owner of a parcel of land,


consisting of Three Hundred (300) sq. meters, more or less, situated in
the Barrio of Malugas, Municipality of Katipunan, Province of

Zamboanga Del Norte, and covered by _____________ issued by the


Registry of Deeds for the Province of Zamboanga Del Norte, more
particularly described as follows:
VENDOR

NOW THEREFORE, for and in consideration of the foregoing


premises, the VENDOR agrees to sell and the VENDEE agrees to buy the
above described property under the following terms and conditions:

1. That the total consideration of the sale is Fifty Thousand Pesos


only (Php 50,000.00) for a total land area of 150 sq. meters;

2. That the VENDEE already paid Twenty Thousand Pesos (Php


20,000.00) before the signing of this contract, as part of the
purchase price;

3. That for the balance of Thirty Thousand Pesos (Php 30,000.00), the
VENDOR and VENDEE agrees that the VENDEE shall continue the
payment of One Thousand Pesos (Php 1,000.00) per month
starting September 2019 until fully paid;

4. That the Real Property Tax as well as the Real Estate Tax shall be
at the account of the VENDEE until the actual execution of the
DEED of ABSOLUTE SALE;

5. That the Capital Gain Tax, Documentary Stamps, Registration


Fees including the legal and notarial fees for the execution and
registration of the enabling sale documents and transfer of title
shall be paid by the VENDOR;

6. That upon the execution of this instrument, the VENDEE shall


enjoy the trees and fruits within the premises and can construct a
VENDEE

temporary shelter and/or structure only at expense of the


VENDEE;

7. That, the VENDOR warrants that the subject parcel of land


mentioned above is free from all liens and encumbrances, and that
the VENDOR shall defend the title and rights of the VENDEE from
any third person’s claims of whatever kind or nature.

8. Upon payment of the total price, the VENDOR shall sign and
execute Deed of Absolute Sale in favor of the VENDEE. The
VENDOR shall likewise execute and/or deliver any and all

documents, including but not limited to the Original Certificate of


Land Title, Tax Declaration and all other documents necessary for
the transfer of ownership from VENDOR to the VENDEE.

IN WITNESS WHEREOF, the parties have hereunto affixed their


signatures, this 29th day of August, 2019 at Dipolog City, Philippines.
