CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT, made and entered into at Marikina City,Philippines, by and between:

ADRIAN CHRISTOPHER A. CALINGO, of legal age, Filipino citizen, and with


residence and postal address at 36 Diamond St., Teremil Subdivision, Mambugan, Antipolo City,
hereinafter called the SELLER.
– and –

EDMUNDO P. CORNEJO, of legal age, Filipino citizen, married to Florida D. Cornejo,


Filipino citizen, and with residence and postal address at 10 Oro Vista Royale Village, Antipolo
City, hereinafter called the BUYER,

WITNESSETH:

That, for and in consideration of the agreed purchase price of Three Million Five Hundred
Thousand Pesos (Php3,500,000.00), Philippines currency, of which the sum of One Million Two
Hundred Sixty Thousand Pesos (Php1,260,000.00) has been paid by the BUYER as a
downpayment and the balance of Two Million Two Hundred Forty Thousand Pesos
(Php2,240,000.00) be fully paid by the BUYER upon the release of the Decision of the Regional
Trial Court of Antipolo City Branch 100 in the Land Registration Case entitled “ IN RE: PETITION
FOR THE ISSUANCE OF NEW OWNER’S DUPLICATE COPY OF TRANSFER CERTIFICATE
OF TITLE NO. N-47419, issued under the name of AVELINO M. CALINGO represented by
ADRIAN CHRISTOPHER A. CALINGO vs. REGISTER OF DEEDS OF ANTIPOLO CITY and all
other persons that may be affected thereby” docketed as LRC CASE NO. 19-7466.

That, upon payment of the above mentioned downpayment and the BUYER obligated
himself to pay the full remaining balance upon the release of the Decision of the above stated Court
on the said LRC Case , the SELLER does by these present agrees and binds himself to sell to the
BUYER that certain real estate situated at 36 Diamond St.,Teremil Subdivision, Mambugan,
Antipolo City, with the improvements existing thereon, covered by Transfer Certificate of Title
No. N-47419 issued by the Register of Deeds of Antipolo City and more particularly described as
follows:

“A parcel of land (Lot 6, Block 7 of the subdivision plan


(LRC) pad-107575, being a portion of Lot 1346, Antipolo Cadastre
LRC Rec. No. 9412), situated in the Sitio of Milting Dilno,
Municipality of Antipolo, Province of Rizal, Island of Luzon.
Bounded on the NE. points 4 to 1 by Lot 5, Block 7; on the SE. points
1 to 2 by street Lot 6; on the SW. points 2 to 3 by Lot 7, Block 7 and
on the NW. Points 3 to 4 by Block 8 (Open Space) all of the
subdivision plan. Beginning at a point marked “1” on plan, being S.
32 deg. 57’E., 2663.50 m. from BLB No. 1, Eo. Of “Mayamot,
Antipolo, Rizal; thence S. 31 deg. 60’ W., 12.00 m. to point 2 thence
N 53 deg. 03’W., 26.60 m. to point 3; thence N.28 deg. 53’ N., 12.02
m. to point 4; thence S. 53 deg. 03’’E., 27.29 m. to point of
beginning; containing on area of THREE HUNDRED TWENTY
FOUR (324) SQUARE METERS, more or less. All points referred
to are and indicated on the plan and are marked on the ground by PS
cyl.cono.mons 16x60 cm., bearings tree; deal. 0 def. 45’E., date of
the original survey, 1912-1913 and that of the subdivision survey,
March 25, April 28-29, June 2-7 and July 8-10, 1969.

That upon payment of the total purchase price above stipulated and the other obligations
set forth hereunder, the SELLER shall forthwith execute and deliver to the BUYER a final Deed
of Absolute Sale conveying the above-described property, free and clear of all liens and
encumbrances except such as may be subsisting by operation of law, it being understood, however,
that the expenses for the documentation fees, attorney’s fees and capital gains tax shall be for the
exclusive account of said SELLER and expenses for the documentary tax as well as transfer taxes
shall be exclusively account of the BUYER.

That the SELLER shall be fully obligated to cooperate with the proceedings of the above-
mentioned land case until the release of the decision of the above stated court of law.

That the BUYER shall have the option to pay the entire balance of the purchase price at
any time before the period herein stipulated.

That this agreement shall inure to the benefit of, and be binding upon, the parties hereto
and their respective legal representatives and assigns, but the right of the BUYER by virtue hereof
cannot be validly transferred or assigned to a third party without the prior written consent of the
SELLER.

IN WITNESS WHEREOF, the parties hereto have hereunto set their hands at the place
first above written, on this ___________day of September 2019.

CHRISTOPHER A. CALINGO with Non Professional Driver’s License No. N02-14-005984
issued at Quezon City and EDMUNDO P. CORNEJO with Professional Regulation Commission
Registration No. 0029985 issued at Manila all known to me to be the same persons who executed
the foregoing instrument and duly presented their respective valid IDs bearing their photographs
and signatures and acknowledged before me as their true and voluntary act and deed.
