DEED OF SALE OF MOTOR VEHICLE

KNOW ALL MEN BY THESE PRESENTS:

This instrument is made and entered into this 6Th day of September 2018 in Quezon
City, by and among:

JOSHUA JOSEPH N. LABAYEN, of legal age, Filipino, and

residing at No. 83, Las Villas del Cielo San Ville Tandang Sora, Quezon
City (“SELLER”);

- and –

DANILO A. BAYBAYEN, JR., of legal age, Filipino, residing at

Phase 1 Unit 26 Bldg. B Green Valley, Baguio City, Benguet (“BUYER”);

WITNESSETH:

WHEREAS, the SELLER is the absolute and registered owner of the motor
vehicle, more particularly described as follows:

Year Model : 2010
Chassis No. : GD11097964
Engine No. : L13A1109501

WHEREAS, the SELLER desires to sell the aforesaid motor vehicle and
the BUYER is willing and able to purchase the same under the terms and conditions
set forth hereunder;

NOW THEREFORE, for and in consideration of the sum of

Philippine currency, the SELLER hereby SELLS, TRANSFERS and CONVEYS, by way
of an absolute and irrevocable sale, unto the BUYER the above-described motor vehicle
under the following terms and conditions:

1. The contract price is exclusively for the payment of the motor vehicle only. All
taxes and expenses related to transfer shall be for the account of the BUYER.

2. The motor vehicle shall only be released to the BUYER upon receipt of full
payment of the contract price by the SELLER.

3. The sale of the motor vehicle is exclusively on an “as is where is” basis.

4. The SELLER warrants that the motor vehicle is free from any liens and
encumbrances and shall defend the title and rights of the BUYER from any
claims of whatever kind or nature from third persons.
