MEMORANDUM OF UNDERSTANDING

BETWEEN
Ghana Registered Nurses and Midwives’ Association, herein referred to as GRNMA, the
Professional Body and Trade Union of Nurses and Midwives (beneficiary of the offer of two
acres of plot of land) – The First Party
AND
Cape Coast Teaching Hospital herein referred to as CCTH, a Tertiary Health Facility, (the donor
of two acres of plot of land) – The Second Party

Memorandum of Understanding

This Memorandum of Understanding is made for the purpose of the GRNMA agreeing to and
sticking to the objective of acquiring a two acre plot of land donated by CCTH which initial
processes are stated as follows:

The GRNMA is the professional Association and Trade Union of Nurses and Midwives in
Ghana, that represents the interest of its members who are Nurses and Midwives and any party
associated with it as either an affiliate or an ally as constitutionally stipulated. The GRNMA’s
mandate as the mouthpiece of Nurses and Midwives and significant others is given by its
registration as an Association and a Trade Union that solely among other existing bodies of
Nurses and Midwives, holds the Collective Bargaining Certificate as an entitlement to represent
the voice of Nurses and Midwives in Ghana on matters relating to welfare, labour relations and
collective bargaining.

The GRNMA in undertaking its mandate, among other things has embarked on physical
infrastructural development that is to provide Hostels/Guest Houses, recreational and educational
facilities for Nurses and Midwives in all the current ten Regions of Ghana namely:
Upper East, Central, Ashanti, Upper West, Greater Accra, Volta, Northern, Western and Brong
Ahafo.

The leadership of the GRNMA, considering the strategic importance of citing the Central
Regional facility in the hub of the work place of the fraternity of its members, considered a
location within the Cape Coast Teaching Hospital.

Following the development of an intention to provide the Central Region with a facility, the
GRNMA leadership submitted a formal application to the Management of CCTH to request a
parcel of land to meet this objective which graciously received a positive response culminating in
the donation of two acres of land by CCTH to the GRNMA.

In a letter of request submitted by the GRNMA to the CCTH, it was initially indicated that a
three-tier project was going to be delivered in three stages and phases. The three-tier project was
to provide the following:

The first phase of a two-storey (Ground Floor and a first Floor) of twenty-eight guest room
facility with a three hundred seating capacity cafeteria and three hundred and fifty room
conference hall.

The second phase was to be a crèche that would admit three hundred Children initially and a
third phase of an ultra-modern e library facility to be place at the disposal of the health
professional and academic community of the CCTH

It was requested by the CCTH management for acceptance by the GRNMA that the three-phased
facility, which would also be open for patronage by the general public, would give first-hand
advantage of use by all the employees/staffs of the CCTH. Agreement was reached to this effect
between the CCTH and the GRNMA.

An observation was made by the CCTH CEO and his team in the course of the development of
the first phase that the stage of the development of the facility needed a revision which was the
construction of an additional floor to the hostel/guest house edifice with the purpose of
increasing the number of rooms.

In order that the original design and safety of the structure would not be compromised, it was
agreed that that, to meet the objective of the request for the revision of the plan suggested by the
CEO, more room should rather be created by turning the ground floor of the structure designed
for a conference hall into rooms. In so doing, an additional space of the compound should be
found to construct a separate conference hall; thus an expansion of the plot of land donated to
GRNMA would be required.

The GRNMA and the CCTH in principle agreed on the terms of the revision of the plan which
eventually led to:

o The breaking down of some block design to undertake the construction of more rooms
within the structure at the site originally designed for conference hall and kitchen
o The re-demarcation of the plot of land to expand it to 3 acres
o The immediate excavation for the construction of a separate 1, 000-seater Conference
Hall facility

Following the acceptance of the afore-stated arrangement by the two parties, GRNMA and
CCTH, the GRNMA affirms their commitment to the following cause:

o The continuation of the first phase of the project of a 41-room facility to be completed by
June, 2019.
o The commencement and completion of the deferred part of the first phase of the project
of a 1,000-seater conference hall by facility by December, 2019.
o The commencement of the second phase of the project of a crèche in January, 2020.

o The completion of the second phase of the project of a crèche by June, 2020.
o The commencement of the third and final phase of the project of a e-library in August,
2020
o The completion of the third and final phase of the project of a e-library by august 2021

The GRNMA upholds this commitment to these time lines not without recourse to circumstances
that may cause delay in executing its obligation.

Terms of the Memorandum of Understanding

This Memorandum of Understanding (the "Memorandum") is made on ………. by and between


the Management of The Cape coast Teaching Hospital represented by its Chief Executive Officer
herein referred to as the CEO and the leadership of the Ghana Registered Nurses and Midwives’
Association represented by its President herein referred to as The President for the purpose of
achieving the various aims and objectives relating to the Project.

WHEREAS and desire to enter into an agreement in which and will work together to complete
the Project;
AND WHEREAS and are desirous to enter into a Memorandum of Understanding between them,
setting out the working arrangements that each of the partners agree are necessary to complete
the Project;

Purpose
The purpose of this Memorandum is to provide the framework for the execution of the proposed
project and the terms thereof and any future binding contract regarding the execution of same
between the GRNMA and the CCTH to be represented by the President and CEO respectively at
any time on behalf of their institutions.

Obligations of the Partners


The Partners acknowledge that no contractual relationship is created between them by this
Memorandum, but agree to work together in the true spirit of partnership to ensure that there is a
united visible and responsive leadership of the Project and to demonstrate financial,
administrative and managerial commitment to the Project by means of the following individual
services.

Cooperation
The activities and services for the Project shall include, but not limited to:

Upon its final completion, its full management shall be by the authorities of the GRNMA which
is the sole owner of the facilities on behalf of its entire membership; the GRNMA may resort to
outsourcing the management of the facility.

Without due consultation with the second party which is CCTH, the GRNMA will decide the
level of commercialization of the facility for the purpose of reaping profit in its management to
recover full or part thereof of the cost of building the facility

The GRNMA may request the CCTH for additional space of plot of land for the purpose of
expansion of the facility to serve the interest of the community.

Communication Strategy
Marketing of the vision and any media or other public relations contact should always be
consistent with the aims of the Project and only undertaken with the express agreement of both
parties. Where it does not breach any confidentiality protocols, a spirit of open and transparent
communication should be adhered to. Coordinated communications should be made with
external organizations and significant stakeholders to elicit their support and further the objective

Liability
No liability will arise or be assumed between the parties as a result of this Memorandum.

Dispute Resolution
In the event of any disagreement between the Partners in the negotiation of the final binding
contract relating to this Project, a dispute resolution group will convene consisting of the leaders
of the two parties together with three other persons independent of the leaders appointed by the
leaders

Term
The arrangements made by the Partners by this Memorandum shall remain in place from the date
on which was signed until the expiry of its term as agreed. The term can be extended only by
agreement of all of the Partners.

Assignment
Neither party may assign or transfer the responsibilities or agreement made herein without the
prior written consent of the non-assigning party, which approval shall not be unreasonably
withheld.

Amendment
This Memorandum may be amended or supplemented in writing, if the writing is signed by the
party obligated under this Memorandum

Severability
If any provision of this Memorandum is found to be invalid or unenforceable for any reason, the
remaining provisions will continue to be valid and enforceable.

Prior Memorandum Superseded


This Memorandum constitutes the entire Memorandum between the parties relating to this
subject matter and supersedes all prior or simultaneous representations, discussions, negotiations,
and Memorandums, whether written or oral

Understanding
It is mutually agreed upon and understood by and among the Partners of this Memorandum that:
a. Each Partner will work together in a coordinated fashion for the fulfillment of the Project.
b. In no way does this agreement restrict involved GRNMA from participating in similar

agreements with other public or private agencies, organizations, and individuals.
c. To the extent possible, each Partner will participate in the development of the Project.
e. This Memorandum is not intended to and does not create any right, benefit, or trust
responsibility.
f. This Memorandum will be effective upon the signature of both Partners.

Signatories
This Agreement shall be signed by appropriate representatives of the parties involved by and on
behalf of members of their organizations/institutions and shall be effective as of the date first
written above.
