INDEMNITY BOND FOR GUARANTEED PERFORMANCE AND QUALITY

This deed of Indemnity executed by M/s. RUSHABH LITES AND CABLES, CHENNAI
(PAN NO: AASFR3857H), Represented by its Partner Mr. BHARGAV MODI (Aadhar No:
4064 5925 1756) , hereinafter referred to as 'Indemnifier' which expression shall, unless
repugnant to the context or meaning thereof, include its successors, administrators,
representative and assignees in favour of M/s. KLP PROJECTS PRIVATE LIMITED,
CHENNAI, having its Office at No.1-30, Perambur Barracks Road, Off Strahans Road,
Chennai – 600 012, represented herein by its Managing Director Mr. MANEESH PARMAR,
hereinafter referred to as the ‘Indemnified’ which expression shall unless repugnant to the
context or meaning thereof, include its successors and assignees witnesses as to.
Whereas, the indemnified herein has placed to the Indemnifier herein, orders for the supply of:
I. 80 Units of 15-Watts False Ceiling Down Light Square type - Warm White, 3 Units
of 15-Watts Surface Mount Square Type Warm White Lights, 52 Units of 15-Watts
Surface Mount Square Type White Lights, 80 Units of 5-Watts Spot Light Fittings
White, of the brand Corvi, through Purchase order No: 2540, Dated: 06/12/2017,
valued at Rs. 97,832 (Rupees Ninety-Seven Thousand Eight Hundred and Thirty-
Two Rupees only) Inclusive of CGST & SGST.

II. 3 Units of 15-Watts Surface Mount Square Type Warm White Lights, 53 Units of
15-Watts Surface Mount Square Type White Lights, 63 Units of 15-Watts False
Ceiling Down Light Square type - Warm White, 150 Units of 9 Watts Surface
mount round Type White Lights, 83 Units of 5-Watts Spot Light Fittings White, of
the brand Corvi through Purchase order No: 2541, Dated: 02/11/2017, valued at
Rs. 1,75,858.48 (Rupees One Lakh Seventy-Five Thousand Eight Hundred and
Fifty-Eight and Forty-Eight Paisa only) Inclusive of CGST & SGST.

III. 63 Units of 15-Watts False Ceiling Down Light Square type - Warm White, 3 Units
of 15-Watts Surface Mount Square Type Warm White Lights, 128 Units of 15-
Watts Surface Mount Square Type White Lights, 79 Units of 5-Watts Spot Light
Fittings White, of the brand Corvi through Purchase order No: 2542, Dated:
06/12/2017, valued at Rs. 1,44,356.80 (Rupees One Lakh Forty-Four Thousand
Three Hundred and Fifty-Six and Eighty Paisa only) Inclusive of CGST & SGST.

IV. 63 Units of 15-Watts False Ceiling Down Light Square type - Warm White, 3 Units
of 15-Watts Surface Mount Square Type Warm White Lights, 130 Units of 15-
Watts Surface Mount Square Type White Lights, 79 Units of 5-Watts Spot Light
Fittings White through Purchase order No: 2543, Dated: 06/12/2017, valued at
Rs. 1,45,544 (Rupees One Lakh Forty-Four Five Thousand Five Hundred and
Forty-Four only) Inclusive of CGST & SGST.

V. 158 Units of 36 Watts LED flat Tube Type Fittings, of the brand Mescab, through
Purchase order No: 3126, Dated: 16/02/2018, valued at Rs. 1,02,542 (Rupees
One Lakh Two Thousand Five Hundred and Forty-Two only) Inclusive of CGST
& SGST.
On terms and conditions set out inter-alia in the above-mentioned Purchase orders.
Whereas, the indemnifier herein provides for guarantee for the products supplied as under the
above Purchase Orders Numbered: 2540, 2541, 2542, 2543, to be free from defects or damages
for a period of 60 months for complete light fittings and 180 Months for LED only from the
date of Invoice or the date of receipt of stores, whichever is earlier.
Whereas, the indemnifier herein provides for guarantee for the products supplied as under the
above Purchase Order Numbered: 3126 to be free from defects or damages for a period of 60
months for complete light fittings from the date of Invoice or the date of receipt of stores,
whichever is earlier.
Whereas, the indemnifier agrees to provide 5 Years (60 Months) of replacement warranty
for complete light fittings from the date of Invoice or the date of receipt of stores, whichever
is earlier and 15 Years (180 Months) of Replacement warranty for LED only from the date of
Invoice or the date of receipt of stores, whichever is earlier, for the Products under the above
Purchase Order Nos: 2540, 2541, 2542, 2543.
Whereas, the indemnifier agrees to provide 5 Years (60 Months) of replacement warranty
for complete light fittings from the date of Invoice or the date of receipt of stores, whichever
is earlier, for the Products under the above Purchase Order No: 3126.
Whereas the Indemnifier is not liable to fix or repair the above Lights and Fittings, in case of
any voluntary or Exterior Physical damages are caused due to acts of the Indemnified or
accidental damages caused on the part of the Indemnified.
Whereas if the indemnifier is not able to fix the defect/damage within 7 days after receiving
the notice of the defect or replace the defective product with a good condition product, then the
Indemnifier is liable to repay the Cost of the product as in the Purchase Order or Reimburse
for the money spent by the Indemnified for repairing or replacing the defective product.
Whereas, the indemnifier hereby irrevocably agrees to indemnify the indemnified that in the
event of the stores not achieving the life guarantee, the indemnifier shall as may be deemed
necessary repair the defective stores at site, free of cost, within 7 days after the Indemnifier is
notified about the defect through any means by the Indemnified or reimburse the pro-rata cost
of the stores to the extent a life not achieved as per the guarantee, or supply spare or alternative
lights as replacement for the defective portion of lights supplied only free of cost at site in
respect of the purchase orders between M/s. KLP Projects Private Limited and obligations
emanated from the above mentioned purchase orders.
