MEMORANDUM OF UNDERSTANDING

International Electronics and Technical Institute, Inc. - Makati

And

Codepilot Pte. Ltd. (Singapore)

This MEMORANDUM OF UNDERSTANDING (hereinafter referred to as “MoU”) is made

and
entered into on this ____ day of _____________ 2020.
BETWEEN

● International Electronics and Technical Institute, Inc , a private tertiary

educational
institution established and registered in Philippines with principal address at Room
402, 4th Floor Guadalupe Comm’l Complex Guadalupe, Makati City, represented by its
School Director , MR. SIDNEY L. RESURRECCION, it is herein referred to as “IETI”.

AND

● Codepilot Pte. Ltd, is a private company registered in Singapore which advocates

technology learning through their intuitively designed project kits which help users
learn
basic coding and electronics, with principal address at 10 Anson Road #27-15,
International Plaza, Singapore 079903. For the purpose of this Memorandum of
Understanding, Codepilot is represented by MR. EVAN CHARLES LIM FANG MENG ,
Chief Information Officer, it is herein referred to as “Codepilot”.
IETI and Codepilot shall be collectively referred to as "the Parties" and individually as "the
Party ".

PURPOSE AND SCOPE:

A. Both Parties recognize that the collaborative efforts are of mutual benefit and will
contribute to an enduring educational, professional linkage and synergy for the benefit of the
students who study in IETI. This collaboration effort will enable the IETI students to graduate
with both IETI course Certificate/Diploma and the experience of using Codepilot project kits
as part of their technology learning journey.

B. IETI will ensure selected Codepilot Kits will be used and embedded in the curriculum
of IETI.

C. Codepilot will provide consultancy and advisory services to IETI on Codepilot Project
Kit usage and will provide completion certificates for students who have satisfactorily
completed with their final projects.

RESPONSIBILITIES UNDER THIS MOU:

Intended Activities of IETI:

1. IETI will sign up and become Codepilot Authorized Project Kit Provider and will
have to establish a facility for Codepilot training and certification.
2. IETI will promote Codepilot Project kits through targeted seminars, and written
articles in IETI brochures/academic papers.
3. IETI will embed Code and digital lectures in the IETI curriculum.
4. IETI must acquire at least reasonable quantity of Codepilot project kits annually as
specified a MOA.

Intended Activities of Codepilot:

1. Codepilot will provide IETI necessary information to enable students in completing

the student projects.
2. Codepilot will authorize IETI as Codepilot Authorized Academic Partner and will
provide
the students of IETI the special academic provider on Codepilot project kits.
3. Codepilot will authorize IETI to use the Codepilot name and logo in its Authorized
Academy Partner Program.
4. Codepilot will provide completion certificates to students who have satisfactorily
submitted projects. Each completion certificate will have a distinct Kit ID and signed
by at least one of the Codepilot co-founder/ officers.
IT IS MUTUALLY UNDERSTOOD AND AGREED BY AND BETWEEN THE PARTIES
THAT:

1. This MoU can be modified providing both parties are in agreement or specific provision be
covered by a MOA.

2. This MoU can be terminated by either party by giving one month advance notice.

EFFECTIVE DATE AND SIGNATURE:

This MoU shall be in effect upon the signature of IETI and Codepilot’s authorized officials.

It shall be in force for two (2) years.

Parties indicate agreement with this MoU by their signatures.
