As discussed on our last visit to your office, this is to inform you that

my company management has finally decided to sale out the material

which we fabricated against your PO No. 2015/ABCN/313 Dated

29/10/2015 due to delay in the payment of balance amount from your

side even after our repeated attempts to receive the same and settle

the transaction as per agreed terms your company issued the PO

almost seven month ago and transferred the advance payment of

50% (100,000 SR) initial amount from the PO amount, for the

remaining balance 50% amount we are continuously following up till

date with both you and with your finance department and are yet to

receive any positive response from your side.

I would also like to bring into your knowledge that we cannot

guarantee your share and proportion from the material amount that

we’re going to sell, it may be anywhere between more or less 10 to 15

% of the total sales value, the said material will fetch us the total value

only if it’s suitable and compatible to the buyer’s requirements and

specifications, since we’ve designed and manufactured it based on

your requirements and technical diagrams provided by you.

This is our last attempt to salvage whatever we can from the

material we’ve manufactured on your PO request and

demand, in case if you are serious, do let me know if we can

come to some understanding on the above matter and settle

things amicably.

1 - Acceptance of Purchase Order;

Vendor should send Purchase order acknowledgement along with delivery commitment. If ABIS does not
receive purchase acknowledgement within 2 days it is presume that all purchase order terms and condition are
acceptable to Vendor.
2- Invoice Instruction:
•Vendor should send Original Invoice along with delivery challan to stores within 30 days. ABIS store will
refuse to accept the material in absence of Original Invoice. If material is being dispatched directly to site
vendor should inform the site in charge regarding dispatch of the items with copy to .Head office Fax-----------

3- Part Dispatch:
Vendors are hereby instructed not to dispatch material partially without instruction from ABIS in written. ABIS
stores may refuse to accept the material if material is being dispatched partially without approval in writing or
agreed by buyer.
4- Inspection:
All materials and services supplied by vendor should be self certified by vendor. Even though ABIS has right to
check the material randomly if needs arise. ABIS may depute its inspector at vendor premise if unless
specified in Purchase Order.
5- Packaging and shipping materials:
All material should be packed properly and vendor should take due care for transportation. If material get
damage during transit ABIS stores will not accept the damaged material, Vendor has to replace damage items
immediately free of cost 6.Warrantv and After-sales service:
The supplier to provide the buyer fully guaranteed until the end of the insurance mentioned in the contract and
agreed in advance by the buyer shall be entitled during the period of the contract for technical assistance and
maintenance as stipulated by the insurance contract to this contract.
7- Insurance: While delivering material by vendor at our stores Transit insurance has to cover by vendor

8- Liquidated Damage AL Barrak Industrial Services the right to impose a fine estimated at 0.5 percent of
the value of the goods for the last delivery date for each week of delay but not more than 5 percent of the
total contract value.
9- Arbitration:
In the case of differences that the parties have recourse to the law this contract is subject to the laws and
regulations of the Kingdom of Saudi Arabia and are only referring between the parties within the Kingdom of
Saudi Arabia only.

10- All suppliers of materials , rental equipment .hired manpower, or any other services related to project
execution must submit their invoices within 30 days max after completion of the project (SD/ TAJ Emergency
projects) otherwise no charge will be on later dates to any cost center or closed project.
