DEED OF ASSIGNMENT

KNOW ALL MEN BY THESE PRESENTS:

This DEED, made and executed, by and between –

NORMA DELA CRUZ vda. de AMURAO, of legal age, Filipino,

widow, with residence and postal address at Brgy. Anupul, Bamban 2317, Tarlac,
Philippines, hereinafter referred to as the ASSIGNOR,

- and -

GERVACIO I. GARCIA II, likewise of legal age, Filipino, with residence

and postal address at Brgy. Anupul, Bamban 2317, Tarlac, Philippines, hereinafter
referred to as the ASSIGNEES,

WITNESSETH: THAT –

WHEREAS, the ASSIGNOR is the WAIVEE of Deed of Conveyance and Waiver

of Hereditary Rights executed by the heirs of the late QUIRINO DELA CRUZ and
VIRGINIA DE LEON namely: NARCISA DELA CRUZ-ESGUERRA, JUAN DE
LEON DELA CRUZ, OFELIA DELA CRUZ-MESA, the heirs of ALIPIO DELA CRUZ
and VIRGINIA DE LA CRUZ and the heirs of RAFAELA DELA CRUZ and
REMEDIOS DELA CRUZ, covering a certain parcel of land, covered and described by
Transfer Certificate of Title (TCT) No. 043-91768, containing an area of TWO
HUNDRED FORTY (240) SQUARE METERS, more or less, copy of which is attached
as Annex “A” to form an integral part hereof;

WHEREAS, the ASSIGNOR has offered to assign all her rights, interests and
participations over a the said parcel of land, the ASSIGNEE hereby accepts the
assignment in accordance with the terms herein set forth;

NOW, THEREFORE, for and in consideration of the foregoing premises and the
sum of THREE HUNDRED THOUSAND (Php300,000.00) PESOS, Philippine
Currency, the ASSIGNOR hereby ASSIGNS, TRANSFERS and CONVEYS unto the
ASSIGNEE, all her rights, interests and participations in a manner of absolute and
irrevocable, over the said parcel of land and the ASSIGNEE by these presents hereby
accepts the assignment;

IN WITNESS WHEREOF, both parties hereunto set their hands this

ACKNOWLEDGMENT

BEFORE ME, a Notary Public for and in the Municipality of Bamban, Province of
Tarlac, on this ________________, personally came and appeared; NORMA DELA
CRUZ vda. de AMURAO and GERVACIO I. GARCIA II, whose positive
identifications are duly noted above below their respective names and signatures, known
to me to be the same persons who executed the foregoing instrument, and acknowledged
before me that the same is their free and voluntary act and deed.

This instrument contains of a DEED OF ASSIGNMENT and consists of two (2)

pages including this page whereon this acknowledgment is written.
