Both parties agree to enter into a sale-purchase agreement where the terms and
conditions are regulated in 9 (nine) articles, as follows below:

Article 1
TYPES OF GOODS

THE FIRST PARTY agreed to sell and submit to the SECOND PARTY who agreed to
buy and accept surrender from the FIRST PARTY in the form of:

Article 2
GUARANTEE

THE FIRST PARTYguarantee that the goods it sells are the legal property of CV. Deltta
Karya Rahayu, there is no person or other party that owns it and has not previously
been sold or transferred rights, or guaranteed to another person or party in any way.

Article 3
PRICE OF GOODS

GOOD prices are agreed upon Cost and Freight (CNF) Hamad Port, Qatar [550 USD
(Five Hundred Fifty US Dollars) per ton], so the overall price of the aforementioned
GOODS is [14,850 USD (Fourteen Thousand Eight Hundred Fifty US Dollars)]

Article 4
PAYMENT METHOD

For payment of goods, the SECOND PARTY applies the method of payment in
accordance with the terms and conditions agreed upon by the FIRST PARTY, namely:

1. Down Payment or DP (Down Payment) of [(30)% (--- Thirty ---)] percent of the
overall price of GOODS, i.e. [4,455 USD (Four Thousand Four Hundred Fifty Five US
Dollars)] the SECOND PARTY pays to the PARTY FIRST after signing this
agreement.

2. This agreement is treated as a receipt for receiving down payment from the SECOND
PARTY.

3. Payment of payment in the amount of [(70)% (--- Seventy ---)] percent of the total
price of GOODS, i.e. [10,395 USD (Ten Thousand Three Hundred Ninety Five US
Dollars)] is paid the SECOND PARTY to the FIRST PARTY after the entire GOODS
are shipped to be sent to the SECOND PARTY as evidenced by a Copy of Bill of
Lading (B / L).

4. After the Settlement Payment has been received by the FIRST PARTY, the SECOND
PARTY has the right to obtain the original Bill of Lading Documents (B / L) which
then the FIRST PARTY is obliged to send it to the SECOND PARTY.

5. Payment is made by the Telegraphic Transfer (TT) mechanism or Bank Transfer by

the SECOND PARTY to the FIRST PARTY through the Mandiri Bank Account

DELIVERY OF GOODS

1. GOODS will begin sending the FIRST PARTY by using (--- Container 40 Feet HC ---)
to the SECOND PARTY through the Freight Forwarder Services designated by the
FIRST PARTY, [(21) (--- Twenty-One ---)] Days Work after the DP (Down Payment)
Money is received by the FIRST PARTY.

2. The entire GOOD will arrive at the SECOND PARTY at (--- Hamad Port ---), [(30) (---
Thirty ---)] days from the date of the Bill of Lading (B / L) issued by Freight
Forwarder.

Article 6
SANCTIONS TO THE DELAY OF DELIVERY OF GOODS

If the FIRST PARTY is late or fails to deliver or is unable to submit GOODS as

mentioned in article 4, while the problem is not due to force majeure, the FIRST PARTY
is subject to sanctions in the form of a fine of [(0.5)% (--- Point Five - -)] percent or equal
to [(22.27 USD) (------ Twenty-Two Point Twenty-Seven US Dollars ---)] every day with a
maximum fine of [(10)% (--- Ten ---)] percent of payments received by the FIRST PARTY.

Article 7
MAJEURE FORCE

The so-called force majeure are things that happen outside the authority of the FIRST
PARTY, such as:

1. Natural disasters, such as: floods, earthquakes, landslides, lightning, hurricanes, and
fires caused by external factors that interfere with the continuity of this agreement.
2. Riots, rebellion and war.
3. If the delay or negligence is due to the SECOND PARTY, the FIRST PARTY cannot
be obliged to pay a fine.

Article 8
DISPUTE RESOLUTION

In the event of a dispute between the two parties, the two parties agree to:

1. Completing a family or deliberation at the first level.

2. If the family or deliberation road does not satisfy both parties, then this dispute will
be settled according to applicable law and both parties agree to choose domicile in
(------ Cianjur District Court Registrar's Office ------).

CLOSING

This agreement was made on sufficiently stamped paper signed and made in duplicate
of 2 (two) with the same legal force and each was held by the FIRST PARTY and the
SECOND PARTY.
