DEED OF DONATION

KNOW ALL MEN BY THESE PRESENTS:

I, NEIL RYAN DECLARO y DELOS REYES, of legal age, single and a resident
of Daffodil St. Renaissance Garden, Washington Drive, Legazpi City, am the absolute
owner of that certain parcel of commercial land, situated at Centro Legazpi City and
more particularly described as follows:

TRANSFER CERTIFICATE OF TITLE

No. 40269

“A parcel of land (Lot 9778-J-3 of the subdivision survey Psd-050506-013827,

being a portion of Lot 9778-J Psd-5738), situated in the Barangay of Centro, City
of Legazpi, Island of Luzon. Bounded on the S., along lines 1-2 by (Tibu River)
Quezon Avenue; on the W., along lines 2-3, by Lot 9778-J-2, Psd-050506-13827; on
the N. & E., along the lines 3-4-1 by Lot 9778-A, Psd-5738 x x x. containing an
area of TWO HUNDRED NINTEEN (219) SQUARE METERS. x x x”

That for and in consideration of our love and affection on our son in order to
assist him in his needs, I hereby donate unto my son INIGO RYAN BADIOLA, of legal
age, single and resident of Sta. Cruz, Baao, Camarines Sur, the above described
property including the improvements therein constructed, free from any aliens or
encumbrances whatsoever.

That this donation shall be effective upon the execution of this instrument and
that the done shall be entitled to possession and fruits of the property herein donated.

That I, NEIL RYAN DECLARO, as donor hereby state that I have reserved
sufficient properties to cover payment of any indebtedness we might have contracted
prior to the execution of this instrument and that this donation is not in any manner
intended to defraud creditors.

That the property subject of this donation is a commercial land hence the
provisions of the Land Reform Code and other related laws and decrees are not
applicable to this donation.

ACCEPTANCE

That I, INIGO RYAN BADIOLA, hereby accept the donation and hereby express
my profound thanks to my biological farther NEIL RYAN DECLARO for this donation.

Camarines Sur, Philippines on March 15, 2015 to me known and known to me to be the
same persons who executed the foregoing instrument of Donation in favor of Inigo

acknowledgement is written and acknowledged to me that the same is their free and

AFFIDAVIT OF UNDERTAKING

I, NEIL RYAN R. DECLARO y DELOS REYES, of legal age, single, resident of Daffodil
St. Renaissance Gardens, Washington Drive, Legaspi City, after being sworn to in
accordance with the law do hereby depose say:

1) That I am the owner/manager of RALPH MOVES DANCE STUDIO, duly authorized

for the purpose of this undertaking;

2) That the said dance studio has the postal address at Daffodil St. Renaissance Gardens,
Washington Drive, Legaspi City;

3) That as per requirement for the renewal of the Mayor’s Business Permit,
Undersigned promises to comply with all the lawful requirements of the City Health
Office necessary for such purpose within the stipulated period for the same;

4) That I am executing this Affidavit to attest to the truth of the forgoing for whatever
purpose it may serve.
