Appointment Letter

Dear MR. NAME,

With reference to your application and subsequent interview we had with you, the
Management is pleased to offer you employment in our Company as “DESIGNATION”,
Grade-7 to be based out of our LOCATION Office. The cost to company as mutually agreed
is of Rs. 1,90,000 (Rupees One Lac Ninety Thousand Only only) per annum subject to
terms & conditions of service mentioned herein with the following:-

1. Effective Date : Your appointment is effective from DOJ

2. Remuneration* : As per Annexure – A attached.

 You will be reimbursed mobile phone expenses incurred for official calls.

*The current salary, perquisites and benefit structure is an interim arrangement,


however, as and when the new structure is evolved, your basic salary, perks & benefits
would suitably be adjusted.

Provident Fund: You will be entitled to the benefit of Provident Fund Scheme as per
rules.

Income Tax: Incidence of Income Tax wherever applicable on the above will be borne by
you. The Company shall be entitled to deduct tax at source (TDS) as per the applicable
rules notified by the Government.

3. Probation Period:
You shall be on Probation for a period of Six (6) Months from the date of your joining duties
in our Company. During the probation period, your services may be terminated at any time
without giving any notice or payment and without assigning any reason to you. After
successful completion of Probation Period, your services shall be confirmed by an
authorized official of the Company in writing. Unless you are so advised in writing by the
Company, your employment shall stand automatically terminated

4. Duties & Responsibilities:

i. You agree that you shall attend and perform the duties and responsibilities of
“Admin Executive” and such other duties and responsibilities, which may be
assigned to you from time to time by the Company at the Company’s discretion.

ii. You understand and agree that you owe the Company the duty of good faith and
loyalty and that you shall discharge your responsibilities with a high standard of
discipline, efficiency, initiative and economy.

iii. Other Activity During Employment. Except upon the prior written consent of the
Company, throughout the time you are employed by the Company, you shall not (i)
accept any other employment i.e. you shall devote your full time and attention to your
duties; or (ii) engage, directly or indirectly, in any other business, commercial, or
professional activity (whether or not pursued for pecuniary advantage) that is or may
be competitive with the Company, that might create a conflict of interest with the
Company, or that otherwise might interfere with the business of the Company. So
that the Company may be aware of the extent of any other demands upon your time
and attention, you shall disclose in confidence to the Company the nature and scope
of any other business activity in which you are or become engaged while employed
by the Company.

iv. Non-Solicitation. During and after the termination of your employment with the
Company, you shall not, for a period of five years, after termination, solicit any of the
employees or customers or clients of the Company, either directly or indirectly, as an
employee of the Company, or another organization, or an entity promoted by you
and/or your family members.

5. Place of Posting, Hours of Work and Reimbursement of Expenses:


i. Your initial posting will be at our Delhi. The Company reserves the right to place you
in any of its units / offices / associate companies, either existing or to be opened in
future, according to exigencies of work at the sole discretion of the Management.
Upon such transfer/placement, the rules and regulations of service applicable to your
category personnel at the place of transfer will become applicable to you.

ii. The normal business hours of the Company are 9:30 am to 6:00 pm Monday to
Saturday inclusive with a daily lunch break of 30 minutes and shall apply to you
provided that you shall be obliged to work such further hours as may be necessary
for the proper discharge of your duties and shall not be entitled to receive any
additional remuneration for work outside normal business hours.

iii. Travelling and boarding expenses incurred by you for rendering your services to the
Company shall be reimbursed to you as per actuals on production of original
invoices. You shall be required to pre-approve such travelling and boarding expenses
from the authorised official of the Company.

6. Age:
Your appointment is subject to your providing documentary proof of your age to the
entire satisfaction of the Management.

7. Medical Fitness:
This appointment and its continuance is subject to your being found and remain
medically (Physically & Mentally) fit. You may at any time be required, to undergo a
medical examination at the sole discretion of the Management, by the Medical Officer of
the Company or any other Medical Practitioner so authorized by the Company.

8. Termination:
i. Unless terminated as provided herein your employment shall come to an end
automatically without the need for either party to give notice to the other when you reach
the age of 60.

ii. This appointment is terminable by either the Company or yourself by giving Three
Month’s notice or salary in lieu thereof, without assigning any reason.You agree that
upon receipt of any payment under this clause you shall have no claim against the
Company and hereby further agree to waive any right you may have to bring such a
claim.

iii. In case, you remain absent from the duty for a continuous period of 30 (thirty) days or
more without any information to the Company, your services may be terminated with
immediate effect by the Company.

iv. If, at any time, during employment with the company, (a) you are found guilty of
indiscipline/misconduct by the Company viz., theft, insubordination, mis-appropriation,
fraud, accepting bribe or any other act subversive of discipline; or (b) you indulge in any
actions which may bring down the reputation/image of the Company in the eyes of
customers or general public; or (c) you are found guilty of violation of financial norms and
discipline which are required to be followed by all the employees; or, (d) willfully fail to
perform your duties or responsibilities; or, (e) are guilty of any material or persistent
breach or non-observance of any of the provisions of this letter; the Company shall have
the right to terminate your employment from the Company without giving any notice or
payment of any amount in lieu of notice.

v. You are convicted of any criminal offence (excluding an offence under road traffic
legislation in India and elsewhere or any other offence for which a penalty of
imprisonment cannot be imposed);

vi. You are made the subject of a bankruptcy order or have a receiving order or an
administration order made against you or make any composition or arrangement with
your creditors generally or otherwise take advantage of any statute from time to time in
force offering relief for insolvent debtors;

vii. You become addicted to or are habitually and frequently under the influence of alcohol or
any drug (not being a drug prescribed for you by a registered medical practitioner for the
treatment of a condition other than drug addiction) the possession of which is controlled
by law. Upon termination of your employment as mentioned herein above, you shall
immediately return all the properties and Confidential Information (as defined in clause 9)
of the Company to your supervisor.

9. Non-Disclosure of Confidential Information
You agree that during the course of your employment with the Company, you will have
access to confidential Company proprietary information, including but not limited to, for
example: the operating systems used by the Company and maintenance thereof,
information or data relating to the creation, development, characteristics, implementation
and marketing of any Company product or service or business operation, including
without limitation methods of operation, product capabilities, product design, details of
contacts with customers, consultants, suppliers or employees, customer lists, the identity
of customers and prospective customers, products, proposed products, former products,
costs, profit margins, business plans, strategies, forecasts, unpublished financial
information, budgets, projections, the identity of employees and their expertise and
salaries, creations, designs, drawings, inventions, discoveries, improvements, research
or development, test results, specifications, formulas, data, know-how, formats,
copyrights, trade secrets, software, computer code or files, marketing methods, patents
and/or patent applications, policies, plans, personnel, suppliers, competitors, markets or
other specialized information or proprietary matters relating to the business of the
Company ("Confidential Information"). Confidential Information shall be broadly
defined. It includes all information that has or could have commercial value or other
utility in the business in which the Company is engaged or in which it contemplates
engaging. It also includes all information of which the unauthorized disclosure is or could
be detrimental to the interests of the Company, whether or not such information is
identified as Confidential Information by the Company.

You are required to acknowledge that the Confidential Information, as described above is
of a confidential and secret nature and is valuable to the Company and its customers and
you hereby agree to keep secret and to retain in strictest confidence all Confidential
Information.

10. Company Documentation.


All documentation, whether in writing or stored in electronic or other media, prepared by
you or provided to you by the Company or by one of its customers or suppliers or
otherwise coming into your possession during your employment with the Company and
relating to the Company or the Company’s business, including but not limited to all
records, plans, drawings, specifications, data, blueprints, notes, memoranda, and
analyses, and any and all copies thereof, whether or not containing Confidential
Information, are and shall remain the exclusive property of the Company and shall not be
removed by you from the Company’s premises without assuring that a copy is safely
stored at the Company’s premises. Upon termination of your employment with the
Company for any reason, you shall deliver to the Company all such documentation and all
copies thereof that are in your possession.

11. Holiday
i. You shall be entitled to a maximum twenty eight EL(28) working days paid holiday in
each year of your employment as per the leave policy of the Company and as may
be applicable to you in addition to such bank and other public holidays as are
observed by the Company. The holiday year runs from 1 January to 31 December.

ii. In a year maximum you can encash 10 days EL in your account and you can
accumulate maximum 60 days leave. If it exceed 60 days, leaves are elapsed i.e.
there is no encashment also.

iii. If your employment starts or terminates during a holiday year you will be entitled in
that year to such proportion of your annual holiday entitlement as equals the
proportion of time you are employed under this Agreement in that year, rounded to
the nearest half day.

iv. You shall not be entitled to payment in lieu of any unused part of your holiday
entitlement.

12. Sickness

i. If during your employment you absent from work due to illness or injury you must
notify your supervisor as soon as possible and, if practicable, on the first working day
of incapacity. You shall complete any self-certification forms which are required by
the Company immediately upon your return to work and, if his incapacity continues
for more than 5 (five) consecutive days (whether working days or not) you shall
produce medical certificates to cover the duration of your absence from work.
Provided you comply with these requirements, and undergo any medical examination
or tests as may be directed by the Company and provided the Company is
reasonably satisfied that your absence is due to illness or injury, your absence will be
regarded as authorised.

ii. You shall be entitled to receive the normal remuneration including other contractual
benefits due to you under the terms of this Appointment Letter during any authorised
period or periods of absence due to illness or injury up to a maximum of one month in
aggregate in any 12 month period i.e. from 1st January till 31st December of each
year. Thereafter, if you continue to be absent due to illness or injury for a maximum
additional period of one month in aggregate you shall receive remuneration for such
period, if any, as the Company shall determine from time to time. Pursuant to such
periods, if you still continue to be absent due to illness or injury, you will not be
entitled to any further payment from the Company until the resumption of your duties.
For avoidance of doubt, the Company shall also be entitled to terminate your services
if you absent from work due to illness or injury for an aggregate period of more than
two months in any 12 month period i.e. from 1st January till 31st December of each
year.

13. Miscellaneous

i. You will be governed by the rules and regulations as may be in force from time to
time, in relation to conduct, discipline or any other matter relating to service
conditions applicable to you.

ii. You shall be responsible for the safe- keeping and return in good condition and order
of all the Company’s property, which may be in your use, custody or charge.

iii. That without prejudice to any other legal remedy available with the Company, the
Company shall be entitled to deduct from the salary of the employee or recover from
money i.e., ex-gratia payments, gratuity and any other dues payable to the employee

for custody or for loss of money for which he/she is required to account, or for fraud
or misappropriation or breach of trust.

iv. You will keep the Management informed of any change in your residential and
permanent address.

v. This appointment and your continuance in service will be subject to the particulars
given in your application being found correct and authentic in all respect. In case any
information given by you in your application are found to be false or incorrect or found
to have been concealed at ant time during your service with the Company, the same
will render you liable for termination of your services forthwith without giving any
notice or salary in lieu of the notice.

vi. In the event of any Central or State Laws coming into force at ant time affecting any
aspect of your terms and conditions of service, it is hereby expressly agreed that no
double benefit shall accrue to you.

vii. Entire Understanding:


This letter constitutes the entire understanding between you and the Company with
respect to your employment with the Company and supersedes all previous
agreements and undertakings (if any) relating to your employment with the Company.

viii. Notices
a) Any notice to be given under this letter by either the Company or you shall
be in writing and if given by the Company shall be signed by a Director or
some other duly authorised officer or agent of the Company and if given by
you shall be signed by you personally.
b) Any notice to the Company shall be served at the address as mentioned in
the letter head and may be delivered by hand or sent by first class recorded
delivery post.
c) Any notice to you shall be served on you in person or at your last known
private address in India and may be delivered by hand to that address or
sent by first class recorded delivery post.

ix. Law and Jurisdiction


Your employment is governed by and shall be construed in accordance with the
laws of India. You agree to submit to the exclusive jurisdiction of the courts in New
Delhi, India with regard to any dispute or claim arising under this Appointment
Letter.

x. Any amendment to the terms of your employment must be recorded in writing and
signed by you and the authorised official of the Company to be effective.

xi. The complete or partial invalidity or unenforceability of any provision of this letter for
any purpose shall in no way affect the validity or enforceability of such provisions for
any other purpose; the remainder of such provisions; or the remaining provisions of
this letter.

xii. No waiver by the Company other than one made in writing by the CEO or the
authorised official of the Company of any breach by you of any provision of this Letter
and no failure, delay or forbearance by the Company in exercising any of its rights
shall be taken to be a waiver of such breach or right or shall prevent the Company
from later taking any action or making any claim in respect of such breach or right.

xiii. Nothing in this letter shall be deemed to constitute a partnership or an agency or a


joint venture between you and the Company for any purpose.

xiv. Your employment is not assignable.

xv The Company shall not be liable for your omissions and commissions while
discharging your duties in your previous employment and therefore you agree to
indemnify and hold harmless the Company against any claim that may be made by
such previous employer against the Company.

This Letter of Appointment is being forwarded to you in original.

Please return the duplicate copy of this Appointment Letter, duly accepted in token of your
having accepted the same on the above mentioned terms and conditions.

We welcome you to our Company and look forward to a long and mutually beneficial
association.
