COMMERCIAL

BASIS:

The basis of our Tender is to award all the supply and installation of structural steel works on a
RE-MEASURABLE BASIS offer.

TERMS OF PAYMENT

Our tender price is based upon the following terms of payment. All payments shall be guaranteed by a clean,
confirmed and irrevocable letter of credit established in our favour at no cost to El Etihad Steel Factory as
follows and payment terms must not be on back to back basis except technical matters: -

1.1 10% of the Total Subcontract price is to be paid as recoverable Advance Payment
(proportionally) upon award of the Subcontract, or notice to proceed, whichever is the
earlier. Advance Payment is to be made within 7 days from the date of our invoice.

1.2 100% of the Total Subcontract price is to be paid against monthly progress invoices.

1.3 No Retention for this project.

All payments (other than item 1.1) to be released within 30 days from date of our invoices. All payments
certificates to be released within 14 days from the invoice dates.

TENDER VALIDITY

Our offer will remain open for acceptance for a period of 15 days from the date of this letter and thereafter
will be subject to written confirmation.

TECHNICAL QUALIFICATION

Fabrication will be carried out in accordance with the codes of practice of "National Structural Steelworks
Specifications for Building Constructions / British Standard (BS).

Our offer is based on our existing WPS and welder qualification test reports/certificates. Necessary copies
of the same shall be made available upon request.

a) Scope and Basis of Tender

Unloading of Raw Materials at Factory, Fabrication of steel members, blasting and primer and loading of
Fabricated steel at Factory and unloading at site, as per project specifications; and erection of steelworks

(free issue of Tower Cranes/mobile cranes for erection works by Contractor) on Re-measurable with fixed unit
price in order to evaluate the monthly progress bills and for an order placed within validity period.

Our offer is based strictly upon the Bill of Quantity received as part of your inquiry documents.

Prices offered valid for the complete order of whole project as per total tonnage against each area or portions
as mentioned in our price schedule. For any split orders or total tonnage quantity of each areas increases or
decreases, then unit rates and prices to be reviewed and re-confirmed.

Supply of site erection bolts, nuts and washers are excluded in our offer.

Our scope does not include for the temporary steel required to do the erection of steelwork, if required.

Our price does not inslude taxes other than which is currently applicable. Should any new taxes be required to
be paid during the course of the project, such new taxes shall be borne by the Contractor.

b) Steel Materials

Supply of Steel Materials is not in our Scope of Works.

c) Quality Assurance and Welding

We operate a Quality Management System in accordance with ISO 9001:2015. All work carried out on this
contract would be in accordance with this Code of Practice and the specific requirements of the project, as per
project specifications.

Welding procedure specifications and welding procedure qualifications will be in acordance with BS and or
AWS D1.1, as per the project specifications.

d) Metal Deck

Supply and Installation of Metal Deck is not in our Scope of Works.

If required, price shall be submitted upon request.

f) Gratings

Supply and Installation of Gratings is not in our Scope of Works.

If required, price shall be submitted upon request.

g) Galvanization

We have not considered any Galvanizing to steelworks in our offer.

h) Painting / Fire Protection

The optional rate has been provided in our proposal of 3-coat Epoxy coating system and 2 hours fire rate
Intumescent (Jotun Steel Master 1200WF) and 2 hours Cementitious (Pyrolite 15) Fireproofing.

i) Programme of Steelworks

The overall programme needs to be discussed and mutually agreed.

j) Variations

Should the scope of work or the contract period be amended as a result of instructions from yourselves or other
regulations be imposed which increased the cost of carrying out our obligations after the contract has been
awarded in accordance with this offer, then the contract price shall be adjusted accordingly and this will be
advised to you in writing.

In addition, we reserve the right to amend the contractual delivery date if necessary in the event of such
variations.

k) Insurance

We understood that the Contractor will make provisions to insure the whole of the contrct works including
Contractor All Risk insurance during construction. We must however, be specified as being co-insured with
the Contractor.

We specifically exclude any liability for excess payments on insurance claims and/or any liability for
consequential damages and or delays other than workmen's compensation insurance and steel works
contractor plant and machinery insurances.

CONTRACT CONDITIONS

This tender is subject to our reaching a mutual agreement on terms and conditions prior to entering into
a commitment with you.

This contract shall be governed by and construed in accordance with the laws of Qatar. Any modification
wwork due to the revised fabrication drawings or any re-work due to Contractor's request shall constitute
as additional works and shall be charged according to mutually agreed Re-measurable price. Additional/
Modification works carried out shall be discussed and settled on a monthly basis and included in the
monthly progress certificate.

In the event of an award and if the project is terminated, suspended and or aborted, El Etihad Steel
Factory shall claim the total value of work completed / partially completed and all other related value of
the work.

Settlement/payment to El Etihad Steel Factory is to be concluded within 30 days from the date of such
termination, suspension and or abortion.

LIMITATION OF LIABILITY

Notwithstanding any other provision in the Contract,

(i) The Subcontractor shall not be liable to the Contractor whether in contract, tort (including
negligence) statute or otherwise, for any loss of use or production (whether partial or total), loss
of profits, loss of contracts or any indirect or consequential loss or damage whatsoever, howsoever
or whensoever arising which is suffered or incurred by the Contractor and which is directly or
indirectly connected to the Contract.

(ii) The aggregate liability of the Subcontractor to the Contractor whether in contract, tort (including
negligence) statute or otherwise, for all costs, losses and damages and/or liabilities (including
liquidated damages) whatsoever, howsoever or whosoever arising which are suffered or incurred
by the Contractor and which are directly or indirectly connected with the contract shall be limited
to 5% of the total contract price, except that nothing in the contract shall in any way be interpreted
affecting or limiting any liability which the Subcontractor may have in respect of personal injury or
death caused by the negligence of the Subcontractor.

OTHER ASSUMPTIONS

v We have considered that the Contractor shall give the reference co-ordinates at the site for the
erection works.

v The Contractor shall deliver all the Raw Materials to our Factory at Free of Cost.

v The Contractor shall hand-over the exposed embedded parts/holding down bolts on completion of
the concrete works.

v We reserve the right to subcontract any part of the works with prior approval to the Contractor.

v We shall use the Contractor's free issue Tower cranes/mobile crane's full time with break up time
of daylight period without stoppage for erection works and to unload the fabricated materials.

v Idle Man-hours shall be claimed, if there is any delay in providing the Crane at site as per the
Subcontractor requirements.

v We have considered free access at site and that Contractor will provide lay down area free of cost
to El Etihad Steel Factory approximately 500 m2 of near to site including water and power supply
at one point.

v The Contractor shall provide the necessary Scaffolding working platforms and access to the required
locations at free of cost.

v The Painting material supply by the Contractor should be inclusive of loss factor, which will be
advised by the applicator.

v The Contractor has to provide all necessary NC files, DXF files to be provided along with the
Fabrication drawings.

v The Contractor has to confirm the cutting plan before proceeding with the material preparation
works.

v Our proposal is based on the ITP requirements provided to us.

v Shoring of concrete floors, temporary arrangements of access requirements for the purpose of steel
erection, then it shall be borne by the Contractor.

v All the excluded items referred in the Price Schedule, which will NOT be part of our tender.

v Since fabricated material delivery starts well in advance ahead of Erection, we require site storage
space and protection arrangements to keep them safely until it is required for the job or its needs
to be stocked somewhere else in the lay down area then the cost of this storage needs to be borne
by the Contractor.

v Our offer is Re-measurable Basis offer as per MTO provided to us. Prices offered valid for the
complete order of whole project as per total tonnage against each area or portions as mentioned
in our price schedule. For any split orders or total tonnage quantity of each areas increases or
decreases by more than ± 5%, then unit rates and prices needs to be reviewed and reconfirmed.

v Contractor's free issue of erection cranes shall be strictly able to lift all the structural steel segments.

EXCLUSIONS

We have excluded the following from our Scope of Work:

(1) Basic Design, Connection Design, Shop Drawings, Modelling and Fabrication drawings issuance.

(2) Supply of Raw Material, Connection Bolts and Paint Materials.

(3) Supply and Installation of any type of Anchor Bolts including HILTI Anchor Bolts / Chemical Anchor
Bolts.

(4) Transportation of Material from Factory to Site.

(5) Aluminum & Stainless steel members.

(6) Radiographic & PWHT Testing / Heat treatment to steel works.

(7) Any Third Party inspections and testing requirements.

(8) Handrails, Bearings, PTEF Sliding with SS plate.

(9) Other trader's accessories/cleats and supports from design to construction and all other obligations.

(10) Any secondary steel structures.

(11) Access roads to erect the steel works.

(12) Any warranty, guarantee and maintenance of steel works beyond the Defects Liability Period.

(13) Insurance deductibles costs or portion thereof and indemnity.

(14) Installation of embedment and grouting of base plates.

(15) Cladding works.

(16) Slab Openings or penetration.

(17) Any diesel generator requirements at site/yard.

(18) Supply and welding of rebar and couplers.

(19) Pre-assemblies and mock-up in factory or site.
