1. Introduction.
In the creation of a company, there’s an established legal procedure in which are set all the
requirements for creating them. Depending on the type of the company, there are different
laws. In this case, the corporation created is a “Sociedad Limitada”. Hence, as a capitalist
company, it’s ruled by the Corporate Enterprises Act, where all the legal requirements settled.
The basic documents that are requested for creating a new company are the public deed and
the by-laws.
Firstly, the public deed is a document that establishes a social contract. In that contract the
partners give their consentient the creation of the company that is mentioned in this document.
In the public deed must appear as an essential content the partners’ identity, their aim to create
the company, their contributions and the administrator’s identity. Moreover, in the public deed
we must include the bylaws, which are a set of permanent norms that rule the society.
The public deed is important in the moment of constitution of the company and the bylaws are
supposed to be used in the entire company’s life. It’s important to highlight the corporate
purpose, features about the participative stakes, the structure of the General Meeting and the
administrative organ.
Apart from these essential required documents, for the incorporation of the company, there’ll
be needed the following procedures.
When we already have the account with the social capital deposited, the bank will give us a
certificate of the deposit, that we should present in the notary, for creating the company.

4. Redaction of the by-laws.
An essential requirement for the firm constitution is the composition of the by-laws, as it’s
stated at the articles 22 and 23 of the Corporate Enterprises Act. This is a document in which are
displayed all the firm laws which the company will be ruled by.
It’s important to know that these regulations are made in order to be used during the entire
firm’s life. Nevertheless, they can be modified through time in order to adapt the company
legislation to the new conditions, such as a capital increasement or reduction, modification of
the social purpose and so on.
Some of the main facts included in the by-laws are the social purpose, social capital, the
participative stake and their transmission condition, the main features of the company’s General
Meeting and administrative organ, the voluntary reserves and so on.
5. Public deed
Regarding to the public deed, it’s a legal requirement in which the partners express their consent
to the creation of the company. it must be realized (compulsorily) in a notary. The price is not
fixed, but the cost of this process is usually between 300€ to 500€.
The documents needed for the public deed are the bylaws, the name certification (certificado
negativo de denominación social), the certificate of the deposit of the social capital and the DNI
(because in this case all the partners are natural persons) of the founder members.

8. Tax Register Declaration
(Declaración censal)
For obtaining the Declaración Censal, according to “Orden HAC/1416/2018” second article, you
must present again in the Tax Agency the model 036, the NIF and the document of the IAE (if
necessary).
There is also an additional step for managing the company: if the director has a participation
bigger or equal to the 25% of the capital, he has to be registered as a freelancer (autónomo).

acciones, se entenderá por valor real el que resulte del informe elaborado por el
experto independiente nombrado por el Registrador Mercantil.
g) El documento público de transmisión deberá otorgarse en el plazo de un
mes a contar desde la comunicación por la sociedad del adquirente o
adquirentes.
h) El socio podrá transmitir las participaciones en las condiciones
comunicadas a la sociedad, cuando hayan transcurrido tres meses desde que
hubiere puesto en conocimiento de ésta su propósito de transmitir sin que la
sociedad le hubiere comunicado la identidad del adquirente o adquirentes de
todas las participaciones ofrecidas, siempre que otorgue el documento público
de transmisión dentro de los dos meses siguientes a la terminación del último
plazo indicado.
i) Los trámites determinados precedentemente no serán necesarios cuando
la junta general de la entidad, celebrada con carácter universal, apruebe por
unanimidad la transmisión pretendida por un socio.
Será libre la transmisión voluntaria de participaciones por actos inter vivos,
tanto a título oneroso como gratuito, entre socios, así como la realizada en favor
del cónyuge, ascendientes o descendientes del socio. Las sociedades
pertenecientes al mismo grupo que la transmitente serán consideradas como
extraños y tendrá lugar el derecho de adquisición preferente.

Art. 12.º—COPROPIEDAD DE PARTICIPACIONES.
En caso de copropiedad sobre una o varias participaciones
sociales, los copropietarios habrán de designar una sola persona para el
ejercicio de los derechos de socio, y responderán solidariamente frente a la
sociedad de cuantas obligaciones se deriven de esta condición. La misma regla
se aplicará a los demás supuestos de cotitularidad de derechos sobre las
participaciones.

Art. 20.— JUNTA UNIVERSAL.
a) En caso de consejo de administración, serán presididas por el presidente
del mismo o, en su caso, por el vicepresidente, y actuará de secretario el que lo
sea del consejo de administración o, en su caso, el vicesecretario del mismo.
En defecto de las personas indicadas, el presidente y el secretario de la
junta general serán los designados, al comienzo de la reunión, por los socios
concurrentes.
Las certificaciones de las actas de las juntas generales se expedirán por el
secretario del consejo de administración o, en su caso, por el vicesecretario, con
el visto bueno del presidente o del vicepresidente, en su caso.
La formalización en instrumento público de los acuerdos sociales
corresponde a las personas que tienen facultad para certificarlos. También podrá
realizarse por cualquiera de los miembros del consejo de administración sin
necesidad de delegación expresa.
b) En caso de administrador único, las juntas generales de socios serán
presididas por dicho administrador, a quien corresponde, igualmente, la facultad
de certificar y de formalizar en instrumento público los acuerdos. En defecto del
administrador único, presidirá la junta la persona que a este efecto designen los
socios al comienzo de la reunión.
c) En caso de administradores solidarios, las juntas generales de socios
serán presididas por cualquier administrador y actuará de secretario cualquier
otro administrador. En el supuesto de ausencia e imposibilidad de los
administradores, el presidente y el secretario de la junta general serán los
designados al comienzo de la reunión, por los socios concurrentes.
Las certificaciones de las actas de las juntas generales se expedirán por
cualquiera de los administradores, con cargo vigente e inscrito en el Registro
Mercantil, a quien, igualmente, corresponderá la formalización en instrumento
público de los acuerdos sociales.
d) En caso de administración conjunta, las juntas generales de socios serán
presididas por cualquier administrador y actuará de secretario otro
administrador mancomunado. En el supuesto de ausencia e imposibilidad de los
administradores, el presidente y el secretario de la junta general serán los
designados al comienzo de la reunión por los socios concurrentes.
La facultad de certificar y de formalizar en instrumento público los
acuerdos corresponde a los administradores mancomunados, conjuntamente.
Corresponde al presidente dirigir las sesiones, conceder la palabra a los
socios y organizar los debates, así como comprobar la realidad de la adopción
de los acuerdos.
Las actas de las juntas serán aprobadas por la propia junta al final de la
reunión o, en su defecto, y dentro del plazo de quince días, por el presidente de
la junta general y dos socios interventores, uno en representación de la mayoría
y otro por la minoría.

TÍTULO IV. EJERCICIO SOCIAL
Art. 27.—EJERCICIO SOCIAL Y CUENTAS ANUALES.
El ejercicio social termina el 31 de diciembre de cada año. Los
administradores están obligados a formar en el plazo máximo de tres meses,
contados a partir del cierre de ejercicio social, las cuentas anuales, el informe de
gestión y la propuesta de aplicación del resultado. Las cuentas anuales
comprenderán el balance, la cuenta de pérdidas y ganancias y la memoria. Estos
documentos, que forman una unidad, deberán ser redactados con claridad y
mostrar la imagen fiel del patrimonio, de la situación financiera y de los
resultados de la sociedad, de acuerdo con lo establecido en la Ley y en el
Código de Comercio, y deberán estar firmados por todos los administradores.
A partir de la convocatoria de la junta general, cualquier socio podrá
obtener de la sociedad, de forma inmediata y gratuita, los documentos que han
de ser sometidos a la aprobación de la misma, así como el informe de gestión y,
en su caso, el informe de los auditores de cuentas.
DISPOSICIÓN FINAL
A salvo los supuestos en que el procedimiento judicial resulte imperativo,
cualquier discrepancia que pudiera surgir entre los socios o entre éstos y la
sociedad acerca de la interpretación y aplicación de estos estatutos será resuelta
por arbitraje de equidad, en los términos y con aplicación de la Ley 60/2003, de
23 de diciembre.

La sociedad se regirá especialmente por los Estatutos que los comparecientes me
entregan para su protocolización e incorporación a la presente escritura, formando parte
integrante de la misma, que se hallan extendidos en _____ folios de papel exclusivo
para documentos notariales a cuyo papel se han vertido por impresora, serie y números
___________.
Los comparecientes manifiestan haber leído y en este acto yo, el notario, leo dichos
Estatutos a los socios comparecientes, quienes los aprueban y firman al final de su
último folio. En su consecuencia, los repetidos estatutos quedan incorporados a esta
escritura matriz como parte integrante de la misma.
1.- Don Javier Ruiz Puchol asume UNA participación social, número 1, por su valor
nominal de CINCO MIL EUROS (5.000,00€).
2.- Don Emilio Gómez-Meana Torres asume UNA participación social, número 2, por
su valor nominal de CINCO MIL EUROS (5.000,00€) .
3.- Don Lluís Guillem Boluda asume UNA participación social, número 3, por su valor
nominal de CINCO MIL EUROS (5.000,00€) .
4.- Don Albert Mota Malo asume UNA participación social, número 4, por su valor
nominal de CINCO MIL EUROS (5.000,00€).
B.- Se nombra administrador único por tiempo indefinido a Don Albert Mota Malo,
cuyas circunstancias personales constan en la comparecencia de esta escritura, quien
acepta su nombramiento, toma posesión de su cargo que promete desempeñar bien y
fielmente, y manifiesta no hallarse en causa alguna de incapacidad o incompatibilidad
para su ejercicio.

C.- El administrador único, a quien corresponde el poder de representación, tendrá las
facultades que determina el art. 234 LSC y especialmente las que a tal cargo atribuyen
los Estatutos Sociales.
OTORGAMIENTO Y AUTORIZACIÓN
According to article 8, like our company has its registered office on Spanish soil, is Spanish and
is subjected to Spanish laws.
According to article 9, the registered office must be where all the activities and managements
of the company are taken place.
According to article 19, corporate enterprises are formed under an agreement of two or more
parties, in our case an agreement between the 4 of us.
According to article to articles 58 and 61, contributions may comprise only goods or rights
liable to economic appraisal and in our case, which are cash contributions, shall be
denominated in euros.
According to article 78, the contributions in which the capital is divided shall be fully paid by
the date of formalisation of the company’s deed of incorporation.
According to article 91, each social contribution shall grant to its owner the status of
shareholder and therefore all the rights established in the by-laws.
According to articles 20, 21 and 22, the formation must be recorded in the deed of
incorporation which must be signed by all the founding partners and must include several
issues like the identity of the aforementioned, the will to form this company, the contributions
made by each partner, the company’s by-laws and the identity of the person who initially is in
charge of the management and representation.
According to article 23, the by-laws must contain the company’s name, the corporate purpose,
the registered office, the capital and the stakes or shares in which it is divided, governance
arrangements and the manner in which the company’s administrative bodies conduct their
discussions and adopt their decisions.
According to article 30, in our case, the 4 of us, as founders, shall be held jointly and severally
liable by the company, its partners or shareholders and third parties for the inclusion in the
deed of incorporation of the items required by law.
According to articles 31 and 32, founding partners or shareholders shall be vested with the
necessary powers to submit the deed of incorporation to the Mercantile Registry and must
submit it within two months of the date of formalisation. And then, according to article 35, this
registration shall be published in the Official Journal of the Mercantile Registry, which shall
include the information on the deed of incorporation specified by law.

According to article 38, once registered, the company shall be liable for all the acts and
agreements referred to in the preceding article, as well as any for it may perform or conclude
within three months of registration.
According to “Real Decreto 1065/2007, de 27 de julio.” Every person, even legal entities, that
develop activities that are related to the taxation, must have the NIF which is an identification
number used by the Taxation Agency in order to register
