JOINT VENTURE AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement made and entered into by and between:

STATEN BUILDERS AND SUPPLY, a sole proprietorship duly organized and

existing under and by virtue of the laws of the Republic of the Philippines with
principal address at BRGY. TINIGBASAN, JABONGA, AGUSAN DEL NORTE herein
represented by its owner and authorized managing officer Mr. MEYNARDO I.
ERMITA AND JENICA NICOLE A. QUIAMCO, Filipinos, of legal age and with office
address at _______________________, hereinafter jointly referred to as the FIRST
PARTY;

- and -

MANUEL SUKARNO BARTON ALVAREZ, Filipino, of egal age and with principal
address at Green Heights Village, Balulang, Cagayan De Oro City, hereinafter
referred to as the SECOND PARTY;

WITNESSETH: That -

WHEREAS, the First Party has a hauling contract under AGATA MINING VENTURE
INC. located at Jabonga, Agusan Del Norte;

WHEREAS, the Second Party will share financial fund to the first party as additional
CAPITAL of the said company in the amount of FIVE HUNDRED THOUSAND
(PH500,000.00) PESOS;

WHEREAS, the parties are both desirous of prequalifying for and participating in the
mining of nickel ore in the above-stated project;

WHEREAS, both parties agreed to execute this JOINT VENTURE AGREEMENT,

and share their financial resources necessary for the above-stated purpose;

NOW THEREFORE, for and consideration of the foregoing promises and mutual
covenants hereinafter set forth, the Joint Venture have agreed to establish, as they
hereby establish and constitute by and between themselves, a JOINT VENTURE for
the exclusive purpose of qualifying for and participating in the foresaid hauling
project and actually undertaking the mining works, subject to the following terms and
conditions;

1. For all intents and proposes, the Joint Venture entity established hereby, shall
carry the business name of and be known as STATEN BUILDERS AND
SUPPLY.

2. For communication purposes, all communication/letters shall be addressed at the

Joint Venture’s business address at BRGY. TINIGBASAN, JABONGA, AGUSAN
DEL NORTE

3. Ms. JENICA NICOLE ALTAR QUIAMCO, is hereby named, appointed and

constituted as the Authorized Managing Officer (AMO) and as such, is the sole
representative for and behalf of the herein Joint Venture, and all bids, contracts
and other documents whatsoever pertinent to said project, shall be signed by her;
PROVIDED, HOWEVER, THAT any major decision by the Joint Venture shall be
made by a consensus of both parties, and PROVIDED FURTHER, THAT the
First Party shall provide full access and transparency of all records of the Joint
Venture in its dealing with AGATA MINING, and for this purpose shall duly and
timely furnish the Second Party copies of monthly statements/billings/summary of
expenses/and similar documents in the course of its operations;

4. The Parties shall be jointly and severally liable for any and all obligation which the
Joint Venture may incur in relation to the contract which it may enter into with the
STATEN BUILDERS AND SUPPLY. (?? Shouldn’t this be AGATA MINING?)

5. The parties shall be jointly and severally liable for any and all obligation which the
Joint Venture may incur on the basis of 50% for STATEN BUILDERS AND
SUPPLY and 50% for MANUEL SUKARNO BARTON ALVAREZ for all the
necessary capital, equipment, technical personnel, management, supervision and
other efforts and resources for the proper implementation of the project in the
event that the Joint Venture is awarded the contract for the said project, and
further bind themselves at all times during the existence of this Joint Venture, to
extend to each other their respective fullest cooperation and best effort towards
the efficient and profitable construction of the project in accordance with the
approved plans and specifications, and to complete the same within the approved
schedule; PROVIDED HOWEVER THAT obligations incurred by STATEN
BUILDERS AND SUPPLY prior to the execution of this Agreement and which
may inadvertently billed to the Joint Venture, shall be for the sole account of the
FIRST PARTY;

6. The net profit or losses of the Joint Venture shall likewise be divided between the
parties on a 50% and 50%, respectively. ANY EQUIPMENT OR PROPERTY
THAT MAY BE ACQUIRED BY THE JOINT VENTURE SHALL LIKEWISE BE
DIVIDED EQUALLY BY THE PARTIES.

7. Should the Joint Venture lease equipment owned by each of the parties to
AGATA MINING,, the proceeds thereto shall exclusively pertain to the party
owning the same.

8. It is hereby agreed and understood that if the herein Joint Venture fails this
Agreement shall thereupon cease, terminated and automatically become void
and of no further force of effect whatsoever. In the event, the Joint Venture is
awarded the aforementioned contract, then this agreement shall remain in full
force and effect as of the date hereof, and until the final completion and
acceptance of the contract project by AGATA MINING.
