Sub: Official Sales & Marketing Agent Contract

Dear Sir,

This agreement has been made between Centurion Spring Hills Holiday Resort
and Resource One Hospitality & Service Pvt. Ltd.,

With effect from 16th January 2009 to 15th January 2010

It has been mutually decided between both the parties that a certain percentage
will be given to Resource One Hospitality & Service Pvt. Ltd.; on the total
business given by Resource One Hospitality & Service Pvt. Ltd., Discussed sales
commission slab details are given bellow for your kind reference

1. From Re. 01 to Rs. 2,00,000 our commission will be 15%

2. From Rs. 2,00,001 to Rs. 4,00,000 our commission will be 18%
3. From Rs. 4,00,001 to Rs. 6,00,000 our commission will be 20%
4. From Rs. 6,00,000 and above our commission will be 25%

Resource One Hospitality & Service Pvt. Ltd., will be looking after the sales of the
rooms, banqueting parties, residential conferences etc

Resource One Hospitality & Service Pvt. Ltd. will try to give maximum business
to Centurion Spring Hills Holiday Resort.

Terms and Conditions:

 Payments for the business given by us from those corporate companies in

which we have signed contract will be settled by us on monthly basis. All
other company or individuals payments will be done directly by the client
to the Centurion Spring Hills Holiday Resort
 You need to support us with the required broachers, tariff cards all other
printed marketing material to us to promote the Resort
 This contract is valid for 12 months from 16 th day of January 2009 to 15 th
day of January 2010.
 On mutual understanding of both the parties the contract will be extended
or will be terminated
 Incase any on of the parties would like to withdraw the contract
withdrawing party need to give one month notice to the second party
 We will take the approval from the Resort General Manager for discounts
or any special rates
 We understand that this contract is applicable only for Centurion Spring
Hills Holiday Resort not for any other sister concerns or franchise
properties
 We will mark a CC to the Resort General Manager at
pvk.rajesh@springhillsholidayresort.com for those non contracted clients
