ACKNOWLEDGMENT OF TRUST

KNOW ALL MEN BE THESE PRESENTS:

I, LINO O. CANGO, of legal age, Filipino, married, and a resident of Bacolod City,
Philippines, after being sworn to in accordance with law, hereby depose and declare:

That in the corporate records of C - PRIME CORPORATION, a domestic

10 corporation duly organized and existing under and by virtue of the laws of the Republic of
the Philippines, I am listed as a stockholder of record of point eight percent _(.80%)_ shares
of stocks in the aforesaid corporation, each share of stocks having a par value of one Peso
(P1.00) per share;

15 That by these presents, I hereby declare and acknowledge that I am holding the
aforesaid shares listed in my name as a nominal shareholder and in-trust for HONELYN G.
VILLAROSA, Filipino, of legal age and a resident of Bacolod City, Philippines.

This Trust shall include the nominal shareholder’s right to the civil fruits of the
20 entrusted stocks. However, the termination of employment from C-Prime Corporation (i.e.
resignation, dismissal, death and other analogous circumstances) shall result to the automatic
forfeiture of the Trust and all its corresponding rights and benefits. As such, I am executing
this Deed to attest to the truth of the foregoing and agree to the recording of all necessary
entry in the corporate books of the corporation to reflect the ownership of the
25 aforementioned shares of stocks.
