TERMS OF EMPLOYMENT

This document sets out the terms of employment applying to employees of MMA Offshore Limited
group companies (Terms).

If you have signed your Seafarer’s Employment Agreement (SEA), or started employment as referred
to in your SEA, you have accepted your SEA, and you agree to be bound by these Terms which form
part of your contract of employment.

In these Terms, “Company”, is the MMA Offshore Limited group company named as your employer
in the SEA.

Your employment is also subject to laws that provide for minimum conditions of employment for
seafarers in accordance with the Maritime Labour Convention 2006. To the extent that applicable
laws and these Terms are different, the terms more favourable to You will prevail.

1. DUTIES AND RESPONSIBILITIES

1.1 Performance of duties

You acknowledge the following in relation to your employment:

(a) You must diligently perform the duties and responsibilities corresponding to the
capacity set out in your SEA. The Company may vary these duties and
responsibilities at any time.

(b) You must devote the whole of your time, attention and ability to the business of the
Company, during the Company’s usual business hours and at such other times as
may be reasonably necessary to fulfil the requirements of the capacity in which you
are employed specified in your SEA or to meet the Company’s requirements.

(c) The Company may require you to perform work for any other member of the MMA
Offshore Limited group of companies.

(d) Subsequent to your employment in the role detailed in your SEA, the Company may
subsequently employ you in other roles as determined by the Company.

(e) You must comply with all lawful orders and instructions given by the Company.

1.2 Policies and procedures

You must comply with all policies and procedures of the MMA Offshore Limited group of
companies that apply from time to time. Nothing in these policies or procedures gives rise
to a legal right or benefit enforceable by you.

1.3 No conflict of interest or interest in other business

You must not place yourself in a position where your own interests conflict or have the
potential to conflict with those of the Company without the approval of a member of the
Company’s executive management team.

1.4 Medical Examinations

You agree:

(a) to comply with the Company’s drug and alcohol policy;

(b) to participate fully in medical examinations and drug and alcohol testing (at the
Company's cost) as required by the Company, including pre-employment tests; and

(c) that the Company may obtain and use the results of these examinations for any
purpose relating to your employment.

1.5 Warranties

You warrant that:

(a) you are skilled, trained, qualified and competent to work in the capacity specified in
your SEA;

(b) any information provided to the Company by you about your work experience and
qualifications is correct;

(c) you will be able to produce an original certificate or other document at all times which
is evidence that you are qualified to work in the capacity and perform all relevant
duties as set-out in the SEA; and

(d) by entering into the SEA , and performing your duties and responsibilities, you will
not breach any obligation you have to a third party or expose the Company or any
entity in the MMA Offshore Limited group of companies to any claims from a third
party.

2. REMUNERATION

2.1 Payment of salary

The Company will pay your salary and any applicable allowances directly into a financial
institution account nominated by you at monthly intervals.

2.2 Taxes

(a) The Company will pay your personal income taxes or any other taxes which may be
due to any state, or other sovereign government, where the applicable vessel may
be working.

(b) You are responsible for any applicable income tax and/ or other deductions that may
apply in your country of residence.

3. PERFORMANCE REVIEWS

You must participate fully in performance reviews as required by the Company.

4. BUSINESS EXPENSES

The Company will reimburse you for any expenses that you reasonably incur, with the prior
approval of your Manager and during the performance of your duties, in accordance with
applicable Company policies and procedures. The Company may require you to provide a
tax invoice, or other evidence, to substantiate expense claims.

5. INTELLECTUAL PROPERTY

'Intellectual Property' means all present and future rights to intellectual property including
any inventions and improvements, trademarks (whether registered or common law trade
marks), designs, copyright, any corresponding property rights under the laws of any
jurisdiction and any rights in respect of an invention, discovery, trade secret, secret process,
know-how, concept, idea, information, process, data or formula.

The Company owns all Intellectual Property that you create or contribute to in the course of
your employment. You must do all things necessary to ensure that the Company owns
Intellectual Property that you create or contribute to in the course of your employment.

You must inform the Company of all Intellectual Property that you create or contribute to in
the course of your employment.

For the purposes of this clause, 'in the course of your employment' includes creations and
contributions that occur in the course of your employment regardless of whether they occur
outside of normal working hours and/or outside of the workplace.

6. CONFIDENTIAL INFORMATION

‘Confidential Information’ means all information (whether or not it is described as


confidential) in any form or medium concerning any past, present or future business,
operations or affairs of the Company or any other member of the MMA Offshore Limited
group of companies, or of any of their customers, including, without limitation:

(a) all technical or non-technical data, formulae, patterns, programs, devices, methods,
techniques, plans, drawings, models and processes, source and object code,
software and computer records;

(b) all business and marketing plans and projections, details of agreements and
arrangements with third parties, and customer and supplier information and lists;

(c) all financial information, pricing schedules and structures, product margins,
remuneration details and investment outlays;

(d) all information concerning any employee, customer, contractor, supplier or agent of
the Company or any other member of the MMA Offshore Limited group of
companies;

(e) the Company’s policies and procedures; and

(f) all information contained in these Terms,

but excludes information that you:

(a) can establish is known by or in your possession or control other than through breach
of these Terms and is not subject to any obligation of confidence;

(b) can establish is in the public domain other than by a breach of these Terms or any
obligations of confidence; or

(c) are required by any applicable laws to disclose or retain, but only to the extent that
the applicable laws require such disclosure or retention.

You acknowledge that all Confidential Information that has or may come into your possession
remains the property of the Company or relevant member of the MMA Offshore Limited group
of companies.

Unless it is agreed in writing by a member of the Company’s executive management team


or is required to comply with Applicable Laws, you:

(a) must not use, disclose or copy Confidential Information in any form or in any manner;
and

(b) must use your best endeavours, including keeping such information in a safe place
and implementing adequate security measures, to ensure that third parties do not
use, disclose or copy Confidential Information,

except for the purpose of and to the extent necessary to perform your employment duties.

You must immediately notify your Manager if you become aware of any breach of the
obligations in this clause, or if you are lawfully obliged to disclose any Confidential
Information to a third party, and you must comply with the Company's lawful directions in
relation to the disclosure.

Your obligations under this clause continue after your employment ends.

7. MORAL RIGHTS

'Moral Rights' means the right of attribution of authorship, the right not to have authorship
falsely attributed and the right of integrity of authorship, as defined in applicable laws in
respect of intellectual property

If you have Moral Rights in any Intellectual Property owned by the Company, you:

 irrevocably consent to any act or omission by the Company which infringes those
Moral Rights;

 agree that your consent extends to acts and omissions by the Company’s licensees
and successors in title; and

 agree that your consent is a genuine consent given under applicable laws in respect
of intellectual property and has not been induced by duress or any false or
misleading statement.

8. TERMINATION

8.1 Termination without Notice

Subject to any restrictions under applicable laws, the Company may terminate the SEA
without any period of notice or payment in lieu of notice if you:

(a) commit any serious or persistent breach of your contract of employment including,
without limitation, intentional disobedience, dishonesty, serious or persistent breach
of duty or serious or persistent neglect;

(b) engage in conduct (whether or not in connection with your duties) which has or is
reasonably likely to have a material adverse effect on the reputation of the Company;

(c) are charged or convicted of a criminal offence which, involves fraud, dishonesty, bad
faith or in the reasonable opinion of the Company, will detrimentally affect the
Company or its reputation;

(d) fail to observe or perform any of the duties or obligations imposed on you pursuant
to your SEA and do not correct the failure within seven (7) days of being requested
by the Company to do so;

(e) in the course of obtaining your employment, provided false or misleading


information, or failed to disclose information that is material to your employment;

(f) use or abuse alcohol or drugs (including drugs prescribed by a medical practitioner)
to the extent that, in the reasonable opinion of the Company, you are no longer able
to discharge your duties in a proper manner; or

(g) commit any other act which at common law would entitle the Company to terminate
your employment without notice or payment in lieu of notice, including, without
limitation, if you are involved in any serious misconduct.

8.2 Suspension

The Company may suspend you while investigating any matter that the Company believes
could lead to it to exercising its rights under clause 8.1 or taking other disciplinary action.

8.3 Termination with notice

Subject to any notice period that applies during your probation period under these Terms,
you or the Company may end your employment by giving written notice as detailed in your
SEA.

If the Company is required to give you a greater period of notice of termination of employment
under applicable laws than is specified under your SEA the Company will give you that period
of notice of termination of employment (instead of, and not in addition to, the period detailed
in your SEA).

Subject to any restrictions under applicable laws, the Company may pay you in lieu of part
or all of your notice period.

If your employment ends, the Company will calculate any payments in lieu of notice or
accrued leave in accordance with applicable laws.

8.4 Return of Property

At the end of your period of employment or if your employment terminates for any reason
you will immediately return all Company property in your possession, custody or control,
including Confidential Information.

9. PRIVACY

9.1 Compliance with privacy and health laws

You must comply with all obligations regarding the collection, use and disclosure of personal
and health information in accordance with applicable laws in respect of privacy and health
information and the Company’s policy.

9.2 Collection of personal information

You consent to the MMA Offshore Limited group of companies collecting, using and storing
your personal and health information for any lawful purpose relating to your employment.
You consent to the MMA Offshore Limited group of companies transferring your personal
and health information in the course of its business activities.

9.3 Disclosure of personal information

You consent to the MMA Offshore Limited group of companies disclosing your personal and
health information to other persons for any lawful purpose relating to your employment.
These persons include superannuation or pension fund trustees and administrators,
contractors, bankers, insurers, medical, rehabilitation or occupational practitioners,
laboratory analysts, investigators, financial and legal advisers, potential purchasers on sale
of business, law enforcement bodies and other government and regulatory authorities
operating under applicable laws, including in respect of taxation.
