LEASE AGREEMENT
GEORGIA, Tbilisi, Agreement validity:-- /October/2020 – --/ April /2021

On one hand, p/p NINO SANADIRZDZE (citizen of Georgia ,personal ID number: 01008005127), (hereafter
„Lessor“)
and
on the other hand p/p JOANNAH CHRISTINE STEWART (citizen of Republic of South Africa,
passport number: A06062108) and MILES PETER REGENASS
(citizen of Republic of South Africa, passport number: A08036310), (hereafter „Lessee“)

Lessor and lessee separately are mentioned as party and together as parties;

According to the current legislation of Georgia parties conclude the agreement (hereafter
„Agreement“) and agree to the following:
1. Agreement subject:
1.1 On the basis of the following Agreement the Lessor rents to the Lessee the real estate
property located in Tbilisi, Ilia Chavchavadze avenue #75, block 2, 2 nd entrance, 2nd floor, apt.
#39) Cadastral Number: 01.14.07.007.045.01.01.524 (hereafter “Property”)
1.2 From its party Lessee rents the Property from the Lessor and undertakes an obligation to pay
the rent according to the terms and conditions of the following Agreement.

2. Purpose of the agreement:


2.1 According to the following Agreement the Property is transferred to Lessee as a living space.

3. Rental value and payment conditions:


3.1 The rental fee, payable by the Lessee to the Lessor in the frame of this Agreement is 500(five
hundred) USD equivalent in Georgian Lari at the currency exchange rate established by
National Bank on the date of payment.(hereafter “Rental Fee”).
3.2 The Rental Fee includes the taxes under the applicable Laws of Georgia.
3.3 The payment should be made by Lessee according to the following conditions :
3.3.1 Lessee makes an advanced payment for 2 (two) months – the first, and the last(sixth)
month in amount of 1000 (one thousand) USD on the date of signing this Agreement, in
Georgian Lari at the currency exchange rate established by National Bank on the date of
payment.
3.3.2 The Rental Fee does not include utility costs. Lessee pays utility costs – electricity, gas,
water, cleaning service, internet etc. independently on the due date marked on utility
bills.
3.3.3 The Lessee undertakes to make payment of Rental Fee for each following month not later
than 3 (three) business days after date ---- (-----) of each calendar month.

4. Rights and obligations of the parties:


4.1 Rights and obligations of Lessor:

4.1.1 Lessor is obligated to give the Property mentioned above to Lessee in the temporary
possession and use according to the act on extradition and reception from the day
Agreement enters into force;
4.1.2 Lessor is obligated to keep the structure parts of the building ,interior and exterior,
common areas of the building , utility and communication systems in proper condition by
his/her own funds;
4.1.3 Lessor undertakes an obligation to transfer the Property to Lessee in clean condition.
4.1.4 Lessor has a right to check the condition of the Property once a month. Lessor must agree
on time with Lessee at least 24 (twenty four) hours before checking. Lessor checks the
Property in the presence of Lessee;

4.2 Rights and obligations of Lessee:


4.2.1 Lessee is obligated to receive the Property according to the delivery acceptance and to
keep it in the proper condition by his/her own funds;
4.2.2 Lessee is obligated to make a payment during the term of the Agreement according to the
payment conditions and terms mentioned above;
4.2.3 Lessee does not have a right to give the property to sub-rent to another physical or
juridical person;
4.2.4 Lessee has a right to keep pets in the Property by a permission of Lessor;
4.2.5 In case of damaging the Property by his/her fault or by the fault of her/his family
members/pets Lessee is obligated to pay compensation for the damage to Lessor and to get
the Property in proper condition as it was before damaging;
4.2.6 In case of damaging or missing the material property given to Lessee by Lessor in
temporary use , Lessee is obligated to fix the damage or/and to pay Lessor compensation
for the loss;
4.2.7 In terms of the Agreement Lessee has a right to use the common space of the building
unlimited 7(seven) days a week including weekends/holydays.

4.3 Responsibility of the parties:


4.3.1 In case of termination its obligations the guilty party is obligated to pay the other party a
compensation for harm;
4.3.2 Each party is obligated to follow the conditions of the Agreement mentioned above. The
party which does not follow its undertaken obligations must fix harm/damage
immediately.

5. Force-majeure:
5.1 The parties get free from the obligations in case of facing unexpected situation which they are
not able to solve (force-majeure). The situations that are considered to be this kind are : war,
military actions, natural disasters, diversions, fire, earthquake ,flood or any other situation
which is uncontrollable;
5.2 In case of uncontrollable situation the party shall notify other party about an approximate
term of action.

6. Period of validity of the Agreement:

6.1 The Agreement enters into force on October --, 2020 and is valid until April--, 2021 y.
(including).
6.2 Lessee is obligated to give back the Property to Lessor immediately after the end of validity
period.
6.3 The termination of the Agreement before term does not cancel the right of the parties to
require implementation of outstanding obligations, if such existed before termination the
Agreement.

7. Termination of the Agreement:


7.1 Lessee is entitled to terminate the Agreement unilaterally prior to expiration of the Term:
7.1.1 On the basis of 1 (one) month prior written notice to Lessor. In the case of early
termination by Lessee last month Rental Fee (paid in advance) shall be considered as the
penalty and shall not be refunded by the Lessor.
7.1.2 Immediately if Lessor roughly breaches obligations envisaged by this Agreement. In case
if the Agreement is terminated on the basis of this sub-clause, Lessor is obligated to
refund to Lessee the Rental Fees paid by Lessee in advance to Lessor under this
Agreement, within 5 (five) business days from the date of respective request.
7.2 Lessor is entitled to terminate the Agreement unilaterally prior to expiration of the Term if
Lessee roughly breaches obligations envisaged by this Agreement or/and does not follow the
terms and conditions of payment mentioned in this Agreement above.
7.3 The Agreement may be terminated at any time on the basis of mutual written agreement
between the Parties.

8. Definitive statements :
8.1 The rights and obligations of the parties mentioned in this Agreement above are regulated
according to the current legislation of Georgia ;
8.2 Any changes are valid only in case they are written and signed by both parties;
8.3 In case of changing, refusing, canceling or aborting any part of this Agreement it will not
cause changes in other parts of rights and obligations undertaken by the parties mentioned in
the Agreement;
8.4 The Agreement shall be executed in English and Georgian in 2 (two) original copies with the
same juridical force. Each copy will be given to each party.
