RENT AGREEMENT

This RENT agreement is made between:

1. Mr.S.Selvaraj, S/o. M.V.Solaimalai, Villa No -22, Raja Brindhavan Nagar,


Kurumbapalayam Pirivu,Madukkarai, Coimbatore – 641105.

(Landlord) and

1. Mr. K. Rajesh s/o Late Sri Krishnankutty residing at Plot No.320, Raja Brindhavan
nagar, Kurumbapalayam Pirivu, Madukkarai, Coimbatore – 641105. Managing Partner
of V-Tork Controls, and
2. Mrs.C. Minipriya W/o Sri K. Rajesh residing at at Plot No.320, Raja Brindhavan nagar,
Kurumbapalayam Pirivu, Madukkarai, Coimbatore – 641105. Partner of V-Tork
Controls

AND

M/s V-Tork Controls represented by the Partners of the Firm 1. Mr.K.Rajesh S/o. Late Krishnan
Kutty aged 34 years, having residence at Plot No.320, Raja Brindhavan nagar, Kurumbapalayam
Pirivu, Madukkarai, Coimbatore – 641105.

2. C.Minipriya aged 28 years w/o Sri K. Rajesh having residence at Plot No.320, Raja Brindhavan
nagar, Kurumbapalayam Pirivu, Madukkarai, Coimbatore – 641105.

WHEREAS the Tenant V-Tork Controls, Managing Partner Mr.K.Rajesh & Mrs.c.Minipriya have
been approached the Landlord Mr.Selvaraj for office and factory on lease basis to carry on
Manufacturing and Sales activities under the name of firm “V-Tork Controls”

Schedule of the property allotted for rent

Around 1680 Sq.ft office space Galvanized sheet shed located in S.F.No.652/4A, SirC.V.Raman
Layout, Near Rathinam College, Coimbatore 641021 - Along with 20 HP POWER( E.B service
No.260-005-346)

whereas the Landlord has offered the SCHEDULED property to the tenant on rent basis and the
Landlord’s have agreed to take on rent basis for a period of 11 Months commencing from
28.11.2014, the tenant should handover the above mentioned property at S.F.No.652/4A,
SirC.V.Raman Layout, Near Rathinam College, Coimbatore 641021 after the expiry of this lease
agreement on mutual consent the rent agreement can be renewed for another period of 11
months

i. The tenant hereby agrees to pay a sum of Rs.100000/- [Rupees One Lakh Only) in
favour of Mr.S.Selvaraj as interest free Advance amount and which the Landlord
shall repay to the tenant on termination of this rent agreement within 15 days in form
of DD.
ii. The tenant to pay the monthly rent of Rs.20, 000/- [Rs Twenty Thousand only] in favor
of Mr. S.Selvaraj on or before 10th day of the English calendar every month against
which the receipt will be provided by the Landlord to the tenant.

(i) It is hereby agreed between the Landlord AND Tenant that the rent for
the allotted premises would be Rs. 20,000/- [Rs.Twenty thousand only]
per month basis.

(ii) The tenant shall on termination of this said premises to the Landlord in
its original condition, subject to normal wear and tear after tenant
receiving the refund of security deposit payment of Rs. 1,00,000/-,
(Rs.One Lakh Only) made to the Landlord in form of DD and shall vacant
the premises.

(iii) The Landlord will refund the rent advance amount of Rs. 100000/- after
deducting the arrears of rent or amount of damages to the building if any
at the time of handing over the rented premises.

(iv) The tenant can add A/C, Fans for their use, lights if required and other
minor changes.
(v) Tenant to pay charges for electricity consumed as per Electric meter
allotted to them on monthly basis, as per Tariff plan of TNEB.
(vi) Tenant to pay water tax on periodical basis.
(vii) Three months notice time to vacate the premises will applicable both
landlord and the tenant.

(viii) Tenant to keep and maintain the Schedule property in a good and
tenantable order and condition and to deliver possession of the allotted
premises.

(ix) The tenant shall not part with possession of the said Premises or any part
thereof or sublet / rent out the said premises or any portion of the same
to anyone without LESSOR’s written consent.
(ix). The tenant should allow the landlord or his authorized agent for
Premises verification.

2. The Landlord’s doth hereby covenant with the tenant as follows:

1) The tenant paying the rent amount hereby reserved and observing and performing
several covenants, conditions and agreements herein contained and on the part of the
tenant to be observed and performed shall peacefully and quietly enjoy the Schedule
Property during the term hereby created without any interruption or disturbance from
or by the Landlord or any person or persons claiming through or under or in trust for the
Landlord.

2) The Schedule Property shall be used only for the purpose of Manufacturing and SALES ‘
activities, day to day business activities and shall not use the premises for any other
purpose prohibited by law.

(3) The tenant doth hereby covenant with the Landlord’s as follows:

4. No variation, alteration and amendment of this agreement shall be valid unless the
same is in writing and signed by the parties hereto.

5. This agreement is the final and entire agreement and supersedes any previous
communications, representations, understanding or agreements, written or oral, between
parties hereto on the subject matter herein.
