CONTRACT FOR PROVDING HOUSEKEEPING SERVICE

This contract is made and executed on 02 January, 2021

BY AND BETWEEN

NRF Cleaning Servises, a Company incorporated in Bangladesh and having its Office at 5/5 Pallabi, Mirpur,
Dhaka-1216, hereinafter referred to as “1st party represented by its Proprietor (which expression, where the
context shall so admit, shall mean and include its legal representatives, assigns, successors-in-interest,
nominees, administrators and executors) OF THE ONE PART.

AND

Isho Ltd, under the laws of Bangladesh having its Installation at House - 27, (3rd floor), Block-H, Road -12,
Banani, Dhaka-1213. hereinafter referred to as “2nd party" or the “Client” represented by its Secretary (which
expression, where the context shall so admit, shall mean and include its legal representatives, assigns,
successors-in-interest, nominees, administrators and executors) OF THE OTHER PART.

WHEREAS:

1. The 1st party is a Company to carry on the business of a high standard of housekeeping service.
2. The 2nd party has proposed to the 1st party to provide housekeeping services in the office of the 2nd
party with the housekeeping personals of the 1st party, and the 1st party has agreed to do the same.
3. Both parties have mutually agreed to perform under the terms and conditions set forth herein below.

NOW THIS CONTRACT WITNESSETH AS FOLLOWS:

1. DEFINITIONS AND EXPLANATIONS

For the purpose of this Agreement, the following terms shall, unless repugnant to the context, have the
meanings set forth below:

a. The term 'or shall include 'and' but not vice versa.
b. The singular number shall include the plural number and vice versa.
c. Party' and parties’ shall mean the parties hereto separately and jointly respectively.
d. Person' includes legal person.
e. 'Shift' means a period of 09 hours duty under this Agreement.
f. Any reference in this Agreement to "writing” includes a reference to facsimile transmission, e-mail
or compatible means of communication.
g. References to Clauses, sub-clauses and Schedules are to clauses, sub-clauses and schedules to this
Agreement.

2. RIGHTS AND RESPONSBILITIES OF DFMS

2.1 NRF Cleaning Service’s will be responsible for maintaining the quality of the assets as described by
the shift in a day, NRF Cleaning Service’s will employ trained uniformed housekeeping assistant and
ensure that the housekeepers would carry out their duties with maximum sincerity and
efficiency to earn the satisfaction of the client.

2.2 NRF Cleaning Service’s reserves the right to rotate or change the housekeeping assistant at any time
with due replacement. It is also to be mentioning that due to sickness, leave, desertion and for other
reason 10% housekeeping personnel will not be available in the post which will be covered by
replacement from NRF Cleaning Service’s.
2.3 NRF Cleaning Service’s will provide a customer satisfaction card to get the feedback monthly
regarding the service.
2.4 NRF Cleaning Service’s will provide at its own expense the necessary cleaning equipment, tools,
cleaning agents and disinfectant materials for use in carrying out its contractual duties.

3. CLIENT'S OBLIGATIONS

2.5 To pay NRF Cleaning Service’s properly under this Agreement for all service provided by the 1st
party.
 2.6 Second party shall provide all water, electric and necessary facilities for the first party to use and
perform its service as there under.
2.7 Second party shall provide adequate lock up room for the first party to store its cleaning equipment
and materials.
2.8 second party shall facilitate cooperation to the first party's employees while performing their duties
or works.
2.9 Second party shall take all precautions and measure to prevent loss or damage of any assets. Even
though to resolve any dispute as such clause 8 shall be adhered strictly.

4. TERMS OF PAYMENT

2.10 The client shall make payment properly under this Agreement for all services provided by
the 1st party.
2.11 The client shall make payment for the housekeeping services at the following rate:

2.12 All amount are excluding VAT. Payment will be made by check/cash within 07 days.
5. MEERING BETWEEN THE PARTIES
Meeting shall be held between the contact person of the parties, in every 03 (three) months during the
term of this Agreement, at any suitable time and place agreed and fixed by both parties for this purpose,
for better understanding of co-ordination.
6. DURATION AND TERMINATION
This contract shall be valid for a period of 02 (Two) years with effect from January 02, 2021. Both parties
can terminate the contract via providing 1 months written notice.

8. DUPLICATES
This Agreement is executed in duplicates, each of which shall be treated as original.
IN WITNESSES WHEREOF, the parties hereto have executed this Agreement on the first day above written.
