SUB:Compensation Revision FY 2019-20

The world continues to face an unprecedented crisis in the wake of the COVID-19 pandemic, and we are looking at a new
normal to emerge out of this. The global economy continues to face headwinds unlike any we have witnessed before. Needless
to say, the challenging landscape has put immense pressure on each of our businesses, making it imperative to continue
optimising discretionary expenses and pursue other austerity measures.

The first half of the year has been the most challenging one for all of us due to the ongoing crisis with our operations getting
impacted in the early part of H1. While appreciating the concerted efforts put forth by us- as a team, we are short of achieving
the downward revised budgeted targets. While many of our Peers from the EPC Industry , facing similar challenges, have put on
hold / deferred their decision on salary increments for the year, we as an organization as committed during the Performance
Bonus distribution have decided to extend compensation revision for our employees as an exceptional gesture for the efforts put
in by them.

In line with the above, we are happy to inform you that your annual compensation is being revised effective 01-Jan-2021, based
on your Individual Performance Review (2019-20) and the Company/SBU performance in H1.

I am very confident that the above decision will propel you further in your relentless drive to meet the Performance targets
committed by you as an Individual and your business.

Increment & Revised Compensation effective 1 January, 2021:

Your revised Compensation is attached in Annexure A.

Please note that your compensation and the changes thereto are subject to income and other taxes as applicable including such
amounts to be withheld as per applicable statutes.

You will continue to abide and comply with the provisions of the RPG Code of Corporate Governance and Ethics (Version 4)
2018 which is applicable to all employees of RPG Group.In line with the terms of your appointment and the RPG Code of
Corporate Governance and Ethics, you are obligated not to divulge your compensation to anyone unless required to do so by
law. All other terms and conditions of your employment remain unchanged.
