Delivery

Tvisha delivers following set of deliverable for a project:

* Business Requirement Document.
* Wire frames.
* Designed Screens.
* Fully Functional Solution.

**Any other deliverable apart from above mentioned, will be chargeable. * Client should provide the following APIs:
1) SMS Gateway
2) Payment Gateway API
3) Wallet API
4) Video Player API

Terms and Conditions:

** Tvisha seeks client's signatures on all the document deliverable. Signed document is mandatory to move ahead with further
phases of project. Signature can be on done one final copy physically or using Docusign.

** Tvisha rolls out APK / web url only once for customer UAT. App will be made live as beta version on domain once all the
anomalies listed by client during first UAT cycle are taken care. Tvisha will charge 2% extra if happened to maintain the
Package which is created for client in Tvisha servers for any type of application.

** Client should revert back to Tvisha with in two calendar weeks of once after the respective APK / web url is rolled out. If no
revert back is found in given turnaround time, Tvisha would consider the app is anomaly free / fool-proof and will be made live
on domain by initiating respective free support period.

** Free support period of 30 calendar days starts instantly once beta version of app is made live on Domain. (Please refer last
point of this section for Beta live details)

** Above mentioned price is only for app(s) development and testing. This proposal does not include any kind of charges for
any kind of hosting server setup and configuration, server maintenance, email configuration, domain purchase, app hosting,
app maintenance, content writing, marketing, digital marketing, or any other services. Tvisha would send a separate material
quote for any other service that client seeks from Tvisha.

** Tvisha expects a TAT (Turn Around Time) time of two calendar weeks for providing respective APIs by client. If the TAT
exceeds more than two calendar weeks, Tvisha will implement respective dependent feature with duplicate / dummy solution
and app will be made live.

General Terms:

a) The charges quoted by Tvisha are based on per hour/flat/retainer basis irrespective of the number of Screens/pages or any other
specification. b) The quoted price is exclusive of cost of app maintenance, hosting and upgrades.

Payment Terms:
a) All payments are to be made by the client before the commencement of service. b) Next module/phase of work will be taken up only after
all pending payments are honored by the Client. c) If any payment is overdue by more than 45 days, the Service Order is deemed cancelled
without any prejudice to Tvisha. Tvisha is not liable to deliver Code/Product to the Client. The Client forgoes all the payments made to Tvisha
in connection with the Order.

Maintenance & Hosting

Free Maintenance Support
Free maintenance, hosting and support service for a period of 30 calendar days from the day the app goes live (beta/flight versions). During
this period the application will be hosted on a shared server.
Annual Maintenance Contract
a) Subsequent to the free maintenance period of 30 calendar days, Tvisha offers an Annual Maintenance Service (valid for a period one year)
at a fee equivalent to 20% of the gross order value. The signup for the service has to be completed before the end date of the free
maintenance period.
b) After the expiry of the free maintenance period, a new quote would be raised and may not necessarily be limited to 20% flat maintenance
charge. Also note that the 20% rate is on the gross amount and not the discounted order value.
c) Hosting service charges must be borne by the client.
d) Server must be appropriately used by the Client without resorting to bulk/mass emailing or any other activity which can be construed as
Spamming.
e) There will be a quote shared for maintenance of hosting services and cost will be minimum of $100/month.

Upgrades
All new requests subsequent to the signing of Purchase Order are considered as “Change Requests”(CR) and are accordingly additionally
billed as per standard pricing ( $15 for Web, $ 20 for Androidand $20 for iOS - These prices are valid till end of this calendar year). The rates
are subject to change and the quoted rates here are valid for 60 days from the day, the application goes live. Once the order is confirmed
and advance is paid, any request will be considered a CR and any reduction in scope, will not permit the customer to reuse the lost hours
onto any new requirement nor will there be a refund.

Other Deliverables
a) Any requests for content are considered as CR and charged extra. b) Requests for documents such as User Guides/User Manuals/ User
Cases/ BusinessPlans/ User Request Documents/Functional Requirement Documents etc are charged extra.
