Terms and Conditions

Campaign Summary

This campaign rewards partners for driving customer Azure Consumed Revenue (“ACR”) above
USD$5,000 during the period from 1 March 2021 to 31 August 2021, and maintaining the
ACR above USD$5,000 for 3 consecutive months.

Campaign Program Benefits

Eligible partners participating in this campaign will be able to earn incentive rewards as described
below. This campaign pays in addition to all other global and local incentive programs partners
are eligible for.

 Partners will earn USD$10,000 for each qualifying customer add acquired during the
campaign period, and the monthly Azure Consumed Revenue (“ACR”) of the qualifying
customer add influenced by the Partner is at least USD$5,000 for 3 consecutive months
starting from the month it was acquired.
 ACR must be influnced by the partner either via PAL or CSP association.
 A qualifying customer add is a customer TPID with less than USD$5,000 of ACR during
the month of February, 2021.
 Partners can earn up to $10,000 per customer TPID under this campaign.

Campaign Program Terms & Conditions

This Campaign Program is governed by (a) the terms and conditions in the Campaign Program
Guide and (b) the terms and conditions set forth in this email below (the “Additional Campaign
Terms and Conditions”). Except as expressly set forth in the Additional Campaign Terms and
Conditions, terms defined in the Campaign Program Guide will have the same meanings when
used in the Additional Campaign Terms and Conditions.

By participating in the Campaign Program, submitting information to Microsoft in


connection with the Campaign Program, or accepting any Incentive Payments from
Microsoft as a result of the Campaign Program, Participant agrees to and accepts the
terms and conditions in the Campaign Program Guide and the Additional Campaign
Terms and Conditions.

Effective Date and End Date


This Campaign program starts on 1 March 2021 and end on 31 August 2021.

Eligibility
To be eligible to earn for this Campaign Program, the Participant must satisfy all the
requirements defined in the Campaign Program Guide and the additional criteria included
below:
Eligible and enrolled in one of the following global incentive program:
 Microsoft Commerce Incentive (“MCI”)
 CSP Direct Bill Partner program
 CSP Indirect Provider program
Customer segment
Strategic – Commercial Other; Strategic – FSI; Strategic – Public Sector; Major – Commercial
Other; Major – FSI; Major – Health; Major – Education; Major – Federal Government; Major –
Government Other; SM&C Commercial – Corporate; SM&C Education – Corporate; and
SMC&C Government – Corporate
Customer Location: Bangladesh, Brunei, Indonesia, Korea, Malaysia, New Zealand, Nepal,
Philippines, Singapore, Sri Lanka, Thailand and Vietnam

For purposes of this program, customers will be identified by End Customer TPID/Tenant ID.

Eligible Products
All Azure Consumed Revenue associated with an end customer’s Enterprise Agreement
(“EA”) and/or CSP subscription only.
“Azure Consumed Revenue” (“ACR”) means the revenue associated with usage of Azure
metered and suite services during the Program Term from subscriptions where Participant is
associated via PAL and/or CSP to customers Azure consumption on either an Azure Resource,
Azure Resource Group or Azure subscription ID.
Azure consumption should be paid Azure (excluding any unpaid Azure, trials, free promos,
etc.).
For avoidance of doubt, ACR will be determined by Microsoft’s Azure reporting suites. Where
Participant is associated to the same consumption in multiple ways then they will only get
credited once for that consumption.
Sales Criteria
Qualifying customer add is defined as follows:
 End customer must have monthly ACR of less then $5,000 at the customer TPID level
during the month of February 2021
 End customer achieves a minimum of $5,000 in ACR in a month during the campaign
period from 1 March to 31 August 2021
 Customer maintains minimum $5,000 monthly ACR for 3 consecutive months
Partner must be attributed to the end customer’s ACR via PAL and/or CSP.

Incentive Award
An incentive bounty USD$10,000 will be awarded for each qualifying customer add.

Participant’s eligibility is determined at the Location MPN ID level. For clarity, where an eligible
Participant has multiple TPID’s, the associated revenue will be aggregated prior to performing
the incentive calculation

For an eligible transaction to be included in the incentive calculation, it must have been
recorded in the Microsoft internal sales tools during the relevant Program Term.

Payment
Payment Method – Wire Transfer
Payment Frequency: End of Campaign
Eligible Participants who earned incentive will be paid within 60 days of the conclusion of the
relevant payment period.

Thresholds
Minimum threshold: USD$200 per Participant
Maximum threshold: N/A

POE Activities/Documentation
During the Term of this Campaign Program, Participant will perform the following POE
activities (“POE Activities”):

Definitions
When used herein, and in addition to terms defined elsewhere in the Additional Campaign
Terms and Conditions, the following terms have the following meanings:
“Affiliate” means any legal entity that owns, is owned by, or that is under common ownership
with Participant or Microsoft. Ownership means control of more than a 50% interest.
“Distributor” means a distributor who is authorised by Microsoft to sell Eligible Products
pursuant to a Microsoft channel agreement.
“Customer” means any legal entity (other than Participant or its Affiliate(s)) within the Territory
that acquires Licensed Offerings for use as an end user, and not for distribution or resale.
“Licensed Offerings” means Licensed Software, Hardware, Services, Documentation
Components and Software Assurance collectively.
“Microsoft” means the applicable Microsoft entity determined in accordance with the MPN
Agreement.
“Reseller” means an entity (other than Participant’s Affiliate(s)) within the Territory that
purchases Licensed Offerings for resale directly to Customers.
“Territory” means the geographic area in which Participant is authorized by Microsoft to
distribute the Eligible Products during the term of the campaign.
