repugnant to the context, be deemed to me and an include its permitted assigns and successors-in-
interest.

Brevity’s sake referred to as a “Delivery Partner” ,which expression shall unless excluded by or repugnant
to the context, be deemed to me and include its permitted assigns and successors-in-interest.
Client &Delivery Partner are engaged in the Business of Outsourcing of IT and IT-Enabled Services
Industry and Client have got into an Agreement with his Principals (herein after referred to as “Principals”)
for Outsourcing & Execution of “Copy & Paste – SSBPO NETWORK” as described in the “SCOPE OF WORK”.
Hence forth Client is providing rights to Delivery Partner to Outsource and Execute this process under
Delivery Partners Business Name.
Presently Delivery Partner is in a position to Outsource & Execute the “DATA ENTRY PROCESS”
through its various Delivery Partners. Client would provide requisite training and skill-base to Delivery
Partner so that it can be outsourced by the Delivery Partner.
This Agreement represents the business Agreement and operational understandings between the
parties and shall remain in effect for a period of Eleven Month from the date of execution hereof or from
the date of providing the first data whichever is later & can be extended for the period as mutually agreed
upon, for the purpose.

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:


• SCOPE OF WORK
Client will provide you login ID and Password, Download the Data and Simply you have to fill the all
info of that website in to given fields as per instruction given below, if there is any new update than it
will show on login portal as popup and then after Delivery Partner has to work including as per new
update.
The login ID’s provided by the client cannot be transferred to any other party till the completion of
running agreement period.
2. PRICE
For the DATA ENTRY services rendered by the Delivery Partner, they shall be entitled for payment of price
xx - (INR) per valid website Inclusive of all taxes.
The total amount of agreement is xxxxxxxxxx of One xxxxxx of copy paste projects. The delivery partner
paid xxxxxxxxxxxxxxxxx in our Company Account at the time of agreement.
3. BILLING
Client will pay the final invoice after every 15 days (invoiced will be processed) after checking of quality of
approved data.

4. Accuracy
We are going to inform you that in Copy & Paste – “SSBPO NETWORK” having some Terms &
conditions Such as a accuracy parameter
As you are working on Copy & Paste – SSBPO NETWORK you should know about the terms & conditions as
we are giving below-

 Paid Websites

1. Manufacture
2. Trader
3. Exporter
4. Industrial Service Provider
5. Wholesaler
6. Distributor
7. Supplier
8. if there is also having Payment Gateway option that would be count in billing only for
Manufacture

 Unpaid Websites
 Indian (IN) Chinese (CN) These websites are not for work

1. Companies in Armor Weapons manufacture/Trading/Supply/Exporting /Repairing Services etc.


2. Porn / Adult content website.
3. Online gambling / Online game websites.
4. Service provider websites e.g. Restaurants, Salon, Retailers etc. or of any kind except Industrial
Service Providers.
5. Websites related to food and food manufacturing and edible products
6. Drugs making / Pharmaceutical drug making company’s website – e.g. - Chemical compounds,
Formula's, Medicine etc. If pharmacy, Company dealing in medical equipment and similar
products like medical machinery, equipment etc. Will be considerable
7. Hacking service provider / hacking information provider websites.
8. Alcoholic /Tobacco products manufacturer/supplier/ trader websites.
9. Websites related to airline/aviation industry
10. Personal websites, blogs etc.
11. Hosted on free platforms such as word press etc.
12. Any sub domain websites i.e. not hosted at root level, cannot be accepted. Example -
Multimedia/ Entertainment websites such Music/ Videos etc.
13. Websites belonging to any kind of animal trading(Live or dead) is not accepted
14. Companies with Online product selling option given with product, like Add to cart, payment
gateway, Buy option etc. (Exception is with Manufacturer)
15. Websites in non-English language & not having an option of translation. Do not use chrome
browser, as it sometimes converts other language into English automatically.
16. URL redirecting websites – (They are to be included with the redirected URLs).
17. Websites designed in Flash format will not be considerable only if the description is not copy
able. There is an option in Status column with “Flash”, please select that.
NOTE:1- Accuracy will check on random basis .(The random Sample size is 20% from all paid done data, if
20% picked data is rejected than all data will consider as non and avoid, so all data will get rejected in case
of less than 80% of accuracy of that particular day), All Fields are mandatory.

Note:- 2 Client Provide the Data 250 Url Per Id, Per Day (Maximum 500 Url Per Day As Per Required
Delivery Partner ), All fields has to filled Mandatory. Client submitting the Data Same Day otherwise Data
fully rejected than all data will consider as non and avoid, so all data will get rejected of that particular day.

Note: 3- The timings for doing your work with your provided login Id’s are 9:00 Am to 6:00 Pm. After 7:00
pm Data Not Accepted, so all data will get rejected of that particular day.
Note: 4 - The data provided by client to business associate is being supplied in bulk order so the quality of
the data depends on the slot which has been supplied already so client (SSBPO NETWORK) is not liable to
answer regarding the supplied data to business associate.
5. Client agrees to provide formats and other information for processing the job to Delivery Partner at the
time of providing the data.
6. Telecommunication cost applicable at each end shall be borne by the both parties.
7. All data will check by client side and Client will only liable to pay for approved entry.
8. GUIDELINES:
a) Primary Fields: These fields need to be definitely present for Copy & Paste process.
b) Company Profile: Must be present I.e. about the company itself explaining the purpose for its
existence or the type of business it is dealing into.
c) Status: If website working then – select Opening else select not working, Domain expired, Under
Construction. Also if website language is non-English then – select Non English.
d) Business Type: Business type can be Manufacturer, Industrial Services, Trader, Supplier,
Wholesaler, Distributor, and or Exporter only. If any encounter website is apart from said before
business type, then select the respective option and click on submit to avoid investing time on
the same website as it is of Non Paid type* Check from Note as mentioned below.
e) Location: Select Country Name. For Hong- Kong, Macau there is option - China (Hong Kong
S.A.R.), China (Macau S.A.R.) respectively in the country selection menu.
f) Email ID: the email ID should be entered as same as mentioned on the original website. Which Is
going to verified by the software database. In case of existing email id is entered it would not be
accepted by the software as it already exists in the software database.
g) Company Profile: Must be present i.e. about the company itself explaining the purpose for its
existence or the type of business it is dealing into.
h) Phone, Mobile: Should match the ones present on original website. Toll free phone numbers are
not considered. Please fill the Phone. / Mobile no. available at website without copying special
character. If phone no. box is set blank, then it will be treated as an error. (Criteria is to fill the
phone. / mob. no. if it’s a Paid type*)
i) Product: There should be at least 3 distinct products available. (Selection criteria is- 3, less than
that will go in rejection) & Copy-paste the any three product name.
j) Product Image: Image should be in jpeg/png/jpg/gif format only. (Selection criteria is- 3, less
than that will go in rejection)
k) Product Description: Proper product description, relevant to the product should be present.
Description in tabular form is also considerable.
l) Company Name : Must be same as given on the website( Must be in full form like
Pvt,LLC,PTY,INC.,Co,.etc.)
Note 3:- In case of company name you have to take the company name in full form like Pvt.
Ltd./LLC./INC./Co,./Crop. etc. So you have to take the same in full form it may me be in
certification/about us/ company profile/contact us etc.
e.g:- Tung-Li Electronic Enterprise Co. Ltd.
Note 2:- in case if on website company full form is xyz ltd.
Than you have to take xyz ltd. Or if given name is xyz.ltd than you have to take xyz.ltd
Note:-3 kindly don’t go on social network link for company name, because on social link it may
be differ so it can arise confusion so don’t go social network link given on website only for
company name field.
m) Fax No. : Toll free Fax No. are not considered. Please fill the Fax no available at website and in
case if not available on original website than only you can go for social links.
While filling the phone no you have to take given country code without special character for
example, Given phone no on website is +96-450-37(25)101
Than you have to type 964503725101 i.e without any space or special character
Note:- Same guideline is for fax no also, otherwise it will count as error.

NOTE 1: Business type which is Industrial Service Provider can be considered with their different
services, description & image as products (services should be at least of minimum of 3 nos.). Business type
option will be Industrial Services in this Case. The Industrial services are those services which are helping
services for large scale Manufacturing Industry. Example – Metal polishing, powder coating, fabrication,
refurbishment, etc. Corporate services, Software service, consulting service, Small Scale Industries etc. are
not treated as Industrial Service
NOTE 2:In case of online payment gateway, add to cart, buy option can be considered for the Business type
of Manufacturer only, i.e. if any Manufacturer who is selling its product online can be considered if all
other conditions fulfilled. Needless to say that supplier, distributor, wholesaler, trader, exporter with
online selling option will be not considered in Paid criteria. In this case you have to select “Online
Shopping”.

9. CONFIDENTIALITY

9.1 As used in this Agreement, the term “Confidential Information” includes, but is not limited to the
following items, whether existing now or created in the future and whether provided orally, in hard copy
or by some other method.

(a) The Parties shall, and shall cause their respective employees and subcontractors to, hold all confidential
Information in the strictest of confidence at all times making no use thereof other than in connection with
the performance of their obligations under this agreement. Neither party nor any of its respective
employees or subcontractors shall, without the prior written approval of the other Party:

(i) release any confidential information to any person other than its employees or consultants known to
need access to Such matters in order to perform their obligations under this contract.

(ii) duplicate or otherwise reproduce any Confidential Information except as required in connection with
the performance of their obligations. Upon termination of this Agreement both parties shall return all
records and copies of Confidential Information, in whatever form then existing, to the other Party. The
Parties agree to cause each of their respective employees and subcontractors to execute appropriate
confidentiality agreements in order to give full effect to this clause.

(b) In the event either party or any of its employees or subcontractors is requested or required (by oral
questions, interrogatories, requests for information or documents, subpoena, civil investigative demand or
process) to disclose any Confidential Information, such party shall provide the other party with prompt
notice of any such request or requirement (written, if practicable) so that such may seek an appropriate
protective order or waive compliance with the provisions of this Agreement. If, failing the receipt of a
protective order or of a waiver hereunder, a party or any of its employees or subcontractors is compelled
to hereunder, a party or any of its employees or subcontractors is compelled to disclose Confidential
Information, Such Party or the employee or subcontractors shall exercise reasonable efforts to obtain
assurance that confidential treatment will be accorded to that portion of the Confidential Information
which is being disclosed.

10. Delivery Partner will execute the Data processing work provided by client through experienced persons
in such manner so as to carry out the work efficiently at the Accuracy level (item no. 4 or 8) mentioned in
the agreement.

11. The Client shall provide required Technical and Operational support to Delivery Partner. Support shall
be made available during the Working Hours (10:00 AM –7:00 PM) (IST). Any issues or queries raised by the
Delivery Partner, it should be resolved in Maximum 1 Working Day.

12. This AGREEMENT may be terminated by any of the parties for breach of understanding on any clauses
of this agreement giving 30 days’ notice to either party giving clearly account of the reasons for such
termination. With the mutual consent of both the parties, this AGREEMENT can be terminated at shorter
notice, on termination from either party, for whatever reason, the payments due to Delivery Partner or
Client, for the work accurately done till the date of termination should be paid as per payment clause of
the Agreement.

13. No modification of the terms of this AGREEMENT shall be valid unless it is in writing and signed both
the parties.

14. Force Majeure

If the rendition of the form filling services is hampered due to earthquake, flood, tempest, civil riots or Act
of God then the Delivery Partner or Client Associate shall be absolved of its obligations hereunder till
normalcy is restored after the cessation of the aforementioned contingencies. The Delivery Partner or
Client Associate shall likewise be absolved if rendition of the services is hampered due to a strike called by
the data entry operators engaged by the Delivery Partner or Client Associate, violence or political
turbulence or for any other reason of a similar nature, which is beyond the control of the Delivery Partner
or Client Associate.
15. Waiver
Failure or abstinence by either party at any time to enforce any provision of this Agreement of their rights
hereunder or to require performance of any provision hereof shall in no way affect the validity of this
Agreement or any part hereof or the right of either party at any time thereafter to enforce its rights
hereunder; nor shall it be taken to constitute a condo nation of that default or any other or subsequent
default.
16. Severability
Unenforceability of any provision of this Agreement shall not affect any other provisions herein contained;
instead, this Agreement shall be construed as if such unenforceable provision had not been contained
herein.

17. Variation
Except as otherwise expressly provided in this Agreement this Agreement may not be changed or modified
in any way after it has been signed, except in writing signed by or on behalf of both of the Parties.

18. Dispute Resolution & jurisdiction In the event of any dispute or difference arising between the
parties hereto relating to or arising out of this Agreement, including the implementation, execution,
interpretation, rectification, validity, enforceability, termination or rescission thereof, including the
rights, obligations or liabilities of the parties hereto, the same will be adjudicated and determined
by arbitration. The arbitration shall be conducted by a panel of two arbitrators one each selected
parties hereto. And both the arbitrators thus appointed shall be appoint the third arbitrator who
shall function as the presiding arbitrator. The arbitration shall be conducted at Delhi in the English
language. Any arbitration award shall include attorney’s fees for the prevailing party. The courts in
the city of Delhi shall have exclusive jurisdiction to entertain try and determined any dispute.

19. Termination :- If client found that the data manipulation has been done by the Delivery
Partner or by means available to him in any phase of the work the agreement will be stand
cancelled with immediate effect without any prior notice.

Client will not demand for any extra investment in terms for system requirement. Client will provide you
the software for Copy & Paste – SSBPO NETWORK. IN WITNESS WHERE OF the parties here to have
executed this Agreement with free consent and without any coercion, undue influence, fraud and
Misrepresentation present these on the date hereinbefore written.
