Suppose you are a well-known company that organizes parties, conferences and events (name of
Student Company of Choice)
We are Tan Light T.A.S Import and Export Co., Ltd., which wants to hold an end-of-year
meeting party with the following requirements:

Context and reality:
Hold a year-end party to thank the efforts of employees and thank partners
Most businesses now choose to book a year-end party at a restaurant with a spacious campus.
However, there are also businesses that catch up with the trend, want the party to become more
unique with the idea of organizing a mobile year-end party at an airy outdoor location or
organizing in the company's own campus so that employees feel close, thereby adding meaning
to the party.

With the great meaning of the year-end party, no matter what you think, you need to be carefully
prepared and thoughtful.

Usually a year-end party will consist of 6 main activities: Opening; Summary of the activities of
the previous year; Honoring outstanding individuals and collectives; Party opening; Cultural
exchange; Closing. In order for the activities of the year-end party to go smoothly, the organizers
need to plan meticulously and thoroughly from the simplest issues.

Set a clear end-of-year party goal

The goal of organizing a year-end party is extremely important, deciding the whole direction for
the party, from the theme to the script, the way of organizing, the location and the time. Usually,
the goal of the year-end party will be to create a close and friendly space for businesses to
summarize the old year and outline the directions for the next year, while sending gratitude to all
employees and partners. In addition, the year-end party can aim for other goals such as brand
promotion, media ...

Based on the objectives of the business, the organizers will come up with organizational plans to
accomplish that goal.

CLAUSE2: SERVICE VALUE – METHOD & PAYMENT TERM


2.1. Total contract value excluding 10% VAT: 296,500,000
(In words: two hundred and ninety-six million five hundred thousand)
2.2 Payment in Vietnamese dong in the form of transfer to Party B's account is stated at the
beginning of the contract.
2.3 The payment will be made by Party A in 02 installments
- Phase 1: Party A will advance party B 70% of the total contract value, equivalent to VND
207,550,000 (In writing:two odd seven million five hundred and fifty thousand VND) – on
November 20, 2021
- Phase 2: Party A will pay Party B the rest of the contract value and arise (if any) - Within 05
(five)working days after receiving the record of acceptance of completion of work agreed by the
two parties and receive full valid documents and invoices.
2.4 Incurred, supplemented or amended in this Contract (including but not limited to service
charges) must be exchanged and agreed upon by the two parties and shall be concluded as an
annex to the Contract.
2.5 The Party must pay the taxes, fees and charges that the Party is subject to in accordance with
the provisions of Vietnamese law incurred in connection with the performance of this Contract.

CLAUSE3: FINANCIAL CONDITIONS AND RESPONSIBILITIES RELATING TO


THE CHANGE, ADDITION, CANCELLATION OF THE CONTRACT
3.1 If either party cancels the Contract, the Canceler is responsible for notifying the other
Party in writing and the Contract Cancellation Party is subject to compensation for the following
costs:
▪ Cancellation before the date of implementation of the program from 3 to 5 days of
cancellation compensation fee: 70% of the contract value.
▪ Cancel 1 to 2 days before the implementation of the program: 100% of the
contract value.
3.2 Regardless of the provisions of Articles 6.5 and 8.8 of this Contract, in case Party A
considers that the performance of the contract is not beneficial to Party A, Party A has the right
to unilaterally cancel the performance of the contract, but must notify Party B 30 days in advance
and Party A must pay the production costs, book services that Party B has performed + 10%
management fee and 10% value-added tax on the total value incurred. In order to avoid
misunderstanding, when cancelling the Contract under Article 3.2 of this Article 3.2, Party A
will not be subject to the cost of compensation under Article 3.1 above.
3.3 In case party A seriously violates its obligations under Article 4.1 of this Contract, Party
B has the right to unilaterally cancel the performance of the contract and request Party A to pay
damages incurred.
3.4 In case Party B seriously violates its obligations under Article 4.2 of this contract, Party
A has the right to unilaterally cancel the contract and claim damages incurred. At the same time,
Party B shall be subject to a fine of 5% of the value of the infringing obligation.
3.5 The change and supplementation of the contract is only legally valid when it is made into
a written annex to the contract and signed together by parties A and Party B.

ARTICLE 4: RIGHTS AND OBLIGATIONS OF BOTH PARTIES


4.1 The responsibility of party A.
4.1.1 Self-manage the members and personal assets in the program.
4.1.2 Fulfill the obligation to pay Party B in full, on time and payment method in accordance
with Articles 2 and 6.2 of this contract. Payment obligations include interest on principal
debt and fines for breach of contract, damages (if any).
4.1.3 Require Party B to properly implement the program, quality, quantity, duration and
agreements of the contract.
4.1.4 To coordinate with Party B in resolving issues arising in the program is the responsibility
of Party B.
4.1.5 Provide Party B with the necessary documents, information and means relating to the
organization of the Event as agreed upon and are responsible for the accuracy, legality
and non-disputed information, documents and means provided by Party A, including
party A's goods displayed and presented at the Event (if any).
4.1.6 Commit to pay for additional expenses arising from the provision of documents,
information and means to Party B. to serve the organization of the event is delayed
provided that the deadline for provision as requested by Party B is reasonable. The costs
incurred will add 10% of the management costs and 10% of the value-added tax costs.
4.1.7 Approve or have an opinion within a reasonable period of time for Party B's proposals on
the content of the Program, its manner, plan, design, design and other contents for the
organization of the Program
4.1.8 Support party B during the construction and implementation of the preparations for the
event.
4.1.9 It is entitled to inspect, supervise and request Party B to perform the Service on time,
location, quantity and quality as agreed upon.
4.1.10 Do not conclude a contract with any third party to perform work within the scope of the
Services that Party A has appointed Party B to perform under this Contract.
4.1.11 Full and on-schedule payment of the total value of the contract and the costs incurred
have been agreed by the parties. Where Party A delays payment of 7 (seven) working
days for any amount due under this contract will be considered a serious breach of
contractual obligations.
4.1.12 Sign the acceptance minutes and/or minutes of contract liquidation as requested between
the two parties after the event.
4.1.13 Coordinate to complete the liquidation and acceptance minutes within 7 days from the
date of receipt of documents and information from Party B via email. The acceptance and
liquidation process shall not exceed 10 days from the date party B completes the service
provided to Party A under this contract.
4.1.14 The time limit for completing the liquidation dossier is 7 (seven) days from the date of
receipt of the acceptance record and invoice from Party B.

4.2 The responsibility of Party B:


4.2.1 Party B shall ensure that it has the necessary licenses and business conditions in
accordance with the law to provide services to Party A under this Contract.
4.2.2 Responsible for providing the right, complete and on schedule services as agreed in this
Contract.
4.2.3 As the supplier and responsible for transporting, installing and dismantling professional
sound and lighting systems for the event ensure no interruption of the program.
4.2.4 Work closely with suppliers of logistics items for the program.
4.2.5 Ensure sufficient personnel to support and support in a timely manner during the
implementation of "Kick Off Meeting" in accordance with the number and requirements.
4.2.6 The time limit for handing over the reporting documents (all images during the program
organized by Party B) after the program is 7 (seven) working days from the end of the
program.
4.2.7 Party B is responsible for dismantling and returning the status quo of the venue for events
(including but not limited to any areas where the event is taking place) as soon as the
event ends at its own expense.
4.2.8 Be responsible for compifying other third parties for all damages caused by Party B or
personnel hired by Party B for the event during the entire preparation and taking place of
the event and returning the status quo of the event venue. These damages include but are
not limited to damage to facilities caused by collisions, interactions during transportation,
assembly, disassembly of equipment and damage related to third-party electrical systems
resulting from the connection of Party B equipment.
4.2.9 Ensure the best and full implementation according to the cost table, requirements for
responsibility, product quality and detailed records set out by Party B in Article 1 of the
Contract and the Annex to the contract attached to this Contract (if any).
4.2.10 The final design handover was signed to Party A 7 (seven) the day before the date of the
show, according to the agreed description. The final design must be full of details and
instructions so that any printing facility of the same size as Party B can follow the form.
4.2.11 Any information, data, documents, photographs, designs provided by Party A for the
performance of contracts owned by Party A, Party B are not permitted to use (or allow
other parties to use) to provide documents or images of Party A to any other entity for use
for any purpose except to the extent necessary for the comply with the provisions under
this contract.
4.2.12 Party B will comply with the provisions of the law in the performance of this Contract
and will waive liability for the violations committed by Party B and/or employees of
Party B.
4.2.13 Maintaining communication and fulfilling Party A's requests as discussed and agreed by
the Two Parties on matters relating to this Contract.
4.2.14 To coordinate with Party A in implementing and signing the Minutes of Acceptance and
Handover.
4.2.15 Ensure that Party A has the right to use the images and designs provided by Party B for
party A's business purposes and there is no limit to the time of use.
4.2.16 Responsible for paying all costs and risks to personnel provided by Party B for the event,
technical staff and other personnel serving, subcontractors. Compensation to Party A and
the place of lease if the personnel provided by Party B causes material and health damage
to guests attending the program.
4.2.17 Compensate Party A for actual damages as agreed upon when a malfunction in sound,
lighting, or other equipment provided by Party B that cannot be immediately repaired
affects the quality of the program. At the same time, Party B is responsible for making
efforts to find a remedy or replacement as soon as possible to ensure that the program can
continue in accordance with the script. When a problem occurs Party B is unable to fix or
fix delays, affecting the quality and scenario of the program, Party A has the right to
immediately choose another third party to replace Party B to fix the problem. Party B is
responsible for paying the full cost incurred to fix this problem. In the event that Party B
does not provide or delays, providing lack of equipment, personnel and services in the
amended and supplementary annexes (if any) and "Contract Annexes" without a timely
alternative agreed by Party A, the expenses in the "Contract Annex" corresponding to this
category shall be excluded from the final settlement of the contract. at the same time,
Party B must pay Party A a contract compensation equivalent to 5% of the cost of this
category.
4.2.18 Ensure the proper performance of the quality, quantity, duration and agreements of this
contract.
4.2.19 During the course of the program, Party B commits to directly monitor, monitor, record
and take pictures to report in the acceptance minutes handed over to Party A.
4.2.20 Party B will not be responsible for any services other than content and service catalogs.
4.2.21 Organize your own program, not pair with other programs.
4.2.22 Coordinate with Party A to organize the program well in accordance with Article 1 of the
contract.
4.2.23 Party B is not responsible for the damage to any personal items (personal items, money,
laptops, telephones, etc.) of Party A during the service - valuable items, valuable to the
attendees to preserve themselves.
4.2.24 To coordinate with Party A in resolving issues arising in the program is the responsibility
of Party B.
4.2.25 Party B will not be responsible for any services other than content and service catalogs.
4.2.26 Party B undertakes not to provide and disclose any information directly or indirectly
related to Party A's products and other contents to any third party without prior consent of
Party A in writing.
4.2.27 Request Party A to pay in accordance with the provisions of this contract.
ARTICLE5: EXCLUSION OF LIABILITY IN CASE OF FORCE MAJEURE
5.1 In case of force majeure as prescribed in Article 8.3, the party affected by the Force Majeure
Event is exempt from liability provided that it must notify the other party within 24 hours of
the time of the Force Majeure Event and make every effort to apply necessary remedial
measures. In this case, Party A and Party B discuss and find the optimal solution to reduce
the damage at the lowest level.
CLAUSE6: PENALTIES FOR BREACH OF CONTRACT AND COMPENSATION FOR
DAMAGES
6.1 If Party A pays late against schedule under Article 2.3, Party A shall be subject to additional
interest on the late payment amount, calculated according to the 12-month personal deposit
interest rate announced by Maritime Bank ho Chi Minh City at the time of payment but must
not be late for payment more than 7 (seven) working days. If the payment delay exceeds 7
(seven) days, in addition to calculating the late payment interest rate, Party A is also subject
to a penalty of 0.5% for each week of delay calculated on the total value of the remaining late
payment but the maximum penalty is not more than 5% of the total value of late payment.
6.2 The value of damages shall include the actual value of losses suffered by the infringing party
and the direct benefit that the infringing party should have enjoyed if there is no act or
violation by the infringing party.
6.3 The two parties undertake to fulfill their responsibilities stated in the contract, not to
unilaterally change or cancel the contract unless they are unilaterally terminated as prescribed
in this Contract. In the process of implementation, if there are problems, we will discuss and
resolve them in the spirit for the benefit of both parties.
6.4 In case, as of January 20, 2020, Party B does not comply with the commitments in the
contract leading to the program not taking place as requested by Party A, Party B shall
unilaterally cancel the contract and will compensate Party A as prescribed in Article 3.1 of
this Contract. The maximum compensation for Party A shall not exceed 100% of the value of
this Contract.
6.5 If either party unilaterally terminates the contract, the party shall bear the costs incurred
incurred in a matter of uncertainty and the damages caused by the unilateral termination of
the contract.
6.6 If either party violates part or all of its obligations under this Contract, the two parties shall
proceed to negotiations to reach a reasonable agreement on the solution.
CLAUSE7: CONTRACT VALIDITY
7.1 The contract takes effect from the date it is signed by the two parties.
7.2 The contract expires after the liquidation of the contract.
CLAUSE8: GENERAL TERMS
8.1 Party B assures and assures Party A that Party B does not offer, promise, payment agreement,
give, donate in-kind, present or any other economic benefit directly or indirectly to the
employee of Party A in order to obtain or maintain business or commercial advantages in
connection with this Contract or any other business transaction between Party A and Party A.
Party B, based on public or non-public information if it is known that Party B is in breach of
this commitment, May suspend or terminate the Contract or any other business transaction
between Party A and Party B without incurring any fines or compensation as prescribed by
law and/or agreement in the Contract or any other business transaction between Party B and

8.2 Commitment to Confidentiality. The two Parties undertake to strictly implement the terms
and articles specified in the Contract. The Two Parties undertake to retain all documents and
information relating to the Contract confidentially and shall not publish or communicate all
matters relating to this Contract unless agreed in prior by written consent of the other Party,

or other natural disasters, and other events that are beyond the reasonable control of a Party
and make it impossible for that party to fulfill its contractual obligations. To avoid
misunderstanding, a financial shortfall shall not be considered an event beyond the
reasonable control of any Party. The Party declaring force majeure events shall notify in
writing to the Remaining Parties within 07 (seven) days from the date of the force majeure
event arising (below referred to as the "Notice"). Subsequently, the performance of this
Contract shall be suspended in proportion to the period from the time of the start of the force
majeure event to the time of termination of the force majeure event and the affected Party
shall not be liable for this force majeure event if the notice has been made in accordance with
this provision. At the same time, the Parties shall agree to find reasonable solutions to
minimize the consequences.
8.4 This contract is not permitted by any third party without the other party's written consent.
8.5 This contract is understood and interpreted in accordance with Vietnamese law. This
Contract (together with the accompanying documents) constitutes an agreement and full
commitment between the Two Parties in relation to the content of this Contract and compels
the Parties to implement. All adjustments and amendments to the Contract must be approved
and carried out in writing between the Two Parties and signed by the competent persons of
the Two Parties.
8.6 Agreement. Where the provisions of the contract have no legal validity or cannot be
enforced, they will not change or affect the agreement of the two parties, and other
provisions will not be affected and these provisions will remain fully legally maintained and
remain in force.
8.7 All disputes occurring during the implementation of the Contract shall be resolved by
negotiation in the spirit of cooperation. In the absence of an agreement, either Party may
submit to the Competent Court for settlement and the Court's decision is the final decision
forcing the Two Parties to do so.
8.8 Termination. In the event that a Party violates its obligations under this Contract (the
"Infringing Party"), the other party (the "Violated Party") has the right to request and set a
reasonable time for the Infringing Party to remedy the violation. The request and time set is
made in writing and notified to the Infringing Party. If the violation is not remedied within
the agreed period, the violating Party reserves the right to temporarily suspend the
performance or unilaterally terminate the Contract by notifying the Infringing Party in
writing before 10 (ten) days in advance, and at the same time has the right to request the
Violator to impose a fine of 8% of the value of the infringing Contract and to pay damages in
accordance with the regulations The current law.
8.9 Contract number. This contract is signed into 02 (two) originals, in Vietnamese of equal legal
value, each Party holds 01 (one) main set.
8.10 This contract takes effect from the date of signing and is terminated after the two parties
sign the minutes of liquidation of the contract.
