AGREEMENT BETWEEN ‘THE BOARD OF REGENTS OF ‘THE UNIVERSITY OF NEBRASKA AND ‘THE STATE UNIVERSITY OF NEW YORK AT BUFFALO. (“UNIVERSITY OF BUFFALO") THIS AGREEMENT Is mado and ontored into on this 7m day of _Tuua 2046, by and between THE BOARD OF REGENTS OF THE UNIVERSITY OF NEBRASKA, a public body corporate, acting for and on behalf of the Department of Intercollegiate Athletics of the University of Nebraska-Lincoln (“HOME TEAM"), and THE STATE UNIVERSITY OF NEW YORK, sometimes referred to herein as THE UNIVERSITY OF BUFFALO (“VISITING TEAM"). WITNESSET! For and in consideration of the promises and agreements of the respective parties hereto, the parties agree as follows: 1 A single game of football shall be played betwoon the institutions party hereto on September 11, 2021, at Memorial Stadium in Lincoln, Nebraska (the “Game”). ‘The Game shall be governed in all respects, including the eligibility of playors, by the rules and ragulations of the Big Ten Conference, the Mid-Amarican Conference, and the National Collegiate Athletic Association. ‘Tho VISITING TEAM shall bo paid, by electronic funds transfer, a flat dollar guarantee of to be paid on or before March 1 following the Game. ‘The VISITING TEAM shall be issued __ Game tickets for sale at face value, with revenuos to bo delivered to HOME TEAM. VISITING TEAM may release and return ail or any portion of such tickets by notifying the HOME TEAN?’s ticket manager In writing not tater than July 20, 2024, of the numnbor ‘of tickets to be roloased and returned. Any band seating must come from the above ticket allotment. ‘Cheerleaders will be admitted without a ticket, fin uniform. ‘The offictals for the Game shall be appointed by the Big Ten Conference. All costs associated with ‘engaging the officlals and officiating the Game shall be the responsibility of the HOME TEAM. ‘The HOME TEAM shall assume full responsibility for the management of the Game and will retain all rights and controls to program and concession sales. ‘The HOME TEAM shall reserve one radio broadcast booth for the VISITING TEAM for the non- exclusive terrestrial radio broadcast by the VISITING TEAM'S flagship station and additional terrestrial distribution on the VISITING TEAM'S notwork of affiliated terrestrial radio stations. Nothing herein shall hinder or impinge the HOME TEAM'S rights to national radio distribution by any means ‘oxisting or hereafter developed. ‘The parties hereto mutually desire that the Gamo should have maximum media exposure. Each party 1 may enter into agreements for radio coverage (including satelilte radio) of the Game so long as sald reements are in compliance with the provisions set forth above. (a) The VISITING TEAM acknowledges and agrees that (i) all Game rights to telecast or distribute (live ‘oF delayed), whole or condensed (including highlights), throughout the universe, in any and all markets, in any and al languages and via any and all forms of media and mathods of distribution and distribution technology) have been assigned by the University of Nebraska-Lincoln to The Big Ten Conference, Inc. (“The Big Ten”), which in turn has entered into agreements with certain third parties for the telecast or distribution of the Game, (il) except as specifically provided for herein, University of Buffalo does not seek, nor does the University of Nebraska-Lincotn have any authority or ability to grant to the University of Buffalo, any rights for the telecast or distribution of the Game, and (iti) ‘The Big Ten shall have the exclusive right to retain all revenues derived from the telecast or distribution of the Game. (b) The VISITING TEAM agroos to the following: |. The scheduled start time for the Gamo is solely at the discretion of the HOME TEAM and may be ‘changed up to 6 days In advance of the Game in order to accommodate television. ii, Any change in the date of the Game, including changes for television, must be mutually agreed upon by the parties. li, Media timeout formats aro dotermined by the HOME TEAM'S conference. The HOME TEAM'S conference shall be responsible for the TV liaison (red hat). ‘Ww. The HOME TEAM agrees to provide the VISITING TEAM with one 30-second mossage If the game Is selected for a national broadcast network or national cable network telecast. {c) The following provisions describe the respective rights to the use of Game video by the HOME and VISITING TEAMS and shall be construed to be consistent with each other: L.____ The VISITING TEAM may not telecast the Game in any way or use any video from the HOME ‘TEAM'S telecast of the Game without the written permission of The Big Ten; provided, however, that the VISITING TEAM chall be allowed the use of Game highlights, not to exceed eight (6) minutes in length, for the sole purpose of producing coach's shows and season highlight presentations. Notwithstanding the above, Immediately following the conclusion of tho Game, the VISITING TEAM shall have the right to telecast audio and visual highlights not to exceed three minutes (3:00) in length on the VISITING TEAM'S or the VISITING TEAM'S conference's controlled and operated television network (e.g. Pac-12 Network, Texas Longhorn Network, Big Ten Network), li. The VISITING TEAM shall have the right to produce films and/or videotapes of the Game for ‘coaching purposes and for use in a weekly coach's show or season highlight presentations only and for no ether purpose. Such fine andlor videotapes may not be replayed, used or otherwise distributed by the VISITING TEAM to any person other than the incorporation of up to eight minutes :00) of highlights of the Game as part of a weekly coaches’ show, season highlight presentations, or for viewing by the VISITING TEAM'S football team coaches and players. The HOME TEAM agrees to provide reasonable facilities for such cameras as may be reasonably required by the VISITING ‘TEAM to produce such flims andior videotapes. Any othor usage by tho VISITING TEAM of Game footage ‘shall be governed by a separate agroement between The Big Ten and the Mid-American Conference. {d) Questions dealing with the Interpretations of the Mid-American Conference football television ‘agreements should be addressed to the Mid-American Conference Commissioner. Questions dealing with Interpretations of the BIG TEN Conferonce football television agreements should be addressed to the BIG TEN Conference Commissioner, Television. 2 10. 1. 12, This Agreement shall be void in the event it becomes impossible in the reasonable judgment of the HOME TEAM, due to causes outside of the parties’ reasonable control, to play the Game including Dut not limited to disaster, fire flood or water damage, earthquake, or other natural disaster, war, threatened or actual acts of terrorism, invasion, hostilities, rebeltion, insurrection, civil disorder, health emergency (e.g. pandemic), confiscation by order of government, military public authority, or prohibitory or injunctive orders ef any competent judicial or other governmental authority. Either party failing to produce its team to play the scheduled game for reasons other than those stipulated in paragraph 9, shall pay the party not at fault the sum of § as liquidated damages plus any expenses incurred in pursuance of this Agreement by the party not at fault, which sum shall be payable on or before March 1, the year following the scheduled game. ‘Should either party hereto change conferences, or the conferences to which the parties are now ‘members, alter their conference membership, name, rules or structure, then the parties shall, to the best of their ability and authority, perform thelr duties hereunder within the rules and regulations of the subsequent conference, and to the extent reasonably possible, references to the Big Ten and Mid-American Conference shail instoad refer to the successor conference.
