2. Basis of Proposal
The technical information contained in this proposal is Basic Design based on information provided in the valued
enquiry and is subject to change during detailed design / engineering. We follow a policy of continual
improvement and reserve the right to supply equipment differing in Detail and Rating from that described in this
proposal. These changes will not degrade the fitness of the equipment considered for this application. Any
changes made will be done with the full knowledge of the buyer.
The offer may be checked at your end for complete compliance with the system requirement. Please feel free to
contact us for any clarification or information with regard to the offered system.
We have considered the requirement and offered the same as mention in the table:-

4. Standard Terms & Condition of Sales
General a) These general sales conditions shall govern any offer made by the Seller to, or any sale entered into by Seller
with any Purchaser of equipment. Any sale by seller is expressly subject to Purchaser’s full assent to the terms
and conditions stated below and waiver of Purchaser’s general purchase conditions, which assent and waiver
shall be deemed to have been given in any order placed with the seller.
b) In the event of an order, the same may kindly be placed on our authorized Channel Partner M/s Signalflo
Projects.
c) While placing valued order on Seller please mention - Name & Invoicing Address, CST / VAT Nos., ECC
Code(with range, division, collectorate) and other details for both the Customer & Consignee, Entry
forms/road permit, Purchaser’s transit insurance policy details.
Scope of Supply & Our scope is restricted only to as detailed in the Schedule of Quantities & Scope of Services in our techno-commercial
Services proposal.
Price Basis The quoted prices are on Ex-Works Kolkata basis.
Payment Terms a. 50% advance along with the Purchase Order.

b. 50% along with 100% Taxes, Duties & Levies against Proforma Invoice prior to dispatch.
Note: In case the documents are not retired within 15 days of presentation, seller shall have the right to claim from
Purchaser payment of an interest calculated at a rate equal to the prime rate one month of the applicable currency of
payment plus 3%, which prime rate shall be the last rate in effect as published by the Central Bank of the currency of
payment on the due date. Interest shall accrue on a day to day basis from the due date to the date of actual payment
and shall be equal at least to 1.5% per month of delay.
Furthermore, Seller shall be entitled without further formality, to immediate payment of any other sum due to it by
seller, whether matured or not and whether or not to be paid in whole or in part by drafts or bills of exchange. Seller
shall also be entitled to delay the performance of its own contractual obligations until the full payment of any sum due
to it by Purchaser.
Should any payment be delayed by more than 30 days, Seller shall have the right without further formality to
terminate the sales agreement at Purchaser's costs if Purchaser has not fully paid the relevant sums to Seller within
eight days after having been notified to do so by Seller.
Taxes & Duties All taxes, duties & levies shall be charged extra as per the prevailing rates at the time of invoicing. Current applicable rates
are:
a. Excise Duty + Cess @ 10.3%
b. Central Sales Tax @ 2% against Form ‘C’
Note: As per the new CST rules C- Form has to be furnished quarterly, therefore seller will require the C- Form at the very
end of quarter viz. quarter ending June, September, December and March. Purchaser is advised to issue - Form within 25
days of end of quarter to avoid differential tax liability.
Statutory Variation All Taxes and Duties shall be to Purchaser’s account and would be charged extra at actual. Introductions of any form of
tax, duty, VAT or levy by the Government during the order execution shall be to Purchaser’s account and would be
charged at actual. Any variations on account of statutory variations during the order execution would be to Purchaser’s
account.
Packing & Forwarding Packing charges are extra at actual. Packing shall be done as per our standard practice. Purchaser specified packing or

marking may be subject to additional charges not otherwise included in the price.
Freight & Transit Freight & Transit Insurance is Extra at Actual. The material will be booked with transporter/GTA on door delivery. Seller
Insurance will not be able to entertain request for a specific transporter/GTA. The unloading of material from transport will be
Purchaser’s responsibility.
Seller shall immediately inform Purchaser the dispatch details through fax/email to enable Purchaser to complete transit
insurance formalities.
Replacement for the damage / lost items will be supplied by Seller within a reasonable period on receipt of a fresh order
from Purchaser’s end. Purchaser will have to claim insurance directly from the Insurance Company.
Coming Into Force The contract comes into force the day when all following conditions are met:
a. Contractual agreement (or ‘contract’) is officially stated in written (either by Purchaser returning our offer
accepted without any modification, or by both parties signing a contractual document, or by seller sending order
acknowledgment without reservation after receiving a purchase order from Purchaser).
b. The down payment (advance) is received.
c. Documents necessary for execution are received.
The coming into force shall occur not later than 2 (two) months after the signing of the contract by both parties.
Delivery Period Delivery of the system shall be within 4-6 weeks from coming into force & Drawing Approval. Partial deliveries are
allowed. The advance is given in good faith and is subject to :-
a. Our work/our suppliers being able to obtain the required raw materials and components without any undue
difficulties or delays beyond their reasonable control.
b. Force Majeure conditions.
Further in case, any changes are made in the specifications after the approval of drawings which involves
corrections/modifications or re-submission of drawings and approval, the delivery period will be extended by such time,
as may be intimated by Seller at those times.
In case the delivery is deferred /delayed for no fault of ours, the prices after the contracted date of delivery shall be
subject to our confirmation.
If Purchaser does not take delivery of the products on the date agreed with seller, seller shall have the right to terminate
the sales agreement with a 10 days prior notice to Purchaser and without prejudice to any damages to which seller will be
entitled
Warranty & Limits of The equipment is guaranteed for satisfactory performance and against defective material / workmanship as per following:
Warranty
Our liability in respect of any defect or failure of the equipment supplied or for any loss, injury, damage attributable
thereto, is limited to making good by replacing or repairing defects which under proper use appear therein (provided the
equipment is installed, operated, maintained as per our instruction manual) and arise solely from faulty design, materials
or workmanship within a period of 12 calendar months from the date of commissioning the equipment or 18 months
from the date of dispatch, whichever is earlier. At the termination of which period, all liability on our part shall cease.
Repaired or replaced parts of the equipment will not carry any extended warranty. If the equipment is not repairable at
site the same has to be sent at our workshop on freight prepaid basis and seller shall make good the defect and return
back to Purchaser on freight to pay basis. Equipment should be returned to Seller for repairs only after obtaining our
consent in writing.
Are not covered by warranty replacement of parts due to:
• Error of operation.
• Use of system in a way, which is not described in the specifications.
• Lack of maintenance.
• Accident (explosion, flooding, thunder, etc.)

• Theft.
• Defect of bought-out products outside the manufacturer warranty period.
The warranty excludes labour and travel expenses.
Offer Validity This offer, if not withdrawn earlier, is valid for acceptance for 07 days from the date of offer; beyond which, price validity
is subject to our written confirmation.
Note: Verbal quotations expire the same day they are made. All typographical and clerical errors are subject to correction.
Penalty / Liquidated No penalty / LD shall be payable by Seller. However seller assures that the equipments in our scope of supply will be
Damages delivered on committed date of delivery, subject to force majeure conditions.
Specifications It is our endeavour to continuously improve product design and specifications of any materials if such modifications
constitute improvement in accordance with the latest standards and manufacturing methods governing product/material.
Therefore, seller reserves the right to supply equipment differing in Detail and Rating from that described in this proposal.
These changes will not degrade the fitness of the equipment considered for this application. Any changes made will be
done with the full knowledge of the buyer.
Order Cancellation An order may be cancelled by the Purchaser prior to shipment only by written notice and upon payment of reasonable
cancellation and restocking charges, including reimbursement for direct costs, plus allowances for disruption. Cancellation
charges associated with orders for custom products or products specifically manufactured to the Purchaser’s specification
may equal the actual selling price of the products. Seller has the right to cancel an order for cause at any time by written
notice and seller will be entitled to cancellation and restocking as identified above. No termination by the Purchaser for
cause will be effective unless and until seller have failed to correct such alleged causes within forty-five (45) days after
receipt of the Purchaser’s written notice specifying such cause.
Limitation to Liability In no event shall seller be liable for any consequential damages and / or losses arising out and connected with this supply
order in any manner what-so-ever.
Right & Lien of Seller shall retain the right on equipment, materials or parts supplied by Seller under this quotation until full value
Property thereof as per our invoice have been fully paid to Seller.
