1. General
CONTRACTOR under these Commercial Terms is responsible for the provision of Drilling and Completion

Rig as required by COMPANY during the term of the Commercial Terms.
CONTRACTOR shall provide under these Commercial Terms delivery and pick up of the Drilling and

Completion Rig to the designated worksite.
CONTRACTOR shall provide the Services described herein, under the terms and conditions contained in
1.3 these Commercial Terms and on a diligent, technical and competent manner and applying sound oil MEET
industry practices and following the written or oral instructions from COMPANY’s Representative.
CONTRACTOR shall operate in accordance to a quality management system that complies with a
recognized standard (e.g. ISO 9001-2015) or similar standard. CONTRATOR shall include in tender

package description and documentation of the systems and processes associated with equipment
certification and material traceability.
CONTRACTOR shall provide to COMPANY for review their QA/QC, tools import documents, tools

operations historical, maintenance and stock/ inventory control manuals when requested.
It is COMPANY’s preference that CONTRACTOR performs the Work directly without involving
subcontractors. In the event CONTRACTOR requires engaging any subcontractors to perform a particular

part of the Job as described in these Commercial Terms, subcontractor shall be subject to COMPANY´s
quality assurance and quality control process according to the subcontractors Approval Procedure.
CONTRACTOR is to take a proactive role in identifying potential improvements in the operation of the well

CONTRACTOR shall provide to COMPANY for review the complete rig and mini camp inventory in the

format provided herein with these present and enclosed documents.
CONTRACTOR shall provide to COMPANY for review the sets of drawings, specifications and related
1.9 information on how the CONTRACTOR suggest COMPANY can use better the space of the 100 x 100 m MEET

engine and gear, complete with adequate flow meter.

10.1 The Rig will be received with all the pipe in the derrick. MEET
Taking into account the care needed for this operation, Contractor agrees to perform cementing jobs

through the flow line and the CRT in order to optimize the operation.
CONTRACTOR, at their own discretion, shall maintain minimum inventory levels of stocked equipment to
support COMPANY’s supply requirement at any time.

Please specify within your proposal the quatinties of tools you will have in stock to support the operation.
CONTRACTOR shall properly package all equipment in order to ensure adequate protection against
10.6 damage during transportation and to allow for hoisting using a crane or forklift. Each package shall be MEET
properly labeled. COMPANY shall pay no fee for packaging, packing, crating, freight nor other costs.
CONTRACTOR shall, at any time, assure compliance of the standard industry codes and practices for all
equipment sent to the worksite. Where licenses are required for performing the work, CONTRACTOR shall

ensure attainment and/or compliance of the same. This requirement shall include but not limited to
warehousing facility, refurbishment and manufacturing, testing procedures and others as required.
COMPANY shall provide access to the worksite to the personnel provided by CONTRACTOR.
10.8 MEET
CONTRACTOR shall provide all arrangements (i.e. names, etc.) to COMPANY prior to the delivery.
CONTRACTOR, at its sole cost and risk, shall provide all required consumables that may be required

during the term of the work to support the services herein.
10.10 CONTRACTOR’s technical support provided to COMPANY shall be included in the prices of the proposal. MEET
COMPANY shall measure the performance of the services provided by CONTRACTOR in regular intervals
10.11 to be defined by COMPANY. The performance review will include a review of CONTRACTOR’s tools MEET
performance and CONTRACTOR’s personnel support capabilities.
COMPANY´s expectations are indicated throughout this Contract. However, the same are outlined in the
10.12 standard Key Performance Indicator that will be mutually developed with the CONTRACTOR after the MEET
work commences. The review of performance shall be made through periodic Service Quality Meeting.
At all times, during the performance of the work (not limited to the activities performed at the worksite), the
CONTRACTOR shall ensure that all minimum required safety equipment (safety boots, safety hats, safety
10.13 glasses and hearing protections) are utilized by their personnel in performing and supporting the activities MEET
under this Contract. CONTRACTOR shall provide other specific safety apparatus for their personnel in
performing specific work (if applicable).
CONTRACTOR shall present in this tender package a proposal for Drilling and Completion Rig Services
optimization through the period of this contract to ensure continuous improvement. Such program needs to

specify which actions CONTRACTOR shall perform to ensure increase in performance and how it´s going
to be measure as well as frequency.
CONTRACTOR shall present the Take Off Sheet (TOS) to be approved by the COMPANY Drilling
Supervisor and its cost shall match contracts rates and honor Contract legal agreements.
The TOS should be presented with the invoice, along with the original copy of the IADC report signed by

both parties field representatives, all in English language.
Finally, from the field, the Hupecol Accounting Allocation Stamp must be legible and must be signed by the
representative of Hupecol in the field.
CONTRACTOR shall provide within the proposal full specs of all equipment, including measurements,

connections, operating parameters, heights, etc. in order to evaluate the proposal.
CONTRACTOR agrees on providing swabbing services w/ the rig and/or its ancilllary equipment during the

day or night, providing the parties have agreed that safety concerns are manageable.
CONTRACTOR will supply books and similar note books to be used on the rig floor to follow up Daily
Operations and Reports (bitacora’s Spanish name for these books).

CONTRACTOR agrees that all these books and notebooks belong to the COMPANY and will remain as
COMPANY’s property and be part of the CONTRACTOR’s obligations.

1. General
Contractor shall have detailed programs covering training, duties and responsibilities for all Contractor
Personnel. All Contractor Personnel shall satisfy all local and national rules, including a legal work
1.1 permit for Colombia, regulations and training requirements for the position. Contractor shall have MEET
training documentation on file for all Contractor Personnel and all such information shall be made
available to Company upon request.
CONTRACTOR shall provide, at their sole cost and risk, the personnel specified hereunder to support the

work in a professional and skillful manner, in accordance with the provisions of this Contract.
CONTRACTOR shall provide curriculum vitae of their Rig Staff Personnel (Drillers, Tour Pushers, and
Tool Pushers) for this Contract, as requested. Whenever CONTRACTOR wants to send new personnel to

the field, The CONTRACTOR will create with the COMPANY a list with the approved personnel to work in
the operation The CONTRACTOR, with COMPANY’s previous approval can modify the list.
1.4 All rig staff personnel should have training for H2S working environments. MEET
Contractor shall maintain and submit organizational charts including all Contractor Personnel working at
the rig site, and also the personnel responsible for implementing and delivering the Work specifying
clearly work hours per shift for each specific position. This organizational chart shall include:
The personnel structure to include the names, titles, location and position of key personnel.
A minimum three (3) page Executive Summary shall be submitted with the tender response which details
how the Drilling Superintendent or Rig Responsible will implement the work plan.
1.6 A copy of this organizational chart will be provided to Company and shall be updated as necessary. MEET
1.7 Staff personnel should have a valid Well Control school (either IADC or IWCF). MEET
1.8 Staff personnel should have a valid Stuck Pipe Prevention school. MEET
CONTRACTOR shall provide personnel that meet or exceed the requirements of the job specifications
described in this Exhibit. It is CONTRACTOR’s responsibility to ensure that the technical and operational

competency of CONTRACTOR’s personnel is maintained throughout the term of this Contract and that
such competency is consistent with any changes in CONTRACTOR’s training program.
CONTRACTOR shall ensure that its personnel, as specified in this Contract, are available at all times to
work in their designated area of operations. At no time will COMPANY be left without all personnel. When
1.10 CONTRACTOR personnel are at well site, only with prior agreement of COMPANY will the MEET
CONTRACTOR be permitted to allow the departure of the personnel prior to the arrival of the relief or
replacement.
In performance of the services, CONTRACTOR shall maintain strict discipline and good order among its
1.11 personnel, and shall not permit any of its employees to engage in activities that might be, in COMPANY’s MEET
opinion, contrary or detrimental to interest of COMPANY.
CONTRACTOR shall fully co-operate with any other contractors or subcontractors utilized by COMPANY

and give them all reasonable assistance as requested by COMPANY.
For any replacement of CONTRACTOR’s key personnel, CONTRACTOR shall provide to COMPANY

immediately the proposed personnel to replace the existing CONTRACTOR’s personnel.
Daily Operations programs should strictly follow the requirements and directions of the Hupecol Drilling
1.14 MEET
Supervisor and/or Wellsite Geologist.
From time to time, COMPANY will request support from CONTRACTOR’s personnel to fill up the
1.15 database reporting system ‘Open Wells’ with information relevant to the rig equipment operation, rig MEET
equipment maintenance, HSE drills, HSE reports, etc.
Contractor agrees that as technology / knowledge transfer will provide sponsored training courses to 3
