AGREEMENT

This Agreement entered into by and between:

EVO Condominium, a private company duly organized and existing

under the laws of the Republic of the Philippines with address at 29 Fairbreeze
Drive, Bakakeng Norte, Bakakeng Baguio City, hereinafter referred to as
"SELLER"

and

(Name of Prospective Buyer), of legal age, with address at ____________,

hereinafter referred to as "BUYER"

ACKNOWLEDGE THAT:

WHEREAS, SELLER is the registered owner of EVO Condominium with TCT

No. ______, hereinafter referred to as the "PROPERTY;"

WHEREAS, BUYER is interested in acquiring the PROPERTY in a “As Is

Where Is” basis;

WHEREAS, as a guarantee that the BUYER will not back out, earnest money in
the amount of seven hundred thousand pesos only is required to be deposited with
SELLER;

WHEREAS, BUYER has agreed to deposit the amount of seven hundred

thousand pesos as earnest money for the purchase of the PROPERTY;

NOW THEREFORE, for and in consideration of the above premises, the parties
hereby agree as follows:

1. The earnest money deposited shall be treated as a reservation fee and shall
form part of the purchase price. As such, the amount of seven hundred
thousand pesos deposited with SELLER shall be deducted from the full
purchase price. The balance of the purchase price shall be made known to the
BUYER.

2. The reservation fee shall serve as a guarantee that BUYER shall not back out
from purchasing the PROPERTY. If for any reason BUYER decides to back
out, BUYER agrees that the reservation fee shall be forfeited in favor of
 SELLER as liquidated damages.

3. BUYER shall have Three (3) Months or until December 10, 2018 to
consummate the sale. If within said period no sale materializes due to no
fault or negligence of SELLER, he shall be considered to have backed out of
this agreement, in which case, the earnest money shall be considered
forfeited.
