Dear Brigita,

Congratulations on obtaining the new space c/w kitchen next door to allow the new restaurant to
increase in space. We have revised the proposal below to accommodate the new scope, and have noted
the items that have already been completed.

Project Mandate & Scope


Thank you for considering DDL Studio as your Interior Designers to complete the designs for your new
restaurant.

Below is a simple brief of requirements as we understand it based on discussions at our meetings:


• The size of the space is approximately 1,497 square feet located on the second floor of Bayshore
Mall, Kirkfreeport Plaza, 31 South Church Street, Grand Cayman.
• There are no existing CAD drawings of the space available. DDL will be required to measure the
space with laser measuring devices and provide an accurate base plan drawn in AutoCAD
format. (Partially completed as part of a previous contract.)
• Based on Client requirements, DDL will provide a space plan layout of the restaurant showing
kitchen and seating locations. 2 revisions are included in this proposal.
• DDL will coordinate specifications with client for floor, wall and ceiling materials and finishes.
• Lighting, furniture, and equipment to be reused and repurposed by client. DDL will assist with
coordination as required.
• DDL to assist in coordination of specialty millwork items, such as wine cabinet, banquette, and
suspended frames to be repurposed, as required with client.
• DDL will provide general design concept drawings for bar and back bar. Specific details and
materials to be coordinated by client.
• A complete coordination of DDL Studio’s drawings with the engineers, and specialty trades will
be compiled and submitted to BCU for procurement of a Building Permit.
• DDL will submit plans to the Cayman Islands Government BCU department to procure a building
permit.
• It is understood that the Client will tender the construction works and manage the works on
site.
• DDL will be available during construction to provide advice as required.

1.0 As-Built Plan


• DDL will visit the site, measure the existing conditions for the expansion space and provide an
accurate as-built plan in AutoCAD format.

FEE: $925 (please note this number represents time already incurred)

2.0 Schematic Design


• Discussions and maximum two meetings with Client (complete with associated revisions to
drawings) to finalize a new layout plan.
• Sign-off by client of Schematic Design Phase. Any changes thereafter will be billed as additional
services.

FEE: CI$ 2,100

3.0 Design Development


• Confirm specifications as required for floor and wall materials and finishes.
• Coordinate specialty millwork items, such as wine cabinet, banquette, and suspended frames to
be repurposed, as required with client.
• Basic concept millwork and cabinetry details will be provided for bar and back bar.
Please note: All other millwork detailing for the following items; banquette, wine cabinet,
window inserts, drink rail, and suspended fabric frames, are not included in this contract. (DDL
would be happy to assist with any required detailing at an additional hourly rate.)
• Meet with Client to finalize the design concept and space plan. Refine as required to achieve
sign-off.
• Procure quotes from MEP engineers as required for Client approval.
• Coordinate with Engineers for the Mechanical, Electrical, Plumbing & Fire Safety design
drawings based on the approved floor plan.

FEE: CI$ 2,500 (Plus $125/hr for any additional millwork coordination)

4.0 Construction Documents


Produce drawings required for pricing and construction. These will also be used as a base for the
Mechanical, Electrical and Plumbing (MEP) Engineers design drawings.
The drawings provided will include:
Furniture& Equipment Plan
Life Safety Plan
Construction Plan
Reflected Ceiling Plan
Electrical & Communications Plan
Finishes Plans, Material Specifications and Schedules (as required)
Elevations and Millwork Details (as required)

• DDL Studio will obtain competitive quotes from all required Engineering consultants
(Mechanical, and Electrical, Plumbing, LPG). These fees will be submitted to the Client for
consideration separately and are not included in DDL fees. Consultants agreements will be
directly between client and consultant but design will be coordinated by DDL.
• DDL will coordinate plans with the MEP consultants to ensure a fully coordinated set of
drawings to be able to issue for BCU and Construction.

5.0 Building Control Unit (BCU) Submission


• Building Permit application and compiling of all documents necessary for the submission.
• Submittal to BCU and liaising with Planning Officers as required to receive a building permit.
• Includes coordinating with consultants and designer for any revisions required to comply.

FEE: CI$ 1,000


Government fees and printing cost are not included.

6.0 Project Management


DDL will be available during construction to provide advice as required:
• Chair or attend meetings on site during construction and issue minutes.
• Visit site as required to monitor the progress and quality of the work.
• Ensure works proceed as per schedule and are on budget.
• Issue any Change Orders required due to site conditions and Client changes.
• Review progress invoices from the Contractors and following certification, process for payment
by Client.
• Regularly inform Client of project status and issues affecting progress and costs.
• Review and update budgets as a result of additions or variations to the Contract and reconcile
all costs upon project completion.
• Assist with inspections and ensure that a Certificate of Occupancy is received from the Planning
Department.
• Issue deficiency report to Contractors and monitor until all complete as per Contract.
• Facilitate fully coordinated ‘as built’ drawings from all disciplines.

FEE: CI$ 125 per hour as required

7.0 Compensation
1.0 As-Built Plan (for expansion space only): $ 925
2.0 Schematic Design: $ 2,100
3.0 Design Development: $ 2,500
4.0 Construction Documents $ 4,500
6.0 BCU Submission $ 1,000
TOTAL: CI$ $ 11,025

7.0 Project Management $ hourly as required

Disbursements

Disbursements such as Government fees, overseas travel, outsourced photocopies & prints, etc.
will be charged at cost in addition to the above quoted fees.

8.0 Standard Terms & Conditions


8.1 Term of Agreement
The initial term of this agreement is for work as outlined in this fee proposal commencing upon
approval to proceed and receipt of all necessary documentation relating to the project from the
Owner.

8.2 Approval for Additional Services


DDL Studio Ltd. will seek approval in writing from the Owner prior to commencing with any
work that is not defined in the original Scope of Services. All such correspondence shall be
deemed to amend the Scope of Services.

8.3 Billing and Payment Practices


DDL Studio Ltd. will issue invoices on a monthly basis for all professional fees and disbursements
incurred during the previous month. Payment is due upon receipt of the invoice. A service
charge of 2% per month may be charged on overdue accounts.

8.4 Suspension of Services for Non-Payment


DDL Studio Ltd. may elect to suspend services for non-payment of invoices. You will be notified
in writing should this occur. DDL Studio Ltd. shall have no obligation to provide any further
services until payment has been made on all outstanding invoices and the suspension is ended
by the agreement of both parties.
8.5 Copyright and Use of Documents
All Documents generated by DDL Studio Ltd. except for AutoCAD files shall be handed over to
the Owner and shall remain their property. All fees and reimbursable expenses must be paid in
full prior to the use of the documents by the Owner. The Documents are for use on this project
only unless specifically agreed to in writing. The use of these Documents for any other project is
prohibited unless additional fees for such have been agreed to.

8.6 Confidentiality
DDL Studio Ltd. will preserve the confidentiality of all Owner information. DDL Studio Ltd. may
disclose this information to its employees whose duties require disclosure of such information
and, to the extent necessary, its consultants, contractors, subcontractors and suppliers to
enable them to carry out the functions requested by DDL Studio in connection with the
performance in this Agreement.

8.7 Insurance
DDL Studio Ltd. maintains Employer’s Liability and Professional Liability Insurances. Copies of all
insurances are available for Owner review.

8.8 Liability
DDL Studio Ltd. is not liable for errors or omissions occurring in the work produced arising as a
result of errors or omissions contained in documents or drawings provided by others including
base building drawings, engineering drawings or Owner supplied equipment specifications.
DDL Studio Ltd. shall not be liable for the damages, interest or costs or any other expenses
arising out of the failure of any manufactured product or components to perform in accordance
with the manufacturer’s specifications, advertising, product literature or written documentation
on which DDL Studio relied in the preparation of the design, construction or supplementary
documents or drawings. DDL Studio Ltd. shall not be liable for loss of profit or revenues, loss of
use or cost of substitute equipment, facilities, services or downtime costs whatsoever or
howsoever caused.

8.9 Termination
This Agreement may be terminated by either party for cause upon 30 days written notice. In the
event of termination, DDL Studio Ltd. shall be paid in full for all services performed up to the
termination date including all reimbursable expenses.

8.10 Owner Responsibilities


The Owner shall provide DDL Studio Ltd. with all existing information relating to the project. The
Owner shall provide information or approvals as requested by DDL Studio Ltd. as expeditiously
as necessary to maintain project schedule and performance of the work.

8.11 Assignment
This Agreement is not assignable by either party.

8.12 Law Governing this Agreement


This Agreement will be governed by and construed in accordance with the laws of the Cayman
Islands.

9.0 Acceptance
It is proposed that a copy of this letter, signed by both parties, will form an agreement between DDL
Studio Ltd. (the Architect) and Brigita Nemet (the Owner) for the terms, scope of work and fees
identified.
