Based on the plans shared by you, please find enclosed our detailed proposal for designing

I. PROJECT FACTS –

 Project is setup of a 96 key hotel at Nasik. Developer of the hotel is Thakker


Developers Limited.
 There are 3 kitchens in the hotel facility viz. First floor kitchen for Banquets
(Area – 900 sq.ft.), 10th floor kitchen which will be the main kitchen and
restaurant kitchen, (Area – 700 sq.ft.) and kitchen on terrace for Bar lounge
(Area – 620 sq.ft.).

II. OUR APPROACH –

Our approach is to setup kitchens which are functional and efficient with focus on
ease of operation for the staff. Our solutions aid in

 Maintaining hygiene within the kitchen,


 Safety standards within the kitchen,
 Efficiency through better kitchen flow,
 Automation of processes.

III. DETAILED WORK SCOPE – KITCHEN DESIGNING

Phase I - Concept Design Stage –


 UNDERSTAND
We shall evaluate & understand the design brief given by Client.
 DELIVERABLE
On the basis of client brief, a concept block zoning layout (no specifics, just area labels & rough
capacities) shall be prepared. This will take us about 7 working days after getting the Client brief.
 APPROVAL
The block conceptual layout shall be submitted to the Client for approval.

Phase II - Schematic Design Stage –


 PREREQUISITE
Upon receiving design approval on concept layout from client, we shall start the schematic
design.
 DELIVERABLE
We shall start equipping the space as per Client’s approval of the concept; considering
capacities required in the food counters and prep, / storage spaces. We shall provide budgetary
estimates and schematic layouts (in electronic form only) with all equipments labelled and an
itemized equipment list for each area within the kitchen. This will take us 7 to 10 working days
after approval of concept layout.
 APPROVAL
We shall submit this schematic layout to the Client for approval.

Phase III - Detailed Design Stage –


 PREREQUISITE
Upon receiving approval of schematic design from client, we shall start the detailed design.
 DELIVERABLE
We shall start preparing MEP roughing-in drawings as per approved design scheme, after
considering equipment capacity. In addition to the drawings, MEP load schedule with utility
consumption rates for electrical, plumbing & ventilation systems shall be provided (MEP routing
drawings are excluded from our scope). This will take us 10 to 15 working days after approval
of schematic layout.

On approval of MEP roughing-in drawings, a detailed specification document shall be prepared


for individual equipments. This document shall be part of the tender for supply and installation of
kitchen equipments. The detailed BOQ shall take us 15 to 20 working days after approval of
MEP detailed drawings.

Floating of Tender, Tender Quotes collation is excluded from our scope.


 APPROVAL
All MEP deliverables and BOQ of kitchen equipments shall be submitted to client for approval.

Phase IV - Post-Tender Stage –


 PREREQUISITE
Quote and technical comparative of equipment vendors.
 DELIVERABLE
We shall technically evaluate the bids received from equipment vendors and inform the client of
any deviations and clarify any queries through discussion with bidders. Our scope shall be
limited to technical evaluation of bids only.

After shortlisting of kitchen equipment vendor, we shall review shop drawings from kitchen
equipment vendor of equipments to be supplied and fabricated. We shall also visit the vendor’s
factory for inspection of equipments during fabrication and prior to dispatch.

Phase V - Commissioning Stage –


 PREREQUISITE
Receipt of equipments at site and placement at correct location.
 DELIVERABLE
Make required visits to the site during installation of equipment. We shall prepare and submit
stage-wise site inspection of installed equipments, which shall be followed by all equipment
vendors and site teams.

Check list of defects, rectifications and approval for installation and commissioning of
equipments.

Witness testing, commissioning & handing over to operations team.

IV. FEES

Our fees for the above work scope shall be INR ***** /-.

Exclusions –
 All taxes, levies and surcharges which shall be paid extra.
 All expenses for site visit (travel, stay and all out-of-pocket expense) and / or to any other
location, for work related to this project, shall be reimbursed as per actuals.

Our payment terms for the aforementioned fees shall be as below:

Retainer Advance 50%


Submission of Concept Design Stage Deliverables 15%
Submission of Schematic Design Stage Deliverables 25%
Submission of Detailed Design Stage Deliverables 10%

Invoices shall be submitted on completion of milestone as listed above. Payments shall be


released within 7 days from the date of invoice.

V. TERMS AND CONDITIONS

a. Exclusions:

The following services are excluded:

 Architectural, Interior drawings and associated GFCs,


 Detailed MEP routing drawings and associated GFCs,
 Appointment of contractors and payments,
 Day to day site supervision,
 3D views and walk-throughs,
 BOQ of Civil, Interior fitout, MEP and other allied works,
 Liaisoning and liasioning documentation with local municipal authority and / or
government offices / agencies / malls etc. to obtain permissions from government
authorities,

b. Contract termination:

We reserve the right to suspend work on a project and/or terminate the contract, in case there
is a delay in payment release. We shall not be responsible for any delays caused by late
payments, nor for any damages arising therefrom. Interest on overdue payments shall be
charged at PLR + 2%.

c. Design Revisions:

The aforementioned fees will comprise no more than two design revisions. Any additional
revisions requested shall be charged extra over and above the said fees.

d. Suspension / Termination of the Project:

The Client may at any time instruct us to suspend / terminate work on the project. This
instruction shall be in writing and delivered to the aforementioned address. Immediately
thereafter; we shall be entitled to be remunerated in full for services rendered and
disbursements incurred till the date of instruction. Fees for incomplete stages shall be
calculated on pro rata basis.

Should work on the project remain suspended for six or more months from the date of
suspension; the project shall be deemed to be automatically terminated. Should the work be
resume at any time after suspension of the project, we shall submit a revised proposal for the
balance works.

e. Liability of Consultant:

Where the design in relation to the project is undertaken by client appointed consultants, we
shall not be responsible for the production of the design solution, nor be liable for
performance and / or delays.

In any case, notwithstanding anything contrary contained in any of the provisions of this
contract, the liability of either party against any risk other than statutory non-compliances shall
not exceed total value of this contract.

f. Exclusion of Consequential and Indirect Damages:

Notwithstanding any provision of this contract to the contrary, neither party shall be liable to
the other party in respect of any consequential or punitive or economic loss or damage
(whether or not foreseeable at the date of this contract and whether or not arising out of the
negligence of either party) that may arise out of the performance of or breach of this contract
including but not limited to loss of profits, loss of trade and business interruption.

g. Copyright, Ownership and Use of Documents:

The project documents prepared by us are our copyright and remain our intellectual property.
The client has the right of use of the documents for the sole purpose of this contract. Client
shall take written permission from the us, in case of part or complete use of the said
documents.

h. Other Conditions:

 This offer is valid for a period of 15 days from the date of proposal.

 Any project assigned to us shall be for the entire work scope and not for part works.

 The aforementioned fee is only for Kitchen Designing Services of First Floor kitchen,
Tenth Floor kitchen and Terrace Floor kitchen at proposed Hotel in Nasik. For any
other design requirements, a separate design fee shall be applicable.
