(l). Gratuity is payable as per the Gratuity Act. i.e. only after the employee completes minimum 5
years of services.

Employment agreement terms and conditions:

1. The rules of the Company or decision of go›*ernment authority or Awards of Tribunals which are on
will be applicable to permanent employees will not be applicable to you as a matter or right during
your probationary period.

The abo e salary package will be paid subject to statutory deductions as and when applicable.

3. Your Head Office will be at New Delhi. During the tenure of your employment with us, either
regular or on probation, as the case may be, on exigencies of business, you are liable for transfers to
any part of India, interdepartmental transfers or to be transferred to any of the establishment of our
interest, sister concerns, divisions or units of our concern anywhere in India without adversely
affecting your emoluments or general conditions of service and you shall not refuse to work at
such new post. Any such refusal will entitle the company to terminate your services without notice
or notice-pay in lieu thereof.
4 You will be reimbursed the field working expenses for the Head quarter -Rs.195/- and
(a) outstation RS.3 /- on the day actually worked ,which included fooding ,boarding &
lodging.

(b) You will be entitled to Rs.1.75/- as travelling fare for outstation work,upto 15 km to & fro.Thereafter
actual fare as per your entitlement .At the time of submitting expenses it is compulsory to submit all
original supporting /documents bills related to journey.

5. You will be reimbursed actual Bus or railway fare to cover the upcountry markets asper the
approved Master Fare Chart and on production of ticket & all other supporting documents related
with the journey. Your field worming expenses and travel fares for Company’s work will be as per
rules applicable front time to time. The Salary & allowances shall stand proportionately deducted in
case of your being absent etc. The Management will be free to withhold or refuse to pay the salary
and expenses, if not satisfied that either you have actually worked as per the instructions and
requirements of the management and/or your Superiors or fail to submit your Daily Call Report on
time.

6. You will efficiently & economically canvass, promote and advertise company’s products to achieve the
targets. You shall abide by all the rules and regulations of the Company.

You will be on probation for a period of One Year from the joining date. Your probationary
Period inay be extended at the discretion of the Management. After the expiry of 1 year your
probation period can be further extended in case your performance is not found
satisfactory. Unless confirmed in writing, you will continue to be on probation. During or at the
expiry of the probationary period or extended period, if any, the management has the right to
terminate your services without any notice or assigning any reasons.

8. lifter completion of the probationary period or extension thereof, if any, the company will confirm
whether it can offer you permanent employment. In other words, your appointment on probation
does not entitle you as a matter of right to permanent employment with us. p,

9 After confirmation, however, your services can be terminated without assigning any reason with one
month’s notice or one month’s basic salary in lieu of notice period except on disciplinary or dishonesty
ground in which case no such notice or payment in lieu thereof shall be necessary. Similarly you shall
not leave the service without giving one month’s notice or one month’s salary in lieu of notice

The notice period during probation in case of leaving services shall be subject to acceptance of
resignation and termination will be with prior 7 days notice and subject to handing over charges to
the HOD or as per the instruction of senior.
11.
The notice period for confirmed employee will be one month or gross salary in lieu of such period.
During the notice period, you will be entitled for any lea› es and leave balance, if any shall not be
adjusted against your notice period. However, in both the cases, leaving services, without resignation
letter copy to HOD & HRD & handling over charge, full & final settlement shall not be done by the
company.
12.
Your service will be confirmed in the employment of the company in writing after successful
completion of the probationary period provided your work performance and conduct are satisfactory and
as per the rules and regulations of the company.

Your annual increment will be determined on the basis of your efficient and satisfactory discharge of
duties.

You will be governed by all rules, regulations and instructions of the Company which are in force and
which will be framed in future for employees of your category and your acceptance of this
appointment order carries with it your expressing agreement to abide by such rules and regulations,
instructions etc.
In the e› ent of your resignation from the Company, your full and final account will be settled only
after receipt of company’s property given to you from time to time and also a ‘No Objection
Certificate’ from the Consignee Agent/Stockiest with whom you were associated during the tenure.
In case you fail to hand over the Company’s properties within 15 days, you shall be liable to pay the
cost of the properties to be determined by the management and automatically waive of your pending
salary
,expenses etc.

You shall, neither during the continuance of your employment with us or thereafter, except in the proper
cause of the duties as such, divulge any of the secretes of the company, to any other company, person or
persons, without the previous consent in writing from this company, nor use or attempt to use, any
information which you may acquire in your course of duty in any way which may injure or cause loss or
be calculated to injure or cause loss to the company.

16. You will come under the category of Executive. You will be ›*ested with administrative authorities of
appointing dealer / agent (subject to approval from the Management), to relieve, to punish, to take
disciplinary action, for the smooth operation of company’s affairs and products in your area.

It is ordinarily presumed that this contract of employment is to be renewed from time to time till you
reach the age of retirement. You will be ad› ised from time to time about your performance especially
if and v hen it falls below satisfactory level. If the management finds that you are incapable of
performing the job / jobs assigned to you, the company will be at liberty to terminate this contract of
employment at any time on giving you one month notice or one month’s basic salary in lieu of
such notice. In other words it will be presumed that the contract has not been renewed from the
date of such termination.

You will not ,during the continuance of your employment accept any part —time or full time
employment in any organization ,whether vsth or without remuneration .You will also not pursue any
educational /vocationa1 courses ,part-time or full time without prior permission of the com

case of any breach resulting in automatic termination of your employment with the company due to
your own act and legal action will be proceed .

19. During the period of employment with the Company, you shall not engage yourself or in association
with any other person in any other business or occupation with or without remuneration. You are
required to maintain the highest order of discipline and secrecy as regards the work of the company.
In case of any breach of discipline/trust, the company with immediate effect may terminate your
semices

2O. You will not be entitled to any lea› e during your probationary period and therefore if any leave
availed during probationary period will be leave without pay. Only after confirmation in service of
the company, you will be entitled to take leave in accordance and subject to the company’s leave
rules for the time being in force.

21. If you remain absent without prior permission or overstay the sanctioIied leave for more than eight
consecutive days, you will be deemed to have deserted y•our service, resulting in automatic
termination of your employment with the company due to your own act.

This appointment is made on the understanding that the information given by you, in your
application is correct, true and complete. If it is found at any point of time that the information
given by you is not correct /true/complete, this appointment may be withdrawn before you join
services with us or your services ma be terminated at any time after you have taken up employment
with us.

Special terms and condition of your employment will be that if you resign from the
services of the company within a period of one year of joining then you are liable to pay
Its.no,ooo and if you leave after i year but withlll >4 tROnths of joining then you are
liable to pay lR.io,ooo towards the cost of recruitment &training expenses will be
recovered from you. It does not , however , mean that the company is bound to retain
your service for any specified period.

You will not give any one, by word of mouth or otherwise any particulars or details of our
manufacturing process, technical know-how, security arrangements, administrative and/or
organizational matters where confidential, secret, or otherwise which you acquire during the course of
our employment at any time, while in employment or afterwards.

25. Any change in your residential address mentioned in your application shall be informed to the
company in writing.

26. During the tenure with us you will be staying at your Head Quarter town only ,in case you have to be
leave head quarter in any exigencies or other reason apart from the official work that you have to take
prior approval either your department head or office. Otherwise it will be considered as breach of
contract of employment.

You will be responsible for collection of dues for the sales effected by the
agents/preferred dealers in your area. You will organize that all agents/preferred
dealers of your area are forwarding Demand Draft / Cheques in the due course of time
to the Company directly at Head Office by registered post / courier only. Collection by
way of cash is not permitted.

You ASH not enter into any financial transaction and take the delivery of goods unless
you have the specific written permission from the management.

2. Your employment with the CoiTlpany is subject to your being declared medically fit.
Any dispute arising out of this employment will be subject to Delhi jurisdiction.

31 You shall be governed by the rules, regulation and company policy as applicable, enforced, amended
or altered from time to time during the course of your employment.

This otfer of appointment is issued subject to the conditions that there is no Police /Vigi1ance/
Disciplinary action pending against you.
33. Your salary will be re›*ised from time to time at the discretion of Company. All promotions shall be at
the discretion of the Company.

34- You will retire front the seoñces of the company at the age of 6o years.

If you absent yourself from work for one or more days, your action will be considered an act of
misconduct .On the first instance you will be issued a warning either verbally or in writing as decided
by your manager. One the second such instance a written warning letter will be issued to you. If you
still fail to modify your behaviour the organization will assume that you are no longer interested in
worl‹ing for the comparly and your contract of service will be considered terminated.

36. If You absent yourself front work for seven consecutix•e days, the organization will assume that you are
not interested in working in the company anymore and have abandoned its services voluntarily and of
your own therby terminating your contract of service.

"lermination of Employment
a. In the event of your leaving the services of the company on your own accord , you will be required to
give notice of 3 o days or pay’ salary in lieu thereof as applicable in your category .However , the
company vill be free to relieve you before the expiry of the notice period without any notice pay in lieu
thereof.

b.If the company wishes to terminate your service for any reason whatsoever ,you will be served
3odays notice or pay salary in lieu thereof .The notice period or payment of salary in lieu thereof
will not be applicable ,where the termination is contemplated by the company as a consequence of
disciplinay action, breach of trust or violation in terms and condition of appointment on your part.

38. Forming Part of Letter of Appointment of Mr. Mayank Manish

The Company lleserves the Right to dispense with your services and terminate your Employment for
any acts of Indiscipline, Misconduct and Insubordination at anytime. Any of the following act inter-
aliases will be deemed to be acts of Mrs-conduct/ Indiscipline and may attract disciplinary action as
per the rules of the Company.

3. Misbehaviour.

prior authorization in writing from Head Office.

i2. Misrepresentation of any personal data about your qualification, experience,past remuneration etc
while selection or during course of your employment.

Such acts of indiscipline/misconduct are to be judged by senior/management and no proof


or justification would be necessary. The decisions of Company in this regard would be
final and binding. If you are found involved in any of above events the management
reserves right to either advise you to proceed on compulsory leave or settle your account
with immediate effect by adjusting notice period remuneration and training expenses or
o°ithout paying you in lieu of notice period.

Your contribution in the areas of your responsibility will be critical in evaluating your performance
.Hence ou shall maintain high standard of performance and bring in business results as planned from
tinge to time. Further the management also reserves right to deduct any amount equivalent tothe loss the
Company has sustained due to your undesirable act.

You are advised to return to us the duplicate copy of this letter after signing in the space marked below in
token of your formal acceptance of the foregoing terms & conditions.

2. Deviations against the operating procedures will be viewed as non-compliance to the organization

4 You will maintain a Master Contact list of specific doctors / Specialists along with a list of institutes /
Hospitals / Nursing Homes /Consultants / General practitioners and retailers in your territoy• based on
your daily work pattern in consultation with your superiors at our reporting application and will provide
the necessary documents for their verification as per company norms.

s You will also maintain a diary in which you will record the dates of the visit to various parties and
promotional materials / gifts (PAM) left with Doctors / Specialists and update it from time to time. In this
diary you will record details of your sales to retailers / Nursing Homes / Institutes (Product wise / Rupee
wise) achieved bJ you on day to day basis. You have to bring this diary whenever you are called for a
meeting.

6. You vsll also prepare a fare table of different markets from your H.Q. both for bus as well as rail, as
applicable, and will get it approved from Head Office and all your expenses shall be in accordance with
the same fare chart.

y. â’ou »ñ11 prepare and upload your monthly Tour Programme in consultation with your superior’s at
least lo da› s in ad ance on reporting application CBO. No change in your Tour programme will be
made without prior sanction / approval from your superiors. Change if any, must be informed to head
office and concerned persons immediately.

8. You vfi11 follow each and every instruction that may be given to you by your superiors.

9 You will regularly send feedback to the Delhi office regarding new product introductions, marketing
strategies of competitors and any other information, which is useful to the company by mails or courier.

io. You will maintain the account of expenses incurred by you on transport, boarding & lodging etc. and will
furnish the rele› ant original vouchers along with your expense statement monthly to office for
disbursement. Any irrelevant supporting bills or fake bills will be eligible for deductions and explanation.

ii. Managers are expected to submit Sales and Stock statements along with the formats related to the
monthly review meeting to Office for their respective areas latest by 4'h Of the every month and
Representatives by 3' * of every month.

12. Meeting attendance is compulsory for every one called by their seniors or H.O otherwise disciplinary
action will be taken against defaulters.

13. You will not adopt any unethical practice to obtain business and achieve target.
