MEMORADUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement is entered into by and between:

Mighty Four Security and Investigation Agency Inc.. represented by

its President ELMER B. ESPINOSA, with postal address at No. 2 Upper
Level Unit K Scout Dr. Lazcano cor. Mother Ignacia Sts., Barangay
Paligsahan, Quezon City herein refered to as FIRST PARTY;

- and -

ATTY. RUBEN A. ZACARIAS of Blk 11 Lot 16, Phase O, Francisco

Homes, Narra, San Jose Del Monte City, Bulacan referred to as SECOND
PARTY;

WITHNESSETH

WHEREAS, the FIRST PARTY being a duly licensed Security and

Investigation Agency Inc., is offering a commission of _______________ per
Security Guard that maybe deployed by the FIRST PARTY due to the
efforts and/or recommendation of the SECOND PARTY to client/s in need
of Security Services of the FIRST PARTY;

WHEREAS, the SECOND PARTY represents that he is willing and

able to exert effort in locating prospective client to be referred to the FIRST
PARTY;

WHEREFORE, in view of the above premises, the FIRST PARTY and

SECOND PARTY hereby agree and covenant to perform the following:

1. The FIRST PARTY shall acknowledge in writing every referral of

prospective client to the SECOND PARTY;

2. The SECOND PARTY shall exert effort out of his own expenses to
locate prospective clients who are in need of Security Services to be
provided by the SECOND PARTY;

3. In the event of closure of Contract of Security Services by the FIRST

PARTY with the clients referred by the SECOND PARTY, the FIRST

PARTY shall pay the agreed commission within five (5) days upon
payment made by the client to the FIRST PARTY.

IN WITNESS WHEREOF, the parties have hereby affix their

signature this ____ day of December 2021 at Quezon City.
