MEMORANDUM OF AGREEMENT

This Memorandum of Agreement executed on this day of 1 st of February

2020 at Quezon City, Philippines by and between:

I NOLAND V. CARIÑO, Filipino, of legal age, married with postal

address at Blk 18 Lot 10 Sto. Niño St. Maligaya Park Subd. Camarin,
Caloocan City herein after referred to as the PAYOR;

and

I, ELMER B. ESPINOSA, Filipino, of legal age, married, with postal

address at No. 2 Sct. Dr. Lazcano cor. Mo. Ignacia St. Brgy. Paligsahan,
Quezon herein after referred to as the PAYEE;

- WITNESSETH -

WHEREAS, the PAYOR will pay the PAYEE the amount of Two Hundred
Thousand Pesos (Php200,000.00) upon the received of payment of a parcel
of land located at Blk 220 Lot 10 Mark St. Cor. Bolivar St. North Fairview,
Quezon City.

IN WITNESS WHEREOF, the parties have hereunto signed this
