Job Candidate Nondisclosure Agreement

During the course of your job candidacy, you will receive information relating to Tier One Executive Search’s
(TRANSEARCH’s) client company identity and a specific role within the client organization, that is not
known to the general public or to others within the organization in question ("Confidential Information"). The
reasons for keeping this information confidential include but are not limited to: the person who is currently in
the role is unaware of any change to his position or employment status, other client company team members
are not yet aware of any changes or additions to staff, customers are not aware of any changes, competitor
companies are not aware of a client company entering a new market, etc. These are reasons it is imperative the
information is not disclosed to anyone. Confidential Information includes, among other things, the name and
location of the hiring company, the scope and location of the job in question, the compensation range for the
position, technology, facilities, assets, systems, business partners, investors, customers, vendors, business
plans, marketing plans or data, finances and other information, which should be reasonably considered as
confidential. Confidential Information may be contained in tangible materials such as a position prospectus, a
position description, a briefing, PowerPoint presentations, drawings, data, specifications, reports and computer
programs, or may be in the nature of unwritten knowledge such as has been gathered through verbal
conversation with a Tier One Executive Search employee or an employee of the client company in question.

In consideration of Tier One Executive Search's willingness to provide you with Confidential Information
during your job candidacy, you agree (i) all Confidential Information will remain Tier One’s or its client
company’s exclusive property, (ii) you will use Confidential Information only to evaluate potential
employment with the client company and agree not to trade securities based on that information, (iii) you will
not disclose Confidential Information to any individual, company or other third party, except for a spouse or
immediate family member deemed necessary in making a decision on accepting employment with the client
company, (iv) you will notify Tier One Executive Search immediately upon discovery of any unauthorized use
or disclosure of Confidential Information or any other breach of this agreement, and, (v) upon Tier One
Executive Search’s request, you will deliver to Tier One Executive Search all materials containing
Confidential Information and, at our option, provide Tier One with a written certification of compliance.

Tier One Executive Search will keep and hold confidential all candidate’s data and information including but
not limited to contact information and resume/C.V. Tier One will not release this information for any reason
whatsoever without the candidate’s prior consent.

If a provision of this agreement is held invalid under any applicable law, such invalidity will not affect any
other provision of this agreement that can be given effect without the invalid provision. Further, all terms and
conditions of this agreement will be deemed enforceable to the fullest extent permissible under applicable
law, and, when necessary, the court is requested to reform any and all terms or conditions to give them such
effect.

Tier One Executive Search is relying upon your promise to comply strictly with this agreement for a period
of 365 days following the signing of this agreement. Any violation of this agreement may cause substantial
and irreparable harm to Tier One Executive Search or its client company. Accordingly, without limiting any
other available remedies, this agreement is specifically enforceable by Tier One Executive Search. This
agreement will be construed in accordance with the laws of the State of Michigan.

Any failure by Tier One Executive Search to enforce your strict performance of any provision of this
agreement will not constitute a waiver of Tier One Executive Search’s right to subsequently enforce such
provision or any other provision of this agreement.
