EMPLOYMENT CONTRACT

THIS SPECIFIED DURATION EMPLOYMENT AGREEMENT (hereinafter referred to as the


“Agreement”) is made and entered into on ……………….. by and between Mrs. Ly
Sreymean, representative of STVi Investment Co., Ltd. duly established and existing
under the laws of the Kingdom of Cambodia (hereinafter referred to as the
“Employer”) and Mr. Mao Senghy Cambodian nationality, holding Identity Card
number …………………. issued by……….(hereinafter referred as the “Employee”).

WITH:

WHEREAS, Employer is engaged in the business of Engineering;

AND

WHEREAS, Employee desires to accept employment with employer as Costing


Estimator to manage an assigned team to meet or exceed human resources, sales and
operational objectives.

NOW, THEREFORE, in consideration of the mutual covenants and promises of the


parties to this Agreement, Employer and Employee agree as follows:

Article 1 Employment and duties


A. Scope of duties
 Prepare and/or coordinate the preparation of full cost estimates on
conceptual, design-build or tendering work
 Review proposal specifications and drawings to determine scope of work and
required contents of estimation of the project.
 Prepare discipline estimates by calculating complete take off the scope of
work
 Prepare a cost summary for the entire project
 Analysis and compile data on every factor that may affect cost
 Estimate and break down all expenses including materials, labor, and other
relevant resources.
 Do the Value engineering cost if required for the project in order to benefit to
the company and client.
 Review the preliminary plans and drawings for the project
 Visit the site of the construction, making note of the geographical features of
the site and access to infrastructure which is notified by client or consultant.
 Work with the product engineers, reviewing blueprints and schematic
drawings with engineering team.
 Promote the smooth flow of information between estimating, pricing and
marketing departments and processes
 Provide direction and training to new employees and trainees
 Any other job-related tasks as directed by management
B. Service
While employed under this Agreement, Employee shall not, without the prior consent of
Employer, directly or indirectly, render services of any nature to or for any person or
firm for compensation, or engage in any other practice that competes directly or
indirectly with the Employer’s business.

C. Report and Evaluation


Employee shall at all times during the Term of this Agreement report to G M &
M D . and report from time to time, as it deems necessary, to the Board of Director and
Executive Management. Employee undertakes to be evaluated one month prior to the
end of each calendar year.

Article 2 Term
The term of this Agreement shall commence on the ……………….. and for a duration of
12 months except in cases of earlier termination as stated in Article 7 hereof.
Probation period shall be three (03) months from the date of commencement day.

Article 3 Compensation
A. Payment
Employer shall pay Employee a gross monthly salary of USD 1,200 per month,
payable in accordance with Employer’s standard payroll procedures as in effective
from the commencement day. And monthly allowance for fuel is USD 100 and telephone
expenses USD 50.
The tax on salary shall be the responsibility by the employee.

B. Death of Employee
All right of the Employee under this Agreement shall terminate upon his death, other
than any rights acquired prior to his death. Employer shall pay the due amount of the
Employee such compensation as would otherwise have been payable to the Employee
up to the end of the month in which his death occurs. Employer shall have no other
financial obligation under this Agreement to the Employee or his estate in the event this
Agreement is terminated by the death of the Employee, except as stated above.

C. Prohibition against gratuities


Employee shall not, under any circumstances, either directly or indirectly, receives or
accepts for non Employer’s benefits, any commission, rebate, discount, gratuity or profit
from any person, company, firm having business relationship with the Employer or its
affiliates.
The parties undertake that such behavior shall be considered as serious offense and
shall be subject to dismissal as stated in Article 7.

Article 4 Records and Files


All records and files concerning the Employer, or any product sold or service provided
by Employer to the public at large or any other person or entity shall belong to and
remain the property of Employer. On termination of his employment, Employee shall
not be entitled to keep or reproduce any of Employer’s records.
Article 5 Leaves
Employee is entitled to eighteen (18) days paid annual leave per year by Labor law of
Kingdom of Cambodia. Employee’s annual leave will be scheduled at times reasonably
convenient to Employer’s business. Employee shall not take more than six (06)
consecutive calendar days, and shall notify a week (07) days in advance. In case of
emergency leave, the employee shall notify directly to manager or HR at least three (03)
days in advance.

Article 6 Termination
Subject to the fulfillment of the parties’ respective obligation hereunder, this Agreement
shall be terminated upon the occurrence of the following:
(a) by mutual agreement of the Employer and the Employee in writing to the
termination of this Agreement;
(b) by dismissal in case of Employee’s serious offense as stated by the Cambodian
laws and/or by this Agreement;
(c) by resignation in case of Employer’s serious offense as stated by the
Cambodian laws and regulations
(d) by dismissal for Economic situation reasons
(e) by dismissal for any other valid reason as stated by the Cambodian laws and
regulations
(f) by the expiration of the contract
(g) by dismissal or resignation, even without any valid reason, during the
probationary period, as stated in Article 2 above, by giving 7 (seven) prior
written notice.
Notwithstanding Article 7 below, prior notice shall be respected according to the
Cambodian laws and regulations.

Article 7 Internal Regulation – Work Conditions


By signing this Agreement, Employee deems to have knowledge of the Employer’s
Internal Regulation. Employee undertakes to strictly comply with these regulations.
Employee shall also comply with the further regulations’ modifications as amended
from time to time.

Article 8 Restrictive covenants


A. Confidentiality
The parties recognize that Employee will be exposed to and in possession of certain
proprietary and other information of a confidential nature (“Confidential Information”)
of the Employer.
For purposes of this Agreement, Confidential Information shall include, but not limited
to, all non-public documentation and information relating to the past, present or future
business of Employer, trade secrets, customer lists, pricing information, suppliers,
products, samples, test marketing results, evaluations, assessments, know-how,
intellectual properties, and information relating to past, present or future development
projects. Employee agrees to limit dissemination and distribution of Confidential
Information only to those associated with Employer and any subsidiary of affiliated
organization of the Employer and/or agents of the Employer (e.g. attorney, accountant,
etc.), except such information may also be disclosed to others, such as lenders or
partners, who have a need to know such information in connection with their dealings
with the Employer or any of their subsidiary or affiliated organization and provided that
such disclosure is made by the Employee in the performance of his duties hereunder.

B. Non-Competition
During the Restricted Period, Employee shall not, directly or indirectly, in any place
in Cambodia, enter into, engage in, be employed by, or consult with any individual or
business in competition with the business of the Employer or their subsidiaries.

C. Non solicitation
During the Restricted Period, Employee shall not knowingly solicit any employee of the
Employer or any of their subsidiaries or affiliated organization to terminate his/her
employment with the Employer or any of their subsidiaries or affiliated organization or
accept employment with or seek remuneration by any of the clients or customers of the
Employer or any subsidiaries.

D. Liability
Employee shall take good and diligent care of the materials which are made at his
disposal, including but not limited to car, mobile phone and Laptop.

Article 9 Governing Law

It is agreed that this Agreement shall be governed by, construed, and enforced in
accordance with the laws of the Kingdom of Cambodia. All disputes arising from the
performance of this agreement shall be settled through friendly negotiation. Should
no settlement be reached through negotiation, the case shall then be submitted
exclusively to the Cambodian Court.

Article 10 Entire Agreement


This Agreement shall constitute the entire Agreement between the parties and any prior
understanding or representation of any kind preceding the date of this Agreement shall
not be binding upon either party except to the extent incorporated in this Agreement.

Article 11 Modification
Any modification of this Agreement or additional obligations assumed by either party in
connection with this Agreement shall be binding only if evidenced in a writing signed by
each party or an authorized representative of such party.
IN WITNESS WHEREOF, each party to this Agreement has caused it to be signed on the
