N - Nirajan JOINT VENTURE

JOINT VENTURE AGREEMENT

This Agreement is made on Sunday , 30 October, 2021 among M/s Rayamajhi Construction Pvt. Ltd. having its head office at
Kupandol Lalitpur Nepal duly represented by its Managing Director Mr. Bharat Jung Rayamajhi (here in after referred to as
lead partner ) of one part , & M/s K.D.N. Nirman Company Pvt. Ltd, having its head office at Janaki-9, Kailali duly represented
by its Managing Director Mr Dhirendra Shahi (here in after referred to as Second partner ) M/s Nirajan. Construction, having
its head office at Tikapur-1,Kailali duly represented by its proprietor Mr. Amar Sigh Rawal (here in after referred to as Third
partner ) The short name of the joint venture will be Rayamajhi –K.D.N-Nirajan JV Janaki-9 , Kailali .

Whereas, Ghodaghodi Muncipality sukhad,Kailali invites Bid for Premix Carpeting Works of Laxmi Nagar -Ghodaghodi
Village-DodaKhola Road Blacktop(Ring Road)(Chainage 0+000 to 3+000),Shivganga to Ward Office Blacktop Road work
(Ward no. 9) (Chainage 0+000 to 0+700) &Doke Bazar to North (Ward no. 5)(Chainage 0+000 to 0+300).Cont No:
NCB/GMUN/ WORK/03/078/079 as per national Competitive Building (NCB) procedures for the Construction here in after
referred to as the ''Project'' Whereas all partners are registered with Government of Nepal and classified Contractor from
Ministry of general administration Works are willing to participate jointly in the tender.Now therefore this joint venture
agreement has been made among the parties to fix the terms and condition of the participation. All the partners agreed as
follows:

TERMS AND CONDITION:

1. Rayamajhi Construction Pvt. Ltd. has been appointed as a lead Party for the joint venture.
2. All the expenses involved in bidding and executing of contract .in case the contract is awarded to the joint venture shall be
borne by each party in proportion to their participation ratio as stipulate under article 3.
3. The tender bid for the project shall be submitted in the name of joint venture and the ratio of participation of each party to
the joint venture shall be as follows:
a) First Party(Lead party) :- M/s Rayamajhi Construction Pvt. Ltd. 40%
b) Second Party :- M/s K.D.N. Nirman Company Pvt. Ltd. 30%
c) Third Party :- M/s Nirajan Construction 30%
4. In case there is profit and loss in the successful completion of the Contract, if awarded to the joint venture it shall be
distributed among the parties in the proportion to their participation.
5. Bank accounts will be opened at Kathmandu and elsewhere if necessary in the name of joint venture and will be operated by
jointly or singly in the name of joint venture as decided by the j/v.
6. Any dispute of difference arising out of this agreement or relating to this agreement shall be decided and settled mutually.
Incase party cannot decide mutually then the dispute will be forwarded to an Arbitrator appointed mutually appointed. If
party cannot reach to appointed the Arbitrator mutually then the matters will be settled by the prevailing arbitration Act.
7. This agreement will come into force from the date of signing of this agreement and shall be enforced till the date of issuance
of the maintenance certificate of the work in case the contract is awarded to the joint venture
This agreement is signed and sealed by the authorized representative of both the parties on the day and the date
mentioned above in the presence of the witness mentioned below:
