M/s Drim Construction Pvt Ltd.; shortly known as (Drim), A construction company registered in Government of Nepal
as a Private Limited Company with Department of Industry with its registered office at Gadhi Rural Municipality-04,
Sunsari duly represented by its Managing Director, Mr. Avinash Kamat (here in after referred as the 1 Party or Lead

partner).

M/s Barahachhetra Nirma Sewa, shortly known as (Barahachhetra), a Construction Company registered in Gharuli
Tatha Sana Udyog with Department of Industry,Turism,Forest & Envoroment with its registered office at Barahakshetra
Municipality-01, Barahakshetra (Sunsari) duly represented by its Chairman, Mr. Umesh Kumar Yadav (here in after
referred as the 2 Party).

Whereas, Katahari Rural Municipality, invites Bid Document from eligible bidder for "(Construction of Kukur pula
bridge, Culvert and Retaining Wall at Ring Road, Katahari-2) with its
Contract Identification No:- "KRM/NCB/04/2077-78 "

Whereas, both parties are Civil contractors in the construction works and willing to bid jointly in the name of Drim –
Barahachhetra J/V.

Now, therefore Joint Venture agreement has been made among the parties to fix the terms and conditions of the
participation. both the parties agreed as follows
1. Both parties shall be jointly and severally liable to the client the agreement made in connection with the
tender of the project.
2. First party will deal as lead partner and shall have all exclusive authority to deal with the project officials and
shall be responsible for the management of contract of work to execute in terms of agreement conclude with
the project.
3. The ratio of each party to the joint venture shall be as follows.
First Party: 50% (Fifty Percent)
Second Party: 50% (Fifty Percent)
4. Required bank guarantee and the commission shall be borne by Mutual Understanding.
5. It is agreed to delegate our authority to Mr. Avinash Kamat of M/s Drim Construction Pvt. Ltd., in
purchasing, signing, submitting, negotiating rates and sign agreements of Tender documents Whose signature
is under attested for the purpose of purchasing and submitting complete information including to sign
necessary to sign documents for tender.
6. Anything not provided under this agreement shall be decided by both parties from time to time. Anything
provided under this agreement or any of its term and condition may be amended or any addition may be
made with mutual consent of both parties, such amendment shall be communicated to the project officials.
7. The agreement will come into force from the date of signing of this agreement and shall be enforced till the
date of issuance of the maintenance certificate of the work in case is awarded to the joint venture.

This agreement is signed and sealed by authorized representative of each of the parties of the day and the date
mentioned above in the presence of the witness mentioned below.
