1. DEFINITION
i) "Employer" or "Client" or "Greenko DND" shall mean "Greenko DND Wind
Power private Limited".
ii) "Contractor" or "Service Provider" shall mean "M/s. Infinite Environmental Solutions LLP"
iii) "Effective Date" shall be the date of this Service Order.
iv) "Parties" shall mean that "Employer/ Client" and "Contractor/Service
Provider".
2. BRIEF SCOPE OF WORK
Scope of Work: Detailed Scope of Work attached as ANNEXUREConsultant to DOE and/or GS as applicable.
3. TIME SCHEDULE
Within 2 Months from the issuance of work order
4. TERMS OF PAYMENT
30% as advance, 70% after submission of final audit report to GS Board

6. MODIFICATIONS OR VARIATIONS
Any modification or variation of the terms and conditions of this Order,including any modification or variation of the scope of the
Services,may only be made by written agreement between the Parties. Each Party shall give due consideration to any proposals
for modification orvariation made by the other Party without any additional cost to the Employer.
7. CONFIDENTIALITY
i)Service Provider agrees to hold and preserve in confidence for a period commencing with the date hereof and ending five years

from the date of Project Completion, except as may be necessary to perform the Services hereunder, any information supplied to it
by Employer or which by its nature can be inferred to be confidential.
ii)Service Provider shall not, nor shall it permit any of its personnel to, issue any press or publicity release or any advertisement, or
publish or otherwise disclose any photograph or other information, concerning the Project without the express prior written consent
of the Employer, which consent shall not be unreasonably withheld.
8. COMMUNICATION

9. TERMINATION
This Service Order shall be terminated without any compensation whatsoever upon either party giving to the other party a
one-month written notice of intention to terminate the Service Order either sending such notice by an official email or through
courier/register post. Advances if any paid to the Service Provider shall be payback or adjusted from the earlier payment dues, if
any to the Employer with immediate effect upon receipt of termination notice.
10.FORCE MAJEURE
i)No claim by either Party shall be valid in case the delay is on account of civil commotion, serious damage by fires, declared or
not, sabotage or by a natural calamity such as floods, earthquakes and events over which the affected Party has no control
whatsoever.

ii)In any such event the affected Party shall give a notice in writing within seven days of that happening to the non-affected Party
but shall, nevertheless constantly endeavour to bring down the delay and recommence the work at the very earliest.

iii)In case of the Service Provider, the Service Provider shall, on removal of the cause or delay, seek extension of the time Allowed
for completion of its Scope of the Work and the Employer shall consider the application and grant such extension as in its opinion
is reasonable having regard to the nature and period of delay and the type and quantum of work effected thereby. No other
compensation of any form shall be available to the Contractor/Service Provider in such an eventually. The decision of the
Employer in this eventually shall be final and binding.
11.GOVERNING LAW, JURISDICTION AND ARBITRATION

i)This Order has been executed in English, which shall be the binding and controlling language for all matters relating to the
meaning or interpretation of this Order.
ii)This Order, its meaning & interpretation and the relation between the parties shall be governed by the Applicable Law of India.
This Order in all respect shall be subject to jurisdiction of Courts of Hyderabad.
iii)The Parties shall settle all or any of the differences, disputes through mutual discussions amicably. The resolution of all
disputes, which cannot be resolved amicably through mutual discussions, shall be settled through arbitration as provided under the
Indian Arbitration and Conciliation Act, 1996 or its amendments if any. Each party shall appoint an arbitrator from their side and
two arbitrators shall appoint/select the third arbitrator who will preside over the arbitral tribunal which shall consist of three
arbitrators. The arbitration proceedings shall take place in at a place mutually acceptable to both the parties and shall be
conducted in the English language.

This Order is being placed on you based upon the mutually agreed terms and conditions. You are advised to send your
acceptance for this order within three (3) working days or else the same shall be treated as accepted. You shall execute the
works/services as per the agreed delivery time lines given in this order.

ANNEXURE

Scope of Work:

For GS Renewable Crediting Period Validation:

➢ Assistance in Preparation of PDD

Consultant will prepare the documents (PDD, Financial sheet and other project documents) as per the
template and prevailing guidelines for GS Validation. The Client would provide Consultant all the
technical information/data required for preparing the Program sheet. Role of Consultant shall include:

• Baseline Study

The baseline document will be as per the requirements of GS PDD. The baseline study will cover issues
like additionality, leakage and MS Excel based calculation for the emission reductions. The Client will
provide all supporting information to determine the project activity is additional through investment
analysis and/or barrier analysis.

• M & V protocol

Monitoring and Verification (M & V) protocol will be as per requirements of GS.

• Environmental Impact

The Environmental Impact Assessment (EIA) documents and/or other environmental impact related
documents, if available, shall be made available to Consultant, which will be used to prepare documents
as per GS requirements outlining positive and/or negative environmental impacts.

• Stakeholders Comments

Stakeholder section of the PDD will be based on GS requirements. Consultant will provide advice on
inviting stakeholders’ comments, if any, on the project(s).

The Consultant will provide the PDD to the Verifier. Consultant will seek the help of the Client to prepare
answers to the queries posted by public/parties, if any. Scope shall include but will not be limited to
preparation of PDD and submission of documents to GS for requesting renewal. The Consultant is not
liable for any delay from GS Board.

➢ Liaison with DOE

The consultant shall select and appoint a DOE eligible under GS to get the project completed in the
respective mechanism.
