NON DISCLOSURE AGREEMENT

1. Testronic Limited (the Company) whose principal place of business is at Suffolk House,
Suites 1-3, 2nd Floor, George Street, Croydon, CR0 1PE
and
Alejandro Garcia Rodriguez
2. ……………………………………(Personnel) (input name) who is either a candidate based at
…………………………………………………………………………. (address of candidate’s
residence) or a temporary/permanent worker of Testronic and is based at the principal place of
business as stated above.

BACKGROUND

The Company offers confidential and professional product verification to the entertainment
industry and one of the most important needs of that industry is security. The Company
guarantees to its customers total confidentiality and is approved by FACT (Federation
Against Copyright Theft).

During the course of time at the Company the worker will handle or have access to confidential
and sensitive material that is the property of the Client and remains the property of the Client
at all times. This includes completed documents relating to specific client owned material.
Similarly, the employee may have access to confidential information relating to the
Company, such as schedules, pricing information and process documentation.

AGREEMENT

In consideration of that Confidential Material the Personnel now agrees and understands the
following:

1. a) It is a condition of the Personnel’s time at the Company that all information they might
gain during the course of their work is confidential and must not be disclosed to any person,
firm or organization outside of the Company unless as instructed by the Company. This
information will include but shall not be limited to:

• New Titles
• Release Schedules
• VAM (value added material) content
• Work instructions and related process documents
• Compensation, salary or details of benefits with the Company (save for any disclosure
permitted under the Equality Act 2010, or as authorized in advance and in writing by the
Company)

2. Any legal warnings contained within the material are serious and must not be ignored.
Clients will enforce the law wherever loss, potential or actual, of property is at risk.
3. Physical property belonging to the client e.g. discs, tapes must not be removed from
Company premises.

4. In the event that they become aware of any breach of security, that breach must be reported
immediately to a senior manager.

5. The Company will provide all relevant information to ensure the Personnel is able to comply
with these conditions.

6. This agreement is made for the benefit of Testronic and its Group from time to time, and any
entity in the Group may enforce this agreement as if they were Testronic and a party to this
agreement. The parties may terminate, rescind or vary this agreement without the consent of
any person who is not a party to this agreement.

7. This agreement and any dispute or claim arising out of or in connection with it or its subject
matter or formation (including non-contractual disputes or claims) shall be governed by and
construed in accordance with the law of England and Wales and be subject to the exclusive
jurisdiction of the Courts of England and Wales.

In witness hereof Company and Personnel have entered into this agreement on the date
first hereinafter specified.

Security Agreement

Whilst working with Testronic you may have access to confidential, technical, commercial or
financial information about our business. Any information, which could have a bearing on the
Company’s interests, cannot be disclosed without express approval, in writing, of the CEO.

If you leave us, such information should not be disclosed, used or discussed with any other party.
Please see your Contract of Employment for further details.

Testronic is accredited by MPAA and FACT (The Federation Against Copyright Theft), as meeting
global film and media industry security standards.

All of our facilities have a high level of security with entry only being gained with the use of swipe
cards. Additionally there is CCTV at all access/egress points to our buildings along with CCTV being
in operation within the highly secure areas of our buildings.
These highly secure areas include:

• Dedicated testing labs for games clients with their own swipe card system
• Secure fireproof vaults housing all client material, all of which have additional
access control
• Server rooms for secure download and replication of assets from clients

All vault access is limited to senior personnel only.


All employees of Testronic are required to sign Non-Disclosure Agreements as part of their contracts
of employment and in addition are not allowed to bring on to any of the facility sites:

• Any media storage device


• Any optical storage device
• Mobile telephones
• Cameras

If found with prohibited devices, staff automatically consent to a forensic check of the device
(Pictures, files…etc.) to ensure the NDA has not been breached. You will be required to remove
any content from prohibited devices that we consider to constitute a breach of this policy and /
or the NDA.
Being found with a prohibited device can and will lead to disciplinary action and possible
dismissal.

Further, all staff are required to use the dedicated storage lockers for all personal baggage.
Random staff searches are also carried out on a regular basis by senior management.
