Code of ethics guide

 Decide why you are writing your code of ethics. Is it to inspire your employees? Is it to
spell out the expected behavior? Deciding on the reason will set the tone for your code of
ethics. Enlist the help of other respected colleagues to help in writing a code of ethics. You'll
want the input of other employees to make sure that you have a well-rounded code of ethics
to enforce.

Begin with an introduction that explains the purpose of the code of ethics and what you hope
to achieve by instituting such a code. The introduction is a good place to include your
company's mission statement.

Add the items to your code of ethics. Remember to cover such issues as interpersonal
relationships, behavior expected around customers and clients and other items that might
specific to your company or industry.

Decide how you will implement the code of ethics. Will you send out the code of ethics as a
memo to the rest of the employees? Will employees incur penalties if they do not follow the
code of ethics? Establishing a protocol for implementing the code will make sure that there is
no question of the importance of the code of ethics.

Codes of Ethics
A code of ethics (otherwise an ethical policy, code of conduct, statement of business
practice or a set of business principles) can be a management tool for establishing and
articulating the corporate values, responsibilities, obligations, and ethical ambitions of an
organisation and the way it functions. It provides guidance to employees on how to
handle situations which pose a dilemma between alternative right courses of action, or
when faced with pressure to consider right and wrong.

No two codes will be the same. They must reflect the concerns of the employees of the
particular organisation and the context of the relationships and business environment in
which it operates. The IBE publication Developing a code of business ethics outlines this
further. You may also find the one-day training course Developing & implementing a

Having a code of conduct is not enough, however. It can only be effective and
practically useful with committed dissemination, implementation, monitoring and
embedding at all levels so that behaviour is influenced.

BT CODE OF ETHICS OUTLINE

Our business practice and code of ethics

Our statement of Business Practice, The Way We Work, defines BT's business principles that
apply worldwide, to all employees, agents, contractors and others when representing BT.

BT Group plc's ("BT") chief executive officer, group finance director, a number of his direct
reports and the lines of business finance directors hold important roles in corporate
governance.
A code of ethics provides principles to which these officers are expected to comply and
which they are expected to champion throughout BT. This code of ethics complements our
statement of Business Practice, The Way We Work.

Any change to this code of ethics and any explicit waiver granted by the Audit Committee or
implicit waiver from it for these officers will be disclosed on our website within five business
days after the date of the change or waiver and for at least 12-months afterwards. In the case
of a waiver, its nature, the name of the person to whom it was granted and the date of the
waiver will be described. Information on any change or waiver will be retained for a period
of five years.

The chief executive officer, group finance director, the director group financial control,
director group treasury, tax and risk management, other direct finance reports to the group
finance director and the lines of business finance directors will:

 act with honesty and integrity, including ethically handling actual or apparent
conflicts of interest between their personal relationships or financial or commercial
interests and their responsibilities to BT;
 promote full, fair, accurate, timely and understandable disclosure in all reports and
documents that BT files with, or submits to, the U.S. Securities and Exchange
Commission or otherwise makes public;
 comply with all laws, rules and regulations applicable to BT and to its relationship
with its shareholders;
 report known or suspected violations of this code of ethics promptly to the chairman
of the Audit Committee; and
 ensure that their actions comply not only with the letter but the spirit of this code of
ethics and foster a culture in which BT operates in compliance with the law and BT's
policies.

BT will take appropriate disciplinary action against any such officer who acts in
contravention of these principles.
