2. The date of contract coming into force will be reckoned from the date of receipt of technically and
commercially clear P.O.(with details of Billing & shipping details, CST & TIN nos and Pin code),
advance and clear technical inputs.

3. Our quoted price is exclusive of any taxes and duties applicable. (ED/CST/VAT/OCTROI/Entry Tax
will be charged extra as applicable)

4. Any additional tax impact on manufactured items/bought out goods(domestic, imported & services)
that will arise because of GST implementation, shall be entirely in the account of Purchaser.

5. Freight charges will be extra at actuals

6. Our scope includes 1 no. of visits . Any increase in no. of man-days/visits for the reasons not
attributable to SEIL, will have price implications. Commissioning is not considered in present scope.
Commissioning will be based on man-day basis.

7. Drawings will be submitted within 4 to 6 weeks from the date of receipt PO, advance and clear
technical inputs. Customer to give comments within 2 weeks from the date of submission of the
drawings. SEIL will resubmit the drawings incorporating the changes suggested by customer within 2
weeks after receiving the comments. Customer to give the final approval within 1 week from the date
of re-submission of drawings. Equipments will be delivered within 10 to 12 weeks from the date of
receipt of final approved drawings and manufacturing clearance.

8. Notwithstanding anything in the Contract to the contrary and to the extent permitted by applicable
law, (a) in no event shall either Party, its officers, directors, or employees be liable for any form of
incidental, consequential, indirect, special or punitive damages of any kind, or for loss of revenue or
profits, loss of business, loss of information or data, or other financial loss, whether such damages
arise in contract, tort or otherwise, irrespective of fault, negligence or strict liability or whether such
Party has been advised in advance of the possibility of such damages; and
(b) the maximum liability of the Seller for any and all claims, losses, damages, costs and expenses
arising from or on connection with this Contract shall not exceed the amounts actually received by the
Seller under this Contract.

9. All sort of statutory variation including change, addition, deletion, abolition, repeal or
reclassification due to change in Law and/ or directive or interpretation of authorized agency, shall be
exclusively to the owner/client’s account.

10. For Terms and conditions , please refer document "Standard T&Cs -Supply of Equipment and
Services (Solution Center)" attached. Letter of Credit (LC) should be established by purchaser at the
time of manufacturing clearance.

11. It is to be noted that 40% is contribution from imported material. Total prices quoted by
SE in INR are based on conversion rate @ 83 INR per Euro. Any variation in above foreign
currency exchange Rate shall be to the account of customer. The final prices shall be
adjusted based on the prevailing foreign currency exchange rate as on the day of billing .The
forex rate as published by SBI shall be considered in computations.
